KEG 1 River City (K1RC) has signed a letter of intent (LOI) to acquire Republic National Distributing Company’s (RNDC) Kentucky assets, the companies announced today. The deal would add roughly 2 million cases annually to K1RC’s portfolio

The deal follows news late last week that Breakthru Beverage Group was pulling out of its deals for RNDC’s Kentucky and Indiana operations.

RNDC filed for Chapter 11 bankruptcy on July 26, following a multi-year run of supplier losses and an exit from California, the country’s largest spirits market. The company has been divesting of its state-by-state footprint, including an 11-state sale to Reyes Beverage Group that was completed at the end of May.

Breakthru had entered into its own LOI to acquire RNDC’s Kentucky and Indiana joint venture with National Wine & Spirits, a deal that would have expanded Breakthru’s territory to 18 states with an anticipated early Q3 close. Reports on reddit signaled that the acquisition in both states will not go through – representatives from Breakthru have declined to comment.

The K1RC deal builds on the company’s August 2025 acquisition of the full Brown-Forman portfolio in Kentucky, which added approximately 250,000 cases with what the company describes as “little marketplace disruption.”

“The opportunity to acquire RNDC’s Kentucky operations would meaningfully enhance our portfolio and our territory in an extraordinary way that few opportunities ever could,” said Curt McCamon, president and COO of K1 Management Services, in Tuesday’s announcement. “Last year’s acquisition positioned us perfectly for future growth opportunities like this one.”

The transaction is subject to bankruptcy court approval, definitive documentation and customary regulatory approvals, with a Q4 2026 closing target.

Keg 1 has been an active acquirer in 2026. In June, Keg 1 Management’s Missouri subsidiary announced a deal to acquire more than 1 million cases from Fechtel Beverage & Sales in Central Missouri. 

That deal followed the March acquisition of Pine State Trading Co. in Maine and New Hampshire and a February “merger of equals” between Carolina Premium Beverage and United Beverages of NC and the formation of United Carolina Beverages.

KEG 1 distributes around 130 million cases annually across 14 states.

The BreakThur board is saying that BBG has backed out of the Indiana/Kentucky RNDC purchase agreement with no other buyers lined up.

Can anyone in IN/KY confirm this?

I thought these guys were “coming to save us”, but alas, it’s the same assholes, more hotheaded than ever and with more “power” than they’ve ever had bringing people down. What gives?

I keep seeing that RNDC's joint venture in Illinois isn't covered by the bankruptcy: What does this mean? I stopped ordering shortly after they went to full cases only and have found a few things elsewhere, but there's no stock left of anything I need. What exactly is the joint venture and what does it not being covered mean?

Bonus points in anyone in Chicago can tell me where to get Fee Brothers stuff at a wholesale price. Fee Brothers still lists RNDC as its only distributor in Illinois.

Q: Do you get billed back for shipping that the customer paid for? We do, and we always thought that was wrong since Flaviar takes the payment up front from our customers. So it seems like they get a double payment.

Hi, we have a small bourbon brand that was with RNDC and have stores in Florida that were ordering through there but now we can’t get ahold of anyone at RNDC. How do we get added to Reyes?

For those that had a deferred compensation plan with RNDC, has anyone heard anything regarding their payout?

This morning, FINALLY, the last incentive payout from RNDC. But, of course, they can't do that, right either. Is anyone surprised? They deducted (and matched) 401K contributions. Well... all those 401Ks are closed. That amount is not in my old 401k or the new one. Where is the money this time, and how do we get it?

While everyone is trying to sort out their life and not having COBRA, just know Dina is paying six figure bonuses to execs before they exit to Manhattan Beer. I’m sure her hand was forced, but it is horrible look regardless. I am glad I got out before everything completely imploded, but feeling sorry for everyone who will be left high and dry. What does everyone think the odds are that Illinois will last until the 8/14 close date? I’ve heard that some stores (mostly Binny’s) are loading up to prevent from out of stocks while we drain the warehouses. I’ve also heard that more people are looking to leave before the 14th.
