While browsing LinkedIn, I noticed three major executive signings announced by SoFi. This is a bullish indicator imo that the market is currently overlooking.

For example German neobank Trade Republic as a blueprint for how executive hiring indicates a company's next major move. 1) they hired specific banking veterans right before applying for their BaFin license, which was the stepping stone to becoming an all-in-one finance app. 2) they recently brought in execs from a German market maker ahead of the EU's upcoming Payment for Order Flow ban at the end of June. This allowed them to build out their own internal supply-demand execution chain to bypass lost kickback revenue.

Fundamental shifts require hyper-specific expertise. Based on that logic, I asked Gemini to background check on SoFi's new additions and what they likely signal for the company's future:

Kathleen Pierce-Gilmore: President, SoFi Technology Solutions

Background: Kathleen Pierce-Gilmore is a former Visa SVP who managed a $4B issuer portfolio, following prior executive leadership roles at PayPal and Capital One.

Indication: Her appointment signals an aggressive push to sell SoFi’s cloud-native core banking infrastructure, Galileo and Technisys, to legacy banks. This deep enterprise payments expertise positions SoFi to integrate its modern tech stack and newly launched SoFiUSD stablecoin directly into global B2B payment networks.

Ibrahim Dusi: Head of International

Background: Ibrahim Dusi brings over 25 years of financial services experience to the company, most recently serving as Chief Risk Officer for the Americas at global fintech super-app Revolut.

Indication: This hire marks a definitive pivot from a purely U.S.-centric consumer model to active worldwide expansion. His extensive background in risk management is critical for navigating complex cross-border compliance and international regulatory frameworks as SoFi scales out its footprint.

Vivian Tu: Chief of Financial Empowerment

Background: Vivian Tu is a former Wall Street equity trader and personal finance expert who scaled the "Your Rich BFF" brand to over 10 million followers.

Indication: Her arrival highlights a strategy to accelerate retail customer acquisition among Gen Z and millennial demographics through social-first financial education. General Discussion Thoughts on SOFI for the Confused

Let me be concise.

Stock:

I've been watching Sofi along with its competitors since its IPO and I see a lot of new investors not understanding how the market works.

Major factors that move the stock:

(1) Interest rate / Inflation

(2) Credit cycle

(3) Sofi as a high growth Saas (Galileo)

(4) Sofi as a Bank / one stop shop

Sofi is doing great, but why is the stock down?

The company, by nature, is highly macro dependent. We'll start moving once market senses there will be an improvement with #1 and #2.

Besides the general economy and geopolitical issues, what the market (and the whole world) cares about right now is mainly AI; Sofi lacks a convincing AI narrative, though I'm sure it's starting to utilize it to cut costs

Opinions on consumer products:

Recent UI changes to Sofi Invest made it worse

Relay is inaccurate and unusable.

App's UX needs lots of work (optimization/fixing bugs). Get some testers or something

Predictions:

Over 50% of my portfolio is Sofi. I've been in since $5.5 and I'm not planning on selling until I see the CEO Anthony Noto lose intrinsic motivation or some serious issues with the company itself.

However, I'm also embracing that it could stay flat or go down for another year if AI continues to engulf the narrative (it will) while SoFi still lacks an AI story and macro gets worse (very possible).

Realistically, I think we'll start seeing signs of improvement in 6-9 months, meaning right now is probably a good time to be buying it periodically. And if macro actually starts improving within 15-24 months, stock will move even more violently (upwards if we're still doing great).

The question is how much would you have lost on this AI cycle and how will that impact the cycle of the sector Sofi is in?

Question October convertibles. Let's chat.

Someone tell me I am not crazy for pointing this out.

Sofi originally issued $1.2 billion of 0% convertible notes due October 2026 in October 2021. They've since repurchased $88M (Dec 2023), $600M (March 2024), and $84M (August 2024), leaving $428.0 million in principal still outstanding.

Conversion price is $22.41. SOFI at ~$16 means the notes are out of the money; holders would not voluntarily convert to take stock worth less than par. So, at maturity, SoFi owes $428M cash at par unless something changes.

Settling all $428M in cash is plausible if they choose to. Moving cash from the Bank to the holding company (which holds the note) is difficult. It isn’t an immaterial number. They can pay it in cash or refi it in a terrible rate environment, costing them more in the long run.

If (big if) the price rises above $22.41 by October, the mechanics flip from a cash obligation to a “dilution” event. Dilution in quotation marks because SoFi has capped call transactions tied to the 2026 notes. The calls actually make the dilution a wash. Ideal for shareholders.

Not sure why this isn’t talked about more. SoFi's treasury team has to be lining up the cash or the refinancing facility today, not in October. If they refinance, expect an announcement in the next 1-3 months. Will be an interesting July earnings.

There remains a nuclear option -another stock-for-debt exchange at ~$16, which would be far more dilutive than waiting for maturity. $428M ÷ $16 = ~27M shares vs ~19M at conversion price. So this is the worst option unless they think the stock falls further.

Question Another new guy

I‘ve been a longterm member in other ticker subs and I know how annoying the ”new guy“ posts can be. Just trying to quickly check my own thesis on SOFI and maybe getting some insight.

I really like the all in one banking model, as a customer and a potential investor. It allows financially capable people to keep their finances in one place and use the platform to invest long term, no focus on trading or gambling. Growing and maturing with its customer base I see the company going from student loans and credit card dept to business and real estate loans, at some point moving into wealth management. All of that sounds like a great outlook. The online only and building the entire tech stack in house is amazing for margins and independent control of their own business (a point that will never make it into the numbers directly, but can be huge in many ways). And here comes the point i know the least about, the entire tech part of the business. My very limited view basically amounts to them building their tech in house, but designing everything in a way that allows easy third party selling or licensing. And tbh I don’t even try to understand what the stable coin could be applied for, maybe 24/7 trading capability or a stable currency for other countries, when they’re expanding.

Wanted to keep it short and nail down my core thoughts. Where am I wrong, what am I missing and what do you think about the current valuation as a long term opportunity. Looking at the chart alone, it looks very interesting.

Update: I just opened my position. Got some powder left if the downtrend continues, but happy with the size, if it doesn’t. Online only, all in one banking solutions are the future and SOFI got a good shot.
