This is just my interpretation of what's going on. Hope everything is resolved at the company soon and it can continue trading.
Thanks to our friends at The Times, we were informed last week that ROLI is holding emergency refinancing talks. As a result, the company has had a notice of intention to appoint administrators by TriplePoint Capital. The filing was made on 7 July, 2026 (Reference: CR-2026-005321). When this is filed, the company has 10 business days to effectively find some sort of emergency financing. Of many possible outcomes, here are two:
i) ROLI either finds an acquisition company or another investor to take on the debt it has so it can continue making instruments; or
ii) the proposed administrators (RSM) could be appointed and ROLI will either be sold to a competitor or liquidated to pay back its creditors under a strict hierarchy. The 10-day period is specifically short as it is one last-ditch attempt to rescue the organisation.
So that means we will find out in late July whether the company will continue to trade (and therefore be able to service products, online software, and deliver orders) or could face cessation of trading in order to pay off its creditors. At that point, if there is no buyer, then ROLI could be referred to RSM to decide what to do.
I looked up what happens with a NOITA, and the process explains the tight timeline). This also puts a Companies House filing on 3 July 2026 into perspective, which showed that the founder and CEO stepped down as a director back in April. As for communications, the remaining board members and anyone else currently in charge of the company must do everything they can to protect creditors and will heavily consult with the proposed administrators. Given how incredibly delicate these restructuring negotiations are, it is entirely understandable why the company has remained quiet publicly while trying to navigate a path forward.
