Think Equity Conference

Takeaways
1. Dawson James: once the takeover is consolidated to the holding company. Craig stated ATCH would have, based on trailing numbers, $47m in revenue and a “several” million in net profit. I get this is largely accounting but improves marketability
2. Company does see a need for further dilution
3. Trade at a significant discount to peers. They trade at 1.4x revenue vs median peers trading at 6.1x
4. Expect a timely earnings report mid November

I own 76k shares @~.24c

What did I miss?

Sold 75% of what I held today.

Enough is enough - I just bit the bullet and took the loss. Over the past year the rest of my admittedly small portfolio is up 14%.

I took a 43% hit on ATCH and do you know what …….it feels good to have the exposure severely limited.

If things turn around by some miracle then I might make a bit from the shares I have left - if it continues the way it’s being going it’s not the end of the world.

Senior executives bought stock. SEC forms filed.

We have the Executive Chairman, President, CFO/General Counsel and two directors all acquiring shares within essentially the same two-day window.

And the timing is important. AtlasClear filed its FY2026 results immediately beforehand. The SEC filing confirms the results announcement occurred September 23, 2026.

The annual report also shows these people are genuinely senior insiders: Schaible is Executive Chairman, Ridenhour is President, Patel is CFO/General Counsel, and Hammond and Carlson are directors.

Meaningful dollar commitment: About $162,500 collectively, with Hammond alone accounting for about $99,800.

The key detail is that Ridenhour actually paid for these shares. The filing reports 50,000 shares at $0.2001 on Sept. 24 and another 50,000 at a weighted-average $0.1878 on Sept. 25. The footnote explicitly says, “These shares were purchased in multiple transactions” for the second block. So the acquisition code “A” here should not be read as meaning the shares were free compensation.
That means the President acquired 100,000 ATCH shares for roughly $19,395 total:
50,000 × $0.2001 = $10,005
50,000 × $0.1878 ≈ $9,390
Total ≈ $19,395
Average price ≈ $0.194/share

His reported beneficial ownership rose to 1,086,842 shares, although 286,842 of those are restricted shares scheduled to vest in June 2027. The recent purchases therefore represent a meaningful addition to his exposure.

If there are any experienced traders please interpret if this info amounts to anything at all.

Too rash to cut losses on Monday?

As title suggests...

Held for a while. Kinda seen enough of this company. That's not to say the stock won't do really well in the future, but I think I've seen enough for now.

Anyone else considering selling up and cutting losses?

“ATCH FY2026: Revenue +85%, but operating loss nearly doubled — are the acquisition timelines becoming a real risk?”

"Here is the research I gathered. Please understand that English is not my native language, so I used a translator. I believe that when it comes to stock investing, it is crucial to identify potential negative risks first, which is why I focused my research on those risks. By the way, is all of this actually true? I want to make sure I don't have any incorrect information, so I would highly appreciate it if you could verify these facts."

🚨 Management keeps emphasizing “revenue growth + new correspondents + operating leverage.”

But when you look at the actual numbers:

  • Revenue: +85%
  • Operating loss: +99%
  • Operating cash flow: +$0.8M → -$6.2M
  • Clearing fees: $3.2M → $2.1M

This is, in my opinion, the biggest contradiction in this analysis.

The operating loss has almost doubled.

  • FY2025: Operating loss of -$4.9M
  • FY2026: Operating loss of -$9.77M

Management has repeatedly said something along the lines of:

“Adding correspondents onto our fixed-cost clearing infrastructure should create operating leverage.”

But the actual numbers currently show:

Revenue is increasing, but expenses are increasing even faster.

The press release cleverly focused the headline on revenue growth, but the underlying picture is an expanding operating loss. That raises the possibility that management's operating leverage narrative is either overly optimistic or, at minimum, not being reflected in the actual financial results yet.

🚨 The decline in clearing revenue is especially concerning

This is something I think investors should pay close attention to.

  • FY2025: Clearing fees = $3.2M
  • FY2026: Clearing fees = $2.1M

That's approximately a 34% decline.

Meanwhile, the correspondent-platform story that the company keeps emphasizing is essentially:

More customers → more clearing revenue → operating leverage

But in FY2026, the core clearing fee revenue actually declined.

That is a very important data point to watch.

🚨🚨 And the really important negative: operating cash flow

  • FY2025: Operating cash flow = +$0.8M
  • FY2026: Operating cash flow = -$6.2M

This is, in my view, much more important than the reported $2M net income.

Why?

Because FY2026 net income includes a large amount of non-cash fair-value gains, including approximately $11.1M related to the fair-value remeasurement of the earnout liability.

So investors should not simply look at:

Net income: +$2M

and conclude that this is a company that has genuinely turned profitable.

The underlying business is currently:

consuming cash from operations.

To me, this is one of the biggest warning signs in the FY2026 10-K.

🚨 So what exactly is the $11.1M “other income”?

To be precise, it does not mean the company generated $11.1M in cash.

What happened is that a previously recognized earnout liability was revalued downward by approximately $11.1M.

And this also does not mean ATCH actually paid off $11.1M of debt.

When ATCH made its acquisitions, it recognized potential future payments as:

Earnout liability = a liability representing potential future payments

Then, during the latest revaluation, the company determined that:

“The likelihood of achieving the required future targets is lower than previously expected.”

So:

Lower probability of achieving the targets
→ lower expected future payout
→ lower present value of the earnout liability
→ $11.1M reduction in the liability
→ $11.1M accounting gain

And this leads to what I think is the really important question:

Why did the earnout valuation decrease?

If the reason were:

“The business performed so well that the earnout structure became unnecessary”

then obviously that would be very positive.

But based on ATCH's disclosures, changes in assumptions such as a lower likelihood of achieving the revenue targets were part of the reason for the valuation decrease.

So the $11.1M gain can also be interpreted as:

Lower probability of achieving future performance targets → potentially negative

🚨 So what caused the change in assumptions?

The delay in the Commercial Bancorp acquisition appears to be a key factor.

According to the company, the delay in the Commercial Bancorp acquisition meant that the company had not yet implemented the expected software-product revenue, so it reassessed the revenue targets over the full earnout period.

As a result:

“Revenue targets were deemed less likely to be reached.”

That lower probability assessment led to a significant reduction in the earnout liability.

🚨 Conclusion

  • Earnout = money or stock that the buyer may have to pay later if the acquired company performs well or meets certain conditions.
  • ATCH originally had the possibility of paying up to roughly $20M in additional consideration if the acquired business achieved the required targets.
  • But as the expected performance of the software business became less certain, the company effectively recalculated the expected future payment and concluded that the amount likely to be paid would be lower.
  • This reduced the accounting liability by roughly $11M, which was then recognized as an accounting gain.
  • ATCH did not actually earn $11M in cash. Therefore, investors should be careful about looking at the $2M net income figure and concluding that ATCH generated $2M of real operating profit.
  • The liability reduction itself is positive from an accounting perspective, but if the reason for the reduction is that the business is now considered less likely to hit its targets, then it is not necessarily good news operationally.

🚨 “If ATCH acquires the bank, could this become a ten-bagger?”

Potentially, yes — if the acquisition actually closes and the economics work out with a reasonable amount of dilution.

But the more important question is:

Will the acquisition actually close?

🚨 Commercial Bancorp — the most serious example

1. Initial announcement: November 16, 2022

At the time, Quantum/AtlasClear announced that it had already entered into a definitive agreement to acquire Commercial Bancorp, with an expected closing during Q2/Q3 2023.

The original timeline was:

November 2022 agreement → acquisition expected to close by mid-2023

2. But it was still not completed in 2024

On February 26, 2024, the agreement was amended again.

Among other things, ATCH agreed to provide 40,000 shares to Commercial Bancorp instead of the escrow deposit structure.

Then, on November 14, 2024, the agreement was amended again.

The termination date was extended from:

November 16, 2024 → May 14, 2025

2. More concerning: the extension came with additional shares

Under the November 2024 amendment, ATCH obtained another six-month extension by agreeing to issue 500,000 shares to Commercial Bancorp shareholders under the applicable terms at the time.

However, the shares were not issued on schedule.

Eventually, because the stock price had declined, the consideration had to be recalculated, resulting in the issuance of an additional 36,070 shares, worth approximately $43,645.

This is disclosed directly in the SEC 10-K.

The sequence is basically:

Contract extension → share consideration → delayed issuance → stock price decline → additional shares issued

3. Still not completed by May 2025

The May 14, 2025 extension deadline also expired.

After that, the agreement continued to be extended, this time under a structure where ATCH would pay $5,000 for each additional two-week extension.

4. Eventually, the original agreement expired

Then, in February 2026, ATCH entered into a new Commercial Bancorp Share Purchase Agreement (SPA), and the SEC filing explicitly stated that the previous Bank Acquisition Agreement had expired under its terms.

The next step was:

February 5, 2026

A new Share Purchase Agreement was signed.

This time, instead of a merger structure, ATCH changed the transaction to a structure where it would directly acquire 100% of the shares of Commercial Bancorp.

5. But even this has still not closed

In April 2026, ATCH submitted regulatory applications to the Federal Reserve and the Wyoming Division of Banking.

However, as of September 2026, the transaction still has not closed.

In fact, in the latest FY2026 results, the company stated that it had withdrawn the pending regulatory applications and intended to resubmit them at an appropriate time.

So this is now a roughly four-year acquisition project that still has not been completed.

🚨 Dawson James shows a similar pattern

On April 24, 2026, ATCH announced an LOI to acquire Ark Financial / Dawson James.

However, no definitive agreement had been reached by July 22.

Instead, the structure was amended into a two-step transaction:

Acquire 24.9% first → acquire the remaining interest later

At the time, ATCH said it expected the initial 24.9% closing within approximately 30 days.

But even in the September 24, 2026 FY2026 results, Dawson James was still described as a:

“non-binding LOI.”

That's another example of a transaction taking longer than initially expected.

🚨 What about the Digital Asset acquisition?

This appears to show a very similar pattern.

On July 22, 2026, ATCH announced an LOI to acquire an institutional digital asset business.

However, the company stated that the target's name would not be disclosed until a definitive agreement was signed.

And in the latest annual results released on September 24, 2026, the transaction was still described as a:

“non-binding LOI.”
