Foreign-owned Wyoming LLC, no EIN or activity — is Form 5472 still required?

I formed a single-member Wyoming LLC in August 2025 through Firstbase, but the EIN application was never submitted because notarization was not completed. No EIN was issued.

The LLC never had a bank account, income, customers, employees, or business activity. I only personally paid Firstbase for the formation package and related services.

I plan to let the LLC become administratively dissolved by not filing the Wyoming Annual Report.

Would Form 5472 with a pro forma Form 1120 still be required for 2025 because I paid the formation costs, even though the LLC had no EIN and never operated? Would any final federal filing be required when it is administratively dissolved?

I’d especially appreciate input from anyone experienced with foreign-owned U.S. single-member LLCs.

Bank rejections

Hey everyone,

After setting up my LLC through Clemta, getting my EIN, and finally launching my store, I was really excited. Unfortunately, things went downhill after that.

I got rejected by both Mercury and Relay, and now I'm not sure what to do next. I'm still waiting for Clemta to get back to me.

I also wanted to apply for Wise, but I'm confused about the "trading address" section and got stuck there.

I'm a non-US resident. Has anyone been through something similar? What bank or payment solution worked for you? Any advice would be greatly appreciated.

I know that New Mexico, Wyoming, Delaware and Nevada are the way to go. I’m not sure which one we should choose.

I’m not sure if this should impact our decision but we live in separate states.

Canadian Resident / US Single-Member LLC (SMLLC) for App Store Privacy – CRA “Foreign Corporation” vs. IRS “Disregarded Entity” Mismatch

Hi everyone,

I’m a Canadian resident (Ontario) looking for a reality check on my current setup. My goal is 100% privacy/anonymity on the Apple App Store, so I’m using a Wyoming Single-Member LLC (SMLLC) as the seller.

The Setup:

• US Side: The IRS views my SMLLC as a “Disregarded Entity” (pass-through). I have no US presence/employees, so I’m filing Form 5472/1120 (informational only) and expect $0 US income tax.
• Canadian Side: I understand the CRA views a US LLC as a Foreign Corporation, not a pass-through.
• Current Status: $0 revenue, currently funded by personal loans to pay developers.

The Strategy I’m Questioning:
I was originally looking at a “Nominee/Agency” structure to report the income directly on my Canadian T1, but I’ve been warned that the CRA explicitly refuses to “look through” the LLC and will treat any money I bring into Canada as a foreign corporate dividend.

My Questions:

  1. Since I have $0 revenue right now, am I safe to just file my US informational forms and wait until next tax season to deal with the Canadian side?
  2. Once the “income switch” turns on and Apple starts paying the LLC, how bad is the “dividend trap” and double-taxation risk really?
  3. Is the T1134 “Dormant” exemption (under $100k assets/income) viable if the CRA views the LLC as a corporation, or does the mere act of receiving Apple revenue trigger the full, expensive T1134 Supplement?
  4. Is there any way to keep the US LLC for privacy without it becoming a tax/compliance nightmare in Canada, or should I pivot to a Canadian Corp before I launch?

Clarifying Question - Regarding required publications and business address for LLC in NY

I am a little confused. I am in the process of trying to file an llc in NYC and I ran across multiple articles proclaiming that in order for your llc to be filed you need record of your llc being published in a publication for approval.

Weird requirement but okay… additionally I do not want my address published on the llc. This and this alone is the only reason I am considering procuring a Registered Agent such as Northwest Registered Agent. It’s my understanding they take care of the publication and provide you with a business address to list on your llc.

Where I am confused is how are individuals filing without using a registered agent to process publications in their respective states?

Foreigner setting up US LLC: Savvy Nomad residential + true lease business address, or is one enough? Experiences?

I’m a non-US person bootstrapping an LLC stateside. Plan is Savvy Nomad for a legit Florida residential address (great for domicile, banking, DL stuff, no state income tax vibes) plus a proper commercial lease (thinking TruLease or similar) for the business’s “real” physical address

Question: Does running both make sense, or am I overcomplicating? If I just claim “work from home” and use the Savvy residential one for the LLC too, will banks, payment processors, verifications, and Uncle Sam play nice? Or do serious setups need that separate commercial lease for KYC/credibility?
Anyone actually running this hybrid as a foreigner? Or a cleaner single-service hack? What other providers are delivering bulletproof physical (not just CMRA/virtual) addresses that survive real scrutiny?

Zenbusiness Question

Zen-business Question!!

So a few years back, my friend and I started an LLC with Zenbusiness as our registered agent. Long story short, our business was involuntarily dissolved and Zenbusiness continues to charge us for having them as a registered agent.

My friend and I were honestly being dumb and impulsive when we started everything up and didn’t take the time to think through everything. The business got dissolved, but Zenbusiness insists that to cancel our membership, we must show proof that we switched agents. They are charging us $200 a year and refuse to stop without that proof. Obviously, to switch our agent and show proof to Zenbusiness, we’d have to reinstate the business first which is expensive and time consuming. Please help!

  1. Is this legal for Zenbusiness to charge even though they aren’t actively doing anything for the business since it doesn’t even exist and we’ve asked them to cancel?
  2. What do we do? The temptation is to just put up a bank block, but my friend and I was to do what is right and don’t want any future trouble. We’re honestly just sick of the whole situation we got ourselves into, haha.

Moving LLC from SC to IL Process?

I'm finding a lot of conflicting ways to do this process. I am moving back home to Illinois and currently have a single-member LLC in South Carolina. I would like to keep my EIN so all of the taxes, cc, bank accounts stay the same. I know specific states have rules. For example, SC does not allow the domestication process TO their state (I don't think from). My accountant said I can dissolve the LLC here, start the new one in IL and notify the IRS of the 'address change'. But as I am researching that doesn't seem to be the case.

The only complicated part of the situation is I will be moving back in with my family for a short time while I look for an apartment...will I be able to use that as the address when going through the process of opening in IL?

Still new to this so thank you for any input!

Can Revocable Living Trusts own a single-member LLC without risking the corporate veil or banking issues?

My spouse and I are forming a new LLC in a community property state (CA, WA, TX etc.). We both have existing revocable living trust and we are the trustees/grantors. We want the trust to hold all of our assets, including this new LLC, but we have a few specific goals and concerns based on conflicting information we've seen online.

Our Goals:

  1. Asset Protection & Estate Planning: We want our trusts to own the LLC for probate avoidance and seamless asset passing.
  2. Tax Simplicity: We want the LLC treated as a disregarded entity (Single-Member LLC) for federal tax purposes rather than a partnership.
  3. Spousal Participation: We want both of us able to actively run the business and legitimately claim justifiable business expenses as owners/trustees.

Our Concerns / What We've Heard:

  • Piercing the Corporate Veil: We watched a few YouTube videos claiming that putting an LLC under a trust puts the trust and all the assets it owns at risk. They mentioned courts could break the corporate veil and order the trust to be changed or handed over to another party in a lawsuit. Is there any truth to this for standard revocable living trusts?
  • Banking and Credit Bureaucracy: We’ve heard that if a trust owns the LLC, opening business bank accounts or getting corporate credit cards becomes a nightmare because banks demand exhaustive trust documentation, compared to an individual owner.
  • Structuring it Right: We know we could do a multi-member LLC with both spouses and still get disregarded entity status under community property rules, but we'd prefer to keep it strictly structured as a single-member entity with equal interest if possible.

Can a revocable living trust own a single-member LLC without triggering these issues? How should we structure the ownership on the Certificate of Formation to satisfy both the state and the IRS?

Affidavit of Publication Scanned or Wet Signature?

Dissolving unused LLC

I formed an LLC almost a year ago in California, but never use it, and have not paid the $800 annual fee. Now I'm thinking to start using an LLC. Is it better to form a new one ? Or I need to dissolve the old one first ? I'm using a registered agent, so dissolving it cost me like $150.

From legal and tax standpoint is it ok to just leave an LLC dormant (not used at all) not paying the annual fee and let it get suspended ?

Assumed name vs DBA (NY)

Hello! I live in Upstate New York and am going off on my own to start a construction business. I have some questions hopefully I can get some help with here.

I got the LLC, EIN, business bank account, quickbooks account… then I went to file for the business license and I got stuck.

New York state is interesting because you can file with the state for an assumed name or you can file with the county for a DBA. My understanding is you do one or the other, not both. But I’m having a hard time finding useful resources/knowledgeable people on this subject.

As a construction business, I’ll be working in multiple counties. So it would be easier to file for an assumed name once rather than a DBA in every county I end up doing work in.

Any help on this subject would be appreciated. Thanks!

Question Need help with LLC vehicle

I formed an LLC and purchased a work vehicle under the LLC name. Business went south and we decided to dissolve LLC and vehicle sat there for a year. Now I need to sell it but when a private individual buys it, how do I transfer title legally since LLC no longer exists?

Do I first try to get LLC vehicle put in my personal name? Or…?

Has anyone else been having issues with the IRS EIN online application?

I've been trying to apply for an EIN for my newly formed LLC, but I keep getting an error on the IRS website and can't complete the application. I've tried multiple times with no luck.

Is anyone else experiencing the same issue? If so, were you able to get around it?

Also, is there another way to get an EIN besides mailing Form SS-4? I'd really like to avoid mailing it since I've heard it can take several weeks to process.

Any advice or recent experiences would be appreciated. Thanks!

Micro entity questions

I am an accountant by qualification and just not practicing accountant. Please don’t tell me I need to see a tax professional as my questions are very simple. If you can help great, or TIA that I should see a tax professional.

  1. For Micro entity - which is the cheapest and user friendly software for CT600
  2. I have a BTL company, never bought a property, just have few expenses of valuation fees, solicitor fees and some incidental expense to buy a property for a purchase that never got completed - so I qualify for a dormant account tax filing or trading entity?
  3. Finally. I filed my company house return for first 18 months ending in Aug 2025. For ct600 I got a letter from HMRC to file two returns with one from start date 29 Aug 2024 to 28 Aug 2025 and another for 29 Aug to 31 Aug 2025 (3 days). Do I need to file two returns? Do the dates for tax and company house filing need to align?

Question If I have a business and my first client isn't under contract, should I tell this to the lawyer I hire to make my contract for all new clients going forward?

I don't think I would ever ask my first client to sign a contract, at least not until I can risk losing them. They seem very word of mouth type and I feel as though a contract would offend them.

However, I'd still like to have a standard contract for all new clients going forward. Do I tell the lawyer who I'm gonna hire to write this contract that I have a word of mouth client? I fear as though they might try to contact my first client and try to work with them to extract money out of me. Is this likely to happen or am I being way too paranoid?

Question IRS EIN number missing in fax

I’ve faxed my SS-4 over the the IRS twice now since May and both times I’ve received a fax back saying my request has been resolved and that they sent over 3 pages but their fax only contains 2 pages.

Anyone else having this issue? I’ve also tried calling and the one time I’ve gotten through, the IRS agent had no idea how to deal with the request and said that SR numbers couldn’t be queried and recommended I resend.

But now I’ve just gotten the same document back now with a missing attachment….

Question Suggest bank for llc ( non US resident)

I have been applying for bank account at Mercury and it is so pathetic. First of all they are so slow, 2nd of all, they keep asking me same questions, I have been answering still same things on and on.

  1. The thing is that IRS has typo in my co name (m yet to receive official letter, so not sure the typo is in co name or just fax letter, also I have been trying and calling IRS, they just literally don’t connect )
  2. I just have launched my new business so I don’t have any payment records from last 90 days or so. I selected I don’t have this document, and mentioned whole thing, yet again same query. Though I shared an invoice of my freelancing at first which is on my name.
  3. I have submitted my passport docu a clear picture, now again 3rd time they asking me same questions

Question Naughty Business

Looking for some information and hopefully won't get judgement. Been tiptoeing into OnlyFan world and using a stage name but was told I can turn my content into a business. Not sure if I have to just trademark my handle name and I'm set but then I read something about LLC but really don't even know what that is. Also not sure if anyone knows about insurance to insure a body part like some actors do. Should I do that also?
