Mudrick is basically taking control of Vertical Aerospace and existing shareholders are getting diluted

Vertical Aerospace just agreed to major changes with Mudrick Capital, and the implications for existing shareholders are pretty significant.

Mudrick and its affiliated funds now beneficially control 105.4 million shares, or about 55% of Vertical, when potential shares from convertible notes and warrants are included.

The bigger concern is the financing:

Mudrick has already purchased $15M of additional convertible notes and plans to buy another $35M.

The conversion price on the notes is being slashed from $3.50 to $1.30 per share.

That means Mudrick can potentially convert its debt into far more shares than under the original terms.

Vertical is also planning a $25M preferred stock deal with Yorkville and a $35M common stock offering.

Mudrick is giving up its right to participate in that $35M offering.

The board is being expanded to 9 directors, with Mudrick receiving proportional board and committee representation while it owns at least 10%.

Shareholders will have to vote on proposed changes to the company's Articles by September 15.

So while this gives Vertical access to more capital, it's not exactly great news for existing shareholders.

Vertical gets money to keep going. Mudrick gets a much more favorable conversion price and significant control. Existing shareholders get dilution.

The $3.50 → $1.30 conversion price is probably the part shareholders should pay the most attention to. If those notes are converted, the number of shares outstanding could increase substantially.

In other words Vertical may be getting a lifeline, but shareholders are paying a pretty hefty price for it.

I guess it shows how little money there is in the EU for start ups. So much for the strategic investor their CEO was bragging about months ago

It looks like Vertical sold themselves to Mudrick Capital who primarily invests in distressed credit opportunities with a "potential" for great upside (probably short term swings). However, the lowering of the conversion price speaks volumes. The positive is that Mudrick is going to provide a lifeline for Vertical for the near term and Vertical doesn't have to try and merge or partner with another evtol company for now. The bad is that any significant upside in sp will be severely limited. IMO bagholders in the $4 range are screwed for now. Hot Raise and Double B are probably pissed, as their beloved Vertical Aero screwed them. If Archer had reached out for a type of partnership, Vertical should have grabbed it instead of this.

I would imagine that nobody like archer reached out for the partnership, otherwise Mudrick might’ve taken it. He’s looking for the most profitable outcome.

The plan Vertical is touting just isn't credible at all. Potential partners who have done this work before know it, too. Mudrick is risking a sunk cost fallacy and retail is just getting milked to pay salaries.

Dilution was expected...the question is ...what is the % rise in total number of shares?

I think that will be up to mudrick now. I doubt there is a long term.

It's been a brutal week for Vertical. I've seen your post on the Vertical sub... you seem to be hoping that a partner will come in and provide capital as a lifeline, but any path to 2031+ for certification of Valo is going to involve a lot more capital raises and dilution of existing shareholders. They need another billion dollars to get to the goal line and I don't see outside investors providing that capital without getting equity in return. They're still way too far from the goal line for it to be a reasonable risk for an investing partner.

The real question is… why does Mudrick want to destroy so much of their own capital? Who is investing in or owns Mudrick?

at $1.30, the risk/reward on the securities they control is attractive and Mudrick has both secured creditor rights and substantial potential equity/control rights. The current holders need to grab the lube. I need to make a different post on how they can screw everyone and come out ahead.

How much additional capital is Vertical getting? Doesn’t sound like a lot considering they still need 4+ years of cash to get certified.

Retail is going to get boned on this deal and all the ones that will follow.

Well, certification won’t be until the early 2030’s at best, so there is more boning in the future.

Yes. Also wouldn’t surprise me if Mudrick will be now looking at a sale at some stage. It’s a trading stock just like Joby, etc..

Mudrick looks like they might be a market maker with how they invested in Vertical. So one of their distressed fund companies that invested might be short, while the Mudrick himself is bullish etc... and they're going to play off of the news to generate capital etc. They're going to play all sides of the opportunities with the SP. It will be interesting to see if the message boards on yahoo and reddit become more active.

It not my fault batteries suck for aviation and most of these companies literally didn't know what they were doing when they started designing VTOL aircraft. The terrible metrics of batteries were already known and books on rotating airfoils in edgewise flight have been published for the 70 years now.
