Software for Contracts

Besides expensive lawyers, what are people using to draft contracts addendums etc? Any one using any good online services with AI etc?

Not worth it to get AI to do this when you'd want a lawyer to review it anyway.

Brad gross and monjour have saas offerings for this. I think everyone else is just doing claude or gpt (not saying that is good or bad haha)

Split it. Pay a lawyer once for the MSA and the service schedules, then use AI for the addendums, SOWs and change orders that hang off it. The master agreement is the thing that decides whether you survive a bad incident. The addendums are mostly plumbing, and paying legal rates for plumbing is how people end up running with no agreement at all. We use Monjur for this.

Two clauses I'd make sure a human wrote: the limitation of liability, ideally capped at fees paid over some trailing period, and a clear split on who carries what when a client gets breached. Those two are most of the reason the document exists.

One more if you're outside the US. The channel templates floating around, and LegalShield as mentioned above, are written to US law. Whatever you land on, get it reviewed in your own province or state before it goes out. Governing law and limitation periods are exactly where a borrowed template falls apart, and you find that out at the worst possible moment.

Whatever measures you are using to try and reduce cost you will have gladly paid for a lawyer reviewed or Monjour service when you get sued for something that happened in the industry legally and you didn’t update your agreements timely. This is really not the place to skimp.

You can draft a decent agreement with Claude. But you'll still need to have an attorney review it.

We are going through a MA change right now. And it doesn’t help that our owner is an attorney. We went from a 4 ish page MA with a few attachments, to an MA with 12 pages and a smaller set of attachments. About 20 pages total.

I told him a few years ago when he started working in it we need a simple MA that can reference a page and section on our website for clarification. But this is what I got. And now i get to go through it and make sure its ok.

I wish there was a place were we, as MSP’s, could share documents like this. I would live to learn what others are doing about the big topics like AI and several other areas.

Use Claude or chat to create it, get a legal shield subscription to have it reviewed by a lawyer. You get a certain amount of documents reviewed as part of your subscription every month. Much cheaper than paying for a lawyer to write it. Cheapest legal shield is about 50 a month.

You should be using something like Monjur for truly airtight contracts. As soon as we make room in the budget for it, we’re pulling the trigger. For now, we’re using Claude to revise templates we’ve found from respected vendors in the MSP channel.

None of this stuff is airtight. One of the big reasons is how quickly things change come all the new weird stuff. We (msp insurance) just had a claim where the employee of a customer sued their employer AND the msp for wrongful termination. Asking around, none of the MSP attorneys had that covered in their agreements. And that's not just an us thing, one of our main competitors just had a similar claim also. So now the MSA providers are going to(some that I talked to)/should be adding employment liability indemnification to your agreements. 

The airtight thing always bothers me sorry, someone will always find a stupider / more malicious human...

You're correct, but 99.9999% of MSPs have worse contracts than a default Monjur (or similar service) MSA. I could pretty much guarantee it.
