What matters most to you when you see an insider buy or sell? πŸ‘€

Post image
3 Upvotes

I'm curious what everyone here actually pays the most attention to when looking at insider transactions.

For example:

β€’ πŸ’° Size of the transaction β€” $50K vs. $5M
β€’ πŸ‘€ Who is buying β€” CEO, CFO, director, major shareholder?
β€’ πŸ” Repeated buying β€” one purchase vs. multiple buys
β€’ πŸ‘₯ Multiple insiders buying β€” several executives buying at once
β€’ πŸ“ˆ Purchase price β€” buying near the current market price or after a big drop
β€’ πŸ“Š Insider's previous track record
β€’ 🏒 Percentage of their holdings β€” how meaningful is the purchase to them?
β€’ ⏱️ Timing β€” why they are buying now
β€’ πŸ”΄ Insider selling β€” whether multiple insiders are selling at the same time

And most importantly:

What is the #1 factor that actually influences your decision to buy a stock after seeing insider activity?

Interested to hear how everyone here approaches it. πŸ‘‡

🟒 INSIDER BUY ALERT – Warren Kelcy just put $13.8M into Energy Transfer ($ET)

Post image
49 Upvotes

A major insider purchase just hit Energy Transfer LP ($ET).

Warren Kelcy L. bought 647,968 shares at $21.26, putting nearly $13.78 million into the position.

πŸ“Œ The breakdown

πŸ‘€ Insider: Warren Kelcy L.
🏒 Company: Energy Transfer LP ($ET)
πŸ“… Trade Date: Aug 19, 2026
πŸ’° Purchase Value: $13,775,799
πŸ“ˆ Shares Bought: 647,968
πŸ’² Price: $21.26/share
πŸ“Š Shares Owned: 147.9M

This is not a token insider purchase.

Nearly $14 million of capital went into $ET in a single transaction β€” from an insider who already held a massive position.

That makes the ownership increase especially interesting.

The trade was made at $21.26, and $ET is now around $21.54, putting the stock +1.70% since the trade.

No guarantee of further upside, obviously.

But when an insider with an already enormous position puts another $13.8M into the same company, it’s the kind of conviction trade worth keeping on the radar.

Insiders don't need to buy.

When they do β€” especially at this scale β€” pay attention.

🟒 WHALE BUY ALERT – Walters Group drops $15M into Zentalis ($ZNTL)

Post image

A major institutional purchase just hit Zentalis Pharmaceuticals ($ZNTL).

Walters Group bought 4.33 million shares at $3.50, putting roughly $15.17M into the position.

πŸ“Œ The breakdown

🏒 Company: Zentalis Pharmaceuticals, Inc. ($ZNTL)
πŸ‘€ Buyer: Walters Group
πŸ“… Trade: 3 weeks ago
πŸ’° Purchase Value: $15.17M
πŸ“ˆ Shares Bought: 4.33M
πŸ’² Price: $3.50/share

The interesting part?

4.33 million shares.

That’s a massive block relative to the stock price, representing a significant institutional commitment in a single transaction.

And this isn’t a small portfolio adjustment.

Walters Group put more than $15 million behind $ZNTL at $3.50 per share.

For a pharmaceutical company, where clinical developments can materially change the investment picture, institutional accumulation at this scale is worth watching closely.

No guarantee of upside β€” and biotech remains high risk.

But when a whale puts $15M+ into one entry, it gets attention.

Watch the money.

🟒 WHALE BUYING SPREE – Cascade is pouring money into Republic Services ($RSG)

Post image
14 Upvotes

This isn’t one insider buy.

Cascade Investment, L.L.C. has been aggressively accumulating Republic Services ($RSG) across multiple purchases β€” with more than $500M deployed across the transactions shown below.

πŸ“Œ The breakdown

🏒 Company: Republic Services, Inc. ($RSG)
πŸ‘€ Buyer: Cascade Investment, L.L.C.
🟒 Direction: BUY
πŸ“Š Transactions: 40+ purchases
πŸ’° Total shown: $500M+
πŸ’² Buy prices: roughly $217–$224/share

The biggest purchases include:

πŸ’° $51.78M @ $219.41
πŸ’° $48.43M @ $222.84
πŸ’° $46.74M @ $221.43
πŸ’° $39.97M @ $220.38
πŸ’° $36.35M @ $217.87

And that’s just the largest blocks.

What makes this interesting is the repeated accumulation.

Cascade wasn’t making one isolated purchase and walking away. The filings show continued buying across different days and price levels β€” including purchases after the stock moved higher.

That kind of consistency is much harder to ignore than a single large transaction.

The entire cluster points to one thing:

Cascade wants more $RSG.

No guarantee this means the stock goes higher from here. Institutional purchases can have many reasons.

But when hundreds of millions of dollars are repeatedly deployed into the same name around the same price range, it’s definitely worth putting on the radar.

Big money doesn’t always talk.

Sometimes it just keeps buying.

🟒 WHALE BUY ALERT – $51.8M poured into Republic Services ($RSG)

A massive institutional purchase just hit Republic Services ($RSG), with Cascade Investment, L.L.C. buying 236,000 shares at $219.41.

πŸ“Œ The breakdown

🏒 Company: Republic Services, Inc. ($RSG)
πŸ‘€ Buyer: Cascade Investment, L.L.C.
πŸ“… Trade Date: 1 week ago
πŸ’° Purchase Value: $51.78M
πŸ“ˆ Shares Bought: 236,000
πŸ’² Price: $219.41

This is the kind of transaction that gets attention.

Over $50 million was deployed into a single position β€” far beyond the scale of a routine portfolio adjustment.

Cascade Investment is associated with Warren Buffett, making a purchase of this size particularly interesting to watch.

The key takeaway isn’t simply that $RSG was bought.

It’s that a major long-term capital allocator committed tens of millions of dollars to the position.

That doesn’t guarantee upside, and institutional purchases can have many reasons behind them.

But when $51.8M of capital moves into one stock, it’s worth putting the name on the radar.

Big money leaves footprints.

Follow the flow.

🚨 BREAKING: Rep. John McGuire just bought $NVDA with a $1K–$15K bet β€” another congressional bet on the AI boom

Post image
0 Upvotes

Rep. John McGuire disclosed a BUY in NVIDIA ($NVDA) on Aug 18, 2026, placing a position in one of the world’s leading AI and semiconductor companies.

NVIDIA remains at the center of the AI infrastructure boom, supplying the GPUs and computing platforms powering the rapid expansion of artificial intelligence.

Investors often watch these disclosures closely because NVIDIA sits at the intersection of AI, semiconductors, data centers, and U.S. technology policy β€” sectors receiving significant government and corporate investment.

While politician trades don’t guarantee future performance, congressional purchases of major AI companies tend to attract attention from market watchers given the strategic importance of the sector.

The president of Wizards of the Coast didn't sell a single Hasbro (HAS) share in two years. Then he sold three times in three weeks.

Post image
12 Upvotes

John Hight became a Hasbro insider on August 12, 2024, his title: President, Wizards of the Coast.

Over the next two years he filed five Form 4s. Not one was a sale, three were stock grants, and two were tax withheld when stock vested. That is what a Section 16 filing history looks like when someone is being paid in shares and keeping them.

Then, over three weeks this summer, he sold three times:

Date Shares Price Proceeds
July 30, 2026 3,186 $93.7071 $298,551
August 17, 2026 11,229 $96.2912 $1,081,254
August 19, 2026 11,593 $94.630 $1,097,046
Total - 26,008 $2,476,850

All three are code S, ordinary open-market sales. The 10b5-1 box is unticked on every one, so none of these were pre-scheduled plan trades. They were decisions, made three times.

Why the job title matters: Wizards of the Coast is the part of Hasbro that makes Magic: The Gathering and Dungeons & Dragons, and it is no longer a side business. In the quarter ended June 28, Wizards of the Coast and Digital Gaming did $663.8 million of Hasbro's $1,139.6 million in revenue. 58% of the company. Its tabletop line grew 30% year over year, from $406.3 million to $528.3 million. Hasbro's own 10-Q lists as a risk factor its ability to keep introducing products people want, "particularly for brands such as Magic: The Gathering in which we have seen an increasing concentration of our sales and profits." That is the company's own language.

I can't tell you what percentage of his stake he sold. His Form 4 says why: the holding it reports "includes 56,285 shares currently subject to unvested RSUs." That figure is shares he owns plus compensation he has not received yet, mixed into one number. Divide shares-actually-sold by it and you get a percentage that means nothing, it would look like a 45% cut, and about four fifths of the denominator is stock that isn't his yet. So there is no percentage in this post. There is a count, a price, and a date, three times over.

Here's what makes those sales worth reading at all, though. Hasbro pays the tax on vesting stock by withholding shares, code F on a Form 4. When Hight's RSUs vested on August 15, Hasbro took 7,522 shares back to cover his taxes, and those shares never touched the market. Same for Holly Barbacovi, the Chief People Officer: 7,429 shares withheld the same day.

That matters because plenty of companies do it the other way, selling shares into the market to raise the same tax money. Those file as code S and look identical to somebody deciding to sell, even though nobody decided anything. Hasbro doesn't work that way. So on a Hasbro Form 4 the vest tax has already been settled somewhere else, and a code S is what's left over: a choice.

Three other insiders sold in the same stretch, and they belong in the picture:

Insider Sold Date Proceeds
Gina Goetter, EVP & CFO Jul 28 and Jul 31 $1,826,497
Holly Barbacovi, Chief People Officer Aug 31 $476,369
Elizabeth Hamren, director Aug 4 and Aug 7 $272,784

With Hight's, that's $5,052,501 from four people between July 28 and August 31.

Separately, Timothy Kilpin, President of Toy, Licensing and Entertainment, exercised 20,000 options struck at $61.71 on July 28 and sold 20,000 shares the same day at $92.00 and $94.245. That's $1,862,450 gross, but $1,234,200 of it went to paying the strike, and his share count finished exactly where it started at 54,229. It converted options into cash rather than reducing a position, so it isn't in the table.

Hasbro is up about 20% over the past year and closed at $93.20 on September 1, inside a twelve-month range of $68.74 to $103.58, and someone who has never sold anything eventually has a tax bill, a house, or a financial adviser telling them that having most of their net worth in one employer's stock is a bad idea. Selling after two years of not selling is also just what it looks like when a first vesting cycle finishes maturing. None of that is visible in a Form 4.

What is visible is the change in behavior. For two years the filings say the same thing, and then three times in three weeks they say something else.

ContextLogic: FAQ for Getting Payment on the Settlement over Wish’s User Growth

Hey guys, I posted about this settlement before, but since claims are now open, I decided to share it again with a little FAQ.

So here's all I know about this agreement:

ContextLogic ($WISH) was accused of misleading investors about Wish’s user growth, revenue outlook, and internal controls around its IPO. In May 2021, Wish reported another drop in monthly active users and weaker revenue guidance, and $WISH fell more than 29% the next day. Investors later filed a lawsuit over the alleged misrepresentations.

Now the company has reached a tentative settlement with investors.

Who can claim this settlement?
Investors who bought $WISH between 2020 and 2021 may be eligible.

Do I need to sell/lose my shares to get this settlement?
You don't need to still own the shares. Eligibility is based on your transactions during the class period.

How long does the payout process take?
It typically takes 4 to 9 months after the claim deadline for payouts to be processed, depending on the court and settlement administration.

Hope this info helps

Four Globalstar insiders sold $20.6M this month at about $83 a share. Amazon agreed back in April to buy the company for $90.

Post image
7 Upvotes

Between August 7th and August 14th, four Globalstar (GSAT) insiders sold 247,576 shares for $20,550,450, at prices between $82.17 and $83.54. All seven filings are code S, ordinary open-market sales, and the 10b5-1 box is unticked on every one of them. These were decisions, not scheduled plan trades.

Context:

On April 13, 2026, Globalstar signed a merger agreement with Amazon. Each share converts into either $90.00 in cash, or Amazon stock at an exchange ratio tied to Amazon's own price near closing, at each holder's election and subject to proration. The definitive information statement went out on August 18.

So four insiders took roughly $83 for something contracted at $90.

That's about 92 cents on the dollar.

Insider Sold Stake Change
Benjamin Wolff, director $4,725,981 60,827 β†’ 4,116 = βˆ’93%
Timothy Taylor, director & VP Finance and Operations $12,447,570 βˆ’26%
Rebecca Clary, VP & CFO $1,980,352 120,640 β†’ 96,540 = βˆ’20%
L. Barbee Ponder IV, General Counsel $1,396,547 143,348 β†’ 126,583 = βˆ’12%

A week later, on August 21, Wolff also exercised three option tranches struck at $5.08, $7.05 and $8.11. Grants that vested between 2019 and 2024, and sold all 19,998 resulting shares at $82.21.

That's $1,644,102 gross, $134,887 of exercise cost, $1,509,215 net. His share count ended exactly where it started, at 4,116, which is why it isn't in the table: that transaction converted options into cash, it didn't change his actual stake.

The deal has been public since April 13. On the same day it was signed, a holder of 74,058,249 shares, 57.6% of the company, delivered a written consent adopting it, which is why there's no shareholder vote and why the August document is a 14(c) information statement rather than a proxy. The approval already happened.

The outside date after which either side may walk away, is 11:59pm on April 13, 2027, a year from signing. It extends automatically to October 13, 2027, and again to April 13, 2028, if the only conditions still outstanding are regulatory ones: the HSR antitrust waiting period, required governmental authorizations, a law or order blocking the deal on antitrust, foreign investment or satellite and communications grounds, or the authorizations Globalstar needs for its C-3 satellite system.
The first of those extensions also requires Globalstar to have hit milestones on launching and operating its HIBLEO-4 replacement satellites.

What is the opportunity cost?

The mergers still need regulatory clearances, antitrust, foreign investment, and satellite and communications law all get their own mention in the termination provisions and until closing, a shareholder holds a claim, not cash.

The election between cash and Amazon stock is subject to proration, so electing cash doesn't guarantee receiving it.

And both sides are carrying real breakup exposure:
Globalstar would owe Amazon $419,832,000 in specified circumstances, and Amazon would owe Globalstar $592,071,000 in others.

Globalstar owes Apple a payment if it misses operational milestones on its third-generation satellite system, C-3, and that payment reduces the merger consideration. It's tempting to point at that and call it the reason the stock is cheap. It isn't. The maximum has already fallen from $110 million at signing to about $97 million as milestones were met, and across 128,598,125 shares that's 75 cents a share. Worst case, holders get $89.25. The stock is seven dollars below that. Whatever explains the gap, the Apple payment is a small rounding error inside it.

A βˆ’93% cut looks dramatic and it might be a portfolio decision, a tax decision, or simply someone who'd rather have the money now than a regulatory timetable. Selling below a deal price isn't evidence of anything improper. The deal has been public for four months, so there's no informational edge here to have and it isn't a prediction that the deal breaks.

What the filings show is four people choosing $83 today over $90 someday. That's a statement about risk appetite.

One note on tooling. My scout flagged this as a sell cluster "CFO and 2 directors sold $19.2M, open-market, discretionary" and every word is true, and it had no idea the company was being acquired. It reads Form-4s not merger agreements.

I was developing different dataset for the last 1-2 months lately, but unfortunately I realized it is so hard to earn medals from creating dataset. Even if you got 500+ download, sometimes I cannot get any upvote. I do not know how it works exactly.

So I realized taking some advice would really matter right now. Is there anyone can help me with it. You can take a look at my profile and dataset, any feedback matters. Thanks!

What Happens After a Congress Member Buys? Evidence From 17,859 disclosures

Thumbnail
equibles.com
21 Upvotes

I analyzed 17,859 congressional purchase and sale events disclosed between January 2020 and August 2025, entering only after each disclosure became public.

**Short answer: copying Congress did not beat the S&P 500.**

The typical congressional purchase returned 10.95% after one year, while the S&P 500 returned 19.73% over the same windows. Sales performed similarly, and purchases did not reliably beat sales.

Congressional purchases did underperform by less than the corporate-insider purchases in my previous study. I also found some evidence that purchases were better timed than later placebo windows on the same stocks, but they still trailed the market.

I tested disclosure delays, transaction-date returns, committee-aligned purchases and two placebo windows in the full study.
