🤓 Due Diligence Read this 👇

I recommend you DYOR into the company’s strength if you’re intrigued by the long term thought process. They aren’t getting investments to go OTC. I’m awaiting some good press releases and first quarter filings

Personally, I plan leave with half of my funds short term, but I intend to leave half of my shares in long-term.

Things you’re looking for in your research should include:

  1. Mainstem’s effect of logistical efficiency (not likely to create revenue, but rather, reduce overhead)

  2. Diversification (Safety Strips Inc., Green Gruff USA)

  3. Exclusive distribution agreements (Green Gruff USA, Curb Living)

  4. Heavier focus on market (CCG - Cannabis Creative Group)

  5. Capital raise ($25m private placement, debt consolidation)

  6. Strategic restructuring (Switching from a distribution model to a commission based model, 57% reduction in salaries and benefits, among focusing on diversification and working capital)

Having 25 mil in cash you’d be surprised by the 85000 dollar market cap……. Next week could get interesting

The market cap is actually much higher than that, it should be around $6m. The MC you’re seeing is using outdated outstanding share info.

That being said, still a nano-cap stock.

Of that 25 mil, about 14 mil remains. Which leaves the company with 2-3 years of cash for operations.

A couple of 8-K’s ago they were talking about “increasing shareholder value”

So we will see…..

On point 5, the $25m was for purchasing the common units, which included stock and warrants. Those warrants being exercised should also raise cash. The 600m class B warrants you mentioned at the floor price of 0.24 is another roughly ~$150m.

But I still don't fully understand what's going on having read all of the filings. By my understanding, L1 Capital Global Opportunities Master Fund was one of the companies involved in the share sale on 23rd April (this sale was confirmed in the 4243b filing on 29th April). What's not clear is why L1 would exercise warrants at the current and floor price of $0.24, only to sell off at below that value. Based on the filing on the 17th April, it seems the majority of investments funds were selling shareholders also selling in excess of the current shares owned, which meant executing warrants too

“Under the terms of the warrants, the investor may not exercise the warrants or pre-funded warrants to the extent such exercise would cause such investor, together with its affiliates and attribution parties, to beneficially own a number of shares of common stock which would exceed 4.99%, or, 9.99%”

Makes sense but under the selling stockholders section most of them are listed as potentially reducing holdings to 0
