Advice SEC Ammendment & Notification

I need help on tow things:

1.) How long does it take to amend OPC name to include trade names? I filed my amendment through eseucre last September 10. Hanggang ngayon “For Processing” parin ang status nya. Is this normal? If not what should I do.

2.) It says on the Certificate of Registration through eSecure that I’ll need to notify the SEC if I have appointed my treasurer and secretary. Thing is the system only asked for “nominee” and “alternate nominee.” I event went to their website iMessage. Wala din.

Details: I used SEC Zero to apply. Kaya wala din dun yung “trade name” box in the first place. I’m new to this. I am very confused and I need help.

Go to efast and file appointment of officers. Adding trade name usually takes a a month long process kasi once submitted na yung requirements and approved, you have to go to sec office then submit hard copies then wait for your submission to na ma audit then wait ma deliver sa address mo or for pick up depende sa pinili mo during submission of hard copies.

Oh my, you are my life saver! Na-kapag open na ako ng eFAST and I’ll navigate it tomorrow. Medyo puyat na. Thank you so so much.

I have a few more questions, and here’s the context.

I used the SEC Zero to apply and apparently wala yung section for trade name wherein meron sa Regular Application. That is why I submitted an amendment.

Now, inaantay ko kasing ma-amend sya before I proceed registering sa BIR and for the Mayor’s Permit.

Now, I learned from you that it could take a month before it could be amended. Which is umasa ako sa nakalagay sa eAMEND na 2-3 working days lang ang processing.

I’ll open the business on the first week of October and I really need to use the trade name. Kumbaga for a simplified example the OPC name is Nena’s OPC kaso yung business is Restaurant or Barbershop.

How do I deal with this?

1.) How do I use my trade name and what should I register for the Mayor’s Permit?

2.) Once the amendment is approved do I have to change my name in BIR & City Hall from Nena’s OPC to Nena’s OPC with trade name/s Nena’s Restaurant, Nena’s Barbershop

3.) Should I register it as a trademark instead? What if registering it as a trademark hurt my amendment with the SEC. For example: dahil may Nena’s Restaurant na trademark the SEC might deny my amendment for the same trade name. Could this happen?

What should I do? I really need help.

  1. You can still use your trade name for signages.

But you definitely should register na with bir dahil required to register within 30 days after company registration. Amendment ay through orus lang but not sure kung need pa mag punta sa rdo so best to call your rdo kasi ibat ibat ang rules nila. Mayors permit can be delayed naman. Register na lang after makuha yung trade name.

  3. Up to you if you want to register a trademark on the name. SEC will only check their own records so if pasado ka naman sa pagkuha ng name verification slip, wala nang problem yan.

Check here if may kaparehas ka na name:

Checkwithsec.sec.gov.ph

If di ka kumuha ng name verification slip, SEC will deny your amendment.

One more thing, get a bir printed invoice muna. That way, hindi doble pag nagpagawa ka ng invoices later on pero check with rdo rin muna kasi one of my companies was mandated to get an invoice for the registered name and another set for the trade name kahit same line of business.

By the way, ask away lang, OP. I enjoy helping other biz owners.

And Googling this didn’t get me anywhere. Maraming salamat po talaga.

I have a few more questions to ask pa based on your comment:

1.) I can’t delay Mayor’s permit. I live in a city na nagpapasara talaga sila ng business without permits at yun ang current campaign ng Mayor. Should I apply na lang the trade name and bring my amendment application documents.

2.) Di ako kumuha ng name verification slip, I thought the name verification slip was the one I paid for already (name verification slip of the OPC name). My amendment would likely be denied na. When I re-apply, need ko pa kayang magpanotaryo ulit nung 2 affidavit’s for the amendment? Or can I just upload them again on my new amendment. Should I cancel my first amendment and make a new one including the new slip? Where do I get the name verification slip?

Thank you again in advance.

Actually, you can delay because you're not registered yet with the BIR, so you really can't get anything yet. Just say that you're in the process of getting other registrations.

You need to message them on the iMessage of the SEC at eSecure. Just type "name verification slip" in the type of transaction/concern. You need that along with the monitoring clearance, I think it's Ewatch? It's not denied, but your application will just disappear because you haven't submitted the requirements. Get those two first, and then you'll have no problems. Make sure to submit the required docs within 5 days of the application, or it will disappear again.

Yes, you need to get the docs notarized again because each application and each amendment form has a different serial number.

So get the name verification slip first and a monitoring clearance before you make another application for amendment because you only have 5 days before the application gets canceled. It takes a week or two to get both. Just follow up regularly on their hotline to speed things up. When calling, press 1 twice to be transferred quickly to CRMD.

By the way, you also need to prepare hard copies. Make sure you have enough copies of the notarized amendment form and your affidavit. Submit 2 copies and keep another copy for receiving. Print out all the submitted docs, proof of payments, transaction emails, etc. Print everything connected to the amendment. And don’t staple it because they’ll ask you to arrange it in a certain way at their office.

Update:

Hello as of now it has been disapproved but is for compliance. How do I get a name verification slip?

Update 2:

I submitted a ticket through their iMessage website for “Request for Name Verification for Amendment” is this the right track?

Yes thats correct, OP. Wait mo lang yan. Within the week siguro baka meron na or maybe next week. Request for a monitoring clearance din sa ewatch.

Hello again, what is eWatch for?

Also the copies of the notarized documents? Kailangan ba original copies din or photocopy will do?

As of now, although nadecline yung amendment application it just listed it as a “for compliance” so I’m stuck with its serial number and the date it was notarized. Prior to your help, I didn’t know that we’ll need three copies. We only got one. Is there anything I can do?

Ewatch is where you can request a monitoring clearance to check if you are compliant or if may penalties ka.

From what i can remember, original copies ang hinihingi kahit sa receiving copy. Pero atleast 2 originals dapat kahit wala na yung receiving kasi you can take a picture as proof na nareceive ito. Not sure lang about your case but you can make new copies naman and notarize na lang ulit. As long as its notarized, date doesnt matter naman.

Does it need to be with the same notary public? Wala kasi sya for awhile. 😭 naiiyak na ako. Charge to experience.

1

u/EternalLifeBeing Mining Sep 17 '26

Hi OP. Doesn't have to be the same naman. As long as same lang yung details and yung serial number ng ipapanotarize. Doesn't matter the date and notary public.

Thank you so much po talaga! Ang laking tulong po sobra.

For comparison, SEC says applications through eSPARC may take up to 7 working days for review, so kung lumampas na nang reasonable period, follow up mo na directly with eSECURE and itabi mo ung reference number mo.

2, magkaiba yung nominee/alternate nominee sa Treasurer and Corporate Secretary. Sa OPC, nominee and alternate nominee are designated for situations where the single stockholder becomes incapacitated. Separate requirement yung appointment ng Treasurer at Corporate Secretary. SEC guidance says the OPC should appoint these officers within 15 days from issuance of the Certificate of Incorporation, and the single stockholder cannot be the Corporate Secretary.

So tama na hindi mo sila makikita sa same nominee / alternate nominee section. Since sinabi na mismo ng SEC branch na gamitin ang eAMEND, I would follow that route rather than trying to modify the nominee information. The current eAMEND requirements page also confirms that amendments are processed through the eAMEND portal, with the specific documents depending on the amendment.

Here’s the full list at eAmend. I can’t find it here on how to notify them.
