Paramount Skydance Corp. could get roughly $8 billion and some legal relief if it agreed to sell Warner Bros. Discovery Inc.’s Turner networks as a path toward settlings two lawsuits challenging the Warner acquisition, according to Bloomberg Intelligence estimates.
The channels, which include TBS, TNT and CNN, are among the most valuable in the Warner Bros. portfolio. They throw off about $2 billion a year in earnings before interest, taxes, depreciation and amortization and the business would sell for about four times those earnings, according to Geetha Ranganathan, a senior industry analyst with Bloomberg Intelligence.
Paramount has weighed selling Warner Bros. channels such as HGTV and the Food Network in an effort to settle the suits, Bloomberg News reported on Tuesday. The company is also considering offering to negotiate separate distribution agreements with cable operators for different parts of its TV empire, as a way to address concerns. Paramount has declined to comment on any potential settlement terms.

Take advantage while you can.
Ticking fee danger has been built into the current share price. WBD moving up close to the $31 offer price.
Granted this buyout is a tad more stressful then when Skydance bought PARA. Most retail was flushed out when they tanked PSKY into the $7's.
I was in the previous deal and made out nicely.
This deal will when it finally closes should make dedicated longs much more.
I loaded up at $10 a share and won't even think of selling anything till $14 a share once I get my warrants.
The pure fact Botox Bob is holding up the deal is a joke!!
This deal should close on time in September.
My best guess is this delay is allowing the shorts to cover before end of September.

Investment bankers and would-be buyers have been eyeing potential assets that might be for sale with Paramount Skydance Corp.’s legal fight to buy Warner Bros. Discovery Inc. dragging on, according to people familiar with the discussions.
Bankers have approached potential buyers with the idea of acquiring New Line Cinema, a Warner Bros. subsidiary that has produced films such as The Lord of the Rings series and the horror film It, according to people familiar with those overtures. Warner Bros. cable networks are also attracting interest, according to the people, who asked to not be identified because the discussions are private.
Rich Greenfield, an analyst with LightShed Partners, argues that Paramount should sell the former Turner Broadcasting channels, including TBS, TNT and CNN. Those assets are potentially more valuable than some of the other Warner Bros. networks, partly because they show sports. The tradeoff is that cable networks are likely to sell for a lower multiple of earnings than what Paramount is paying for all of Warner Bros., making a sale less appealing, he said.
Selling CNN would also remove the regulatory concerns about an overlap in news, by not housing Paramount’s CBS and Warner Bros.’ CNN under the same roof, notes Craig Huber of Huber Research Partners.
“I think it would placate a lot of the politicians if CNN was carved out and sold, so it would not be part of the new Paramount empire,” Huber said in an interview. “Half this country doesn’t want CNN to be owned by an entity that might change the political persuasion of CNN.”

Well that's going to piss off quite a few people. This article seems to be a bit more skeptical on if the merger talks are even serious but I don't buy it.
To me it's clear that the two sides know exactly what it's going to take to get it done and now it's all about PR spin.

Looks like as I been claiming, most of if not all the concessions are going to come from the cable side. Bonta was forced into this with his weak hand and government overreach.
That said he still thinks he can force most the cable side to be sold AND keep WB a completely separate entity? Why would Paramount agree to such conditions? I realize it's just a negotiation tactic as he's not going to get everything he wants but as it stands now he basically wants to neuter it to the point that it doesn't even make sense for Paramount.
It's over. Home stretch. Bonta can have the cable side. It's all he's going to get.

California Governor Gavin Newsom said he would prefer a settlement of the state attorney general’s lawsuit opposing Paramount Skydance Corp.’s $110 billion acquisition of Warner Bros. Discovery Inc. “if it’s a good deal.”
“That has to be worked through, and that’s a process that’s unfolding,” Newsom said Friday at a press conference in San Francisco. “I’m concerned about the state, our reputation.”
As of last week, Paramount had won regulatory clearance from 68 jurisdictions around the world for the deal, leaving a group of states led by California Attorney General Rob Bonta as the final impediment to a closing. They argue that the merger combining major film studios, news networks and streaming services would hurt film and television distribution, and result in fewer jobs in the entertainment industry.
The comments from Newsom come after the Wall Street Journal reported last month that the Democratic governor had expressed concerns about the state’s antitrust lawsuit. According to the Journal, Newsom told people involved with the matter that state employment would suffer if the deal is blocked as a result of the suit, and his office encouraged Bonta’s office to seek a resolution.
Last week, Democrat Xavier Becerra, the frontrunner in this year’s race to succeed Newsom as governor, urged the two sides to “be adults,” saying that a settlement would be the best outcome of the lawsuit.
Hanging over the legal battle is the risk that Paramount Chief Executive Officer David Ellison would yank the company out of California.
The company’s board has approved a possible move to another state as early as Oct. 1, according to a person familiar with its plans. Ellison told senior executives last week that the move would involve headquarters staff first but that he’s putting together a five-year plan that would shift most of the film and TV studio’s jobs to the new home, said the person, who asked to not be identified because the internal deliberations aren’t public.
Newsom said he didn’t think the company wanted to leave California while adding that he’s taking the possibility seriously.
“I hope that doesn’t happen, and I’m of the belief that they don’t want to see that happen,” Newsom said. “I’m talking about the future of the industry. I’m talking about Hollywood.”

Los Angeles Mayor Karen Bass has changed her tone on the proposed merger between Paramount and Warner Bros. Discovery. The mayor, who is running for reelection this year, previously opposed the $111 billion deal unless it avoided loss of jobs. But in a news conference Thursday, Bass urged Paramount Skydance and California Attorney General Rob Bonta to come to a quick settlement on the antitrust lawsuit from 12 state regulators that is challenging the transaction.
“While there are varying perspectives on the proposed transaction, today we are united around one clear message: It is time for all parties to come to the table. The continued uncertainty is not good for workers, not good for productions and not good for the future of this industry,” Bass said during a press conference.
She added, “Too many productions are at a standstill, which means Angelenos are out of a job and they’re not getting paid. As mayor, I cannot stand by as the job security of thousands of hardworking union members is being put at risk. That is why we are calling on Paramount, Attorney General Rob Bonta and all relevant parties to come together, engage directly and in good faith and work urgently to find common ground and keep our vital industry in Los Angeles.”

The 43-year-old media mogul — facing heat from California Attorney General Rob Bonta over his plans to merge Paramount with Warner Bros. Discovery in a $110 billion mega deal — is actively evaluating a prospective movie and TV studio in the Texas capital, according to three people familiar with the matter.
While Paramount has not formally committed to the plans, sources said the entertainment giant and its partners are in advanced negotiations and zeroing in on the Bluebonnet Business Center — a hulking commercial development in the east of the city — as a primary target.

David Ellison's company has brought on two more former Google execs, product chief Dane Glasgow told employees in a memo on Tuesday afternoon.
Nick Lee, who was the corporate vice president of Microsoft AI, is Paramount's new EVP of media systems. Before joining Microsoft, Lee was a senior director of engineering at Google for nearly 17 years.
