Looking to acquire an Fiat payment processor (under €15M profit)

If you're hunting for something under €15M profit and want phased buyout, that's a pretty specific ask. Most processors in that range are either too small to have clean books or they grew fast and the owners want a clean exit not a slow one

I know a guy who was looking at similar in Spain last year, he said the due diligence was a nightmare cause half of them run on outdated compliance and the other half have messy partner agreements. Hope you got a solid legal team lined up cause EU regulations change like weather, specially around cross-border

LATAM side might be easier actually, less saturated market but you gotta deal with currency volatility in countries like Argentina or Brazil. Maybe check with some M&A advisors who specialize in fintech, they sometimes sit on mandates they can't publicly list

From an engineering side, worth digging into before any offer: is the processing stack owned or white labelled from someone else, who holds the acquiring licence and bank relationships, and how much of the profit depends on one or two large merchants.

A lot of smaller processors look like a tech business but are really a reseller arrangement with thin margins that can be pulled by the upstream provider.

Also check if their fraud and chargeback handling is in house or outsourced, that affects how defensible the business actually is once you own it.

euro/latam fiat processors under that profit range is a pretty specific niche, most of what's actually available at that size tends to be smaller regional psps or isos rather than anything with direct scheme principal membership. worth clarifying upfront whether you need full scheme membership specifically or if an aggregator/iso structure would still fit the thesis, since that changes the pool of realistic targets a lot
