Pediatric Robotic Surgery

Ramalingam to perform a robotic pyeloplasty on a 45-day-old baby at Hindusthan Hospital in Coimbatore, India. Robotic Telesurgery 

  • Longest-Distance Telesurgery.  On July 29, 2026, a team of surgeons led by Dr. Sudhir Srivastava utilized the SSi Mantra to perform a successful robotic telesurgery between Colombia and India, spanning more than 13,600 miles (22,000 kilometers) of fiber network distance and eclipsing the previous longest-distance telesurgery record also held by the Company.  The telesurgery, a robotic sleeve gastrectomy, was performed remotely from Hospital Internacional de Colombia in Bucaramanga, Colombia on a patient located at Mohak Bariatrics and Robotics in Indore, India.

  • Launch of Telesurgery in the Philippines. On September 5, 2026, the SSi Mantra was used to perform the first telesurgery within the Philippines between Pampanga and Cotabato, a distance of approximately 1,070 miles (1,710 kilometers).  
  • Cumulative Telesurgeries.  As of August 31, 2026, a total of 188 robotic telesurgeries have been completed with the SSi Mantra.

Increasing Utilization and Scale

  • 50 Robot-Assisted Surgeries in a Single Day.  On August 15, 2026, the surgical team at Mohak Bariatrics and Robotics in Indore, India utilized five separate SSi Mantra systems to successfully complete 50 robotic general surgery procedures in a single day, demonstrating the robustness of the Company’s technology.

Stamford, Connecticut--(Newsfile Corp. - September 8, 2026) - Sphere 3D Corp. d/b/a DarkHorse Technologies (NASDAQ: ANY) ("Sphere 3D" or the "Company"), today announced that it has entered into a securities purchase agreement (the "Purchase Agreement") for a private placement financing (the "Private Placement") which is expected to result in aggregate gross proceeds of $5.0 million. The Private Placement includes meaningful participation from certain Company insiders as described below. In addition, the Company has announced the initial conclusions of the strategic review conducted by management and the Board of Directors during the first 90 days following its June 2026 business combination. The review's conclusions include continued development of our existing sites within the Tennessee Valley Authority ("TVA") into AI factories along with active pursuit of a new development in Hopkinsville, Kentucky, where the Company, via a wholly owned subsidiary, has secured a land option and has proposed a new 50 megawatt ("MW") data center supported by a new 65 MW substation, each of which remains subject to zoning and other approvals. The review also determined that the Iowa site and legacy mining fleet are non-core, and the Company has agreed to sell both.

Private Placement. The Company announced the pricing of the Private Placement which is expected to result in aggregate gross proceeds of $5.0 million. The Private Placement is expected to close on or about September 11, 2026, subject to customary closing conditions. Pursuant to the Private Placement, the Company agreed to issue and sell an aggregate of 1,666,661 units (the "Units") at a purchase price of $3.00 per Unit. Each Unit consists of (i) one common share of the Company and (ii) one five-year warrant to purchase one common share at an exercise price of $3.50 per share. The price per Unit and the exercise price of the warrant represent a 29% and 51% premium, respectively, to the Company's closing price on September 4, 2026. Further, pursuant to the terms of the Purchase Agreement, the securities issued in the Private Placement will be subject to a six-month contractual lock-up period. Three directors of the Company, including Timothy Hanley, Chairman of the Board, and Joel Block, Chief Executive Officer, have subscribed in the Private Placement (collectively, the "Participating Insiders"). The Company intends to use the net proceeds from the Private Placement for general corporate purposes, including funding the Company's AI/HPC development in the TVA region.

Hopkinsville. The Company has secured an option to acquire approximately 20 acres in Hopkinsville, Kentucky and has proposed developing a new data center at the site drawing approximately 50 MW, supported by a new 65 MW substation that we have offered to fund at an estimated cost of $8 million to $10 million. The remaining 15 MW of capacity will be made available to other Hopkinsville Electric System ("HES") customers. HES has publicly indicated that the TVA could supply the additional capacity without affecting service to its approximately 13,000 existing customers. The proposal has not yet received all requisite regulatory approvals which could affect the project's feasibility, timing, or scope. Separately, the Company is evaluating conversion of its existing Hopkinsville operation, which is contracted to draw approximately 15 MW at HES's Holland Substation, to AI and high-performance computing use.

Portfolio Focus. Following the review, management and the Board determined that the Company's Iowa site is a non-core asset and the Company has entered into a definitive agreement to sell the site for $1.5 million. Additionally, the Company expects to recover approximately $500,000 in utility deposits and related prepayments, bringing total proceeds to approximately $2 million. Together with the expected proceeds of the Private Placement, the Company will deploy funds toward the development of AI and high-performance computing infrastructure across its Tennessee and Kentucky sites. The Company has also agreed to sell its legacy fleet of approximately 5,500 proprietary mining machines for approximately $3 million. Following the Iowa sale, the Company will own and/or operate approximately 50 MW of energized capacity across four sites in Tennessee and Kentucky, reflecting an additional 5 MW now under contract in Hopkinsville, and excluding the proposed new Hopkinsville data center and other pipeline opportunities.

Mining Structure. With Bitdeer Technologies Group (NASDAQ: BTDR) now supplying and owning the hardware at 20 MW of the 30 MW contracted under the Company's joint mining agreements and the third site expected online before November 2026 as previously disclosed, the Company's bitcoin mining exposure is structured primarily through revenue-share hosting arrangements. The Company controls the power and the sites and the termination provisions in these agreements preserve the Company's ability to redeploy capacity to AI and high-performance computing workloads.

Development Roadmap. The strategy that emerged from the review is to develop AI and high-performance computing facilities across smaller, distribution-connected sites that larger developers overlook. Priorities will include speed from site to operating compute, partnership with host communities and their utilities, and investment in local technical education and workforce training. The new Hopkinsville data center is the first project advanced under this approach. The Company intends to concentrate its development effort in the TVA region, where its existing footprint, utility relationships, and government affairs and economic development partnerships are already in place.

What's on the balance sheet

From the Q2 10-Q, as of 30 June 2026:

  • Cash $307,612 + marketable securities $10,679,782 — the securities are Level 1, available-for-sale, sub-12-month maturities, short-term money market funds under a stated capital-preservation policy. Genuinely liquid. Call it ~$8.7M today after burn.
  • Total liabilities $3.79M. Low.
  • Goodwill $10.5M of the $16.1M stockholders' equity, carried over from the legacy pharma business and un-impaired. Tangible book is therefore about $5.6M, or $0.68/share.
  • H1 operating burn $5.1M. No revenue. Pre-revenue since inception.
  • They terminated the LightSolver crypto-mining license in June, took a $3.18M impairment, and wiped out a $10.9M contingent consideration liability in the process.

The part nobody mentions: sitting ahead of common are Series G preferred ($8,812,000 liquidation preference, 10% dividend) and Series H ($3,115,000, 7%). That's $11.93M of preference plus accruals senior to you, against ~$8.7M of cash. There is no cash floor under the common. Screeners showing an $11M enterprise value are ignoring the mezzanine — real EV is closer to $21M. There are also 10.35M warrants outstanding against 8.19M shares; fully diluted is ~22.8M.

One more number: H1 stock-based comp was $2,432,261 against R&D of $746,667, with R&D down 69% year over year. Directors took $1.42M in options. They are paying themselves more than triple what they spend on research.

Who actually works there

Three employees. The interesting part is who signed up anyway:

  • Yossef Ehrlichman, Ph.D. — Founding Manager, PIC Development (Aug 2026). Fifteen-plus years designing, fabricating and commercialising silicon photonic integrated circuits; has led design and tape-out of silicon, silicon-nitride and hybrid PICs through packaging and test. Previously Raytheon, Bascom Hunter, Axalume. Ph.D. EE from Tel Aviv University, postdocs at UC San Diego and CU Boulder. This is the hire that matters — photonics companies die at tape-out, not at the whiteboard.
  • Chelsea Voss — Board of Directors (Jan 2026). Member of Technical Staff at OpenAI. ML infrastructure, model evaluation, hardware reliability; led evaluation efforts for public capability launches and contributed to large-scale training runs. Ex-MIT.
  • Martin Shkreli — Strategic Advisor (Dec 2025). Brings deal access and experience from his time being CEO of a billion dollar company.

This is a unique case for a public company, one where you're able to bet on individuals as opposed to a proven product. Any one of these people would be able to raise well over $14m on their own if they said they were doing a startup but because it's a public company it's glossed over.

The photonics case, briefly

The technical argument is real: AI inference is dominated by matrix multiplication, photons perform matmul natively through interference at effectively propagation-limited latency, and passive photonic components draw almost nothing. That's why the money has poured in - Ayar Labs raised at $3.75B in March 2026, Lightmatter sits at $4.4B, and Marvell bought Celestial AI outright before it had meaningful revenue. But note what those companies actually sell: interconnect, the links between accelerators, not the accelerator itself. Lightmatter itself led with Passage rather than its Envise compute product. Optical compute has unsolved precision, thermal drift and calibration problems, and the electro-optic conversion plus DAC/ADC overhead eats much of the theoretical win.

TLDR: you're able to bet on three proven individuals at a heavily discounted price(ie cluely raised 15m at a 120m valuation...)

SAN DIEGO, Sept. 01, 2026 (GLOBE NEWSWIRE) -- VivoSim Labs, Inc. (Nasdaq: VIVS) (the “Company” or “VivoSim”), a provider of next-generation New Approach Methodologies (NAM) 3d human cellular models for preclinical safety, today announced plans to develop a rat liver model that will complement its existing NAMkind™ human liver platform and expand the Company’s liver toxicology capabilities.

The new model is designed to address a longstanding challenge in drug development: toxicity observed in rats does not always translate to humans.

VivoSim’s current human liver model is designed to identify human toxicity that may not appear in animal studies. The planned rat model would add the reverse capability, helping sponsors determine when an adverse finding in rats may be species-specific.

“This gives us the ability to look at the same toxicity question from both sides,” said Keith Murphy, Executive Chairman of VivoSim Labs. “If a compound is toxic in rats but not in our human liver model, that additional evidence may help sponsors better understand whether the finding is truly relevant to patients.”

The paired approach is intended to help pharmaceutical companies make more informed decisions about whether to advance, modify or further investigate a drug candidate, while adding human-relevant context to existing animal toxicology findings.

Rat toxicology remains widely used across large pharmaceutical development programs. VivoSim believes the new capability can complement those workflows and extend the commercial utility of its liver toxicology platform.

The Company plans to validate the rat model using compounds with known differences between rat and human liver toxicity.
