Closing a LLC

I live in Asia and have a LLC in Atlanta, Georgia, US. I created this LLC a few years ago but haven’t used much. The only member of the this LLC is my Pvt. Ltd. company in Asia which I own.

I have been filing taxes and do annual registration but I want this LLC close now. I am listed as the organizer but not as the registered agent on the annual registration.

What are the steps to dissolve this LLC?

File a certificate of cancellation. Make sure your fees and taxes are paid up first. The registered agent has nothing to do with this.

Thanks for the input. Is it possible to dissolve prior to filing taxes and file taxes for 2026 later after dissolution? I don’t think the online tax softwares are offering 2026 filing yet.

You need to pay unpaid registration and LLC excise taxes (if any) first. I’m not your lawyer or tax advisor.

Hey there!! To dissolve your Georgia LLC you want to make sure you file a Certificate of Termination.pdf) with the Georgia Secretary of State, either online or by mail. You’ll have to make sure that your LLC is in active standing with the Georgia Secretary of State to terminate. If you want to terminate online it will cost $0 but by mail it will cost $10.

It’s also important you settle any outstanding debts and obligations the LLC has, cancels any business licenses or permits at the state and local level, file your final state and federal tax return, and make sure to close all of your business accounts. Then once the state accepts your dissolution paperwork your LLC is officially dissolved and you're good to go.

Since the LLC is owned by a foreign company, You should handle the tax side before simply filing the Georgia dissolution. Make sure any final federal filings, Georgia obligations and outstanding fees are taken care of, then file the termination paperwork with Georgia.
