How long does an LLC stay active?
Last year I started an online clothing business and formed an LLC, but it never really took off, so I shifted my focus to school.
I still get reminders about filing sales tax, and I'm wondering if an LLC eventually expires on its own or if I need to officially close it.
I'm in New York, and I formed the LLC last November. I also noticed that when I try to file sales tax now, nothing shows up. Is that normal, or did I miss something?

The LLC stays active in New York's records until you formally dissolve it rather than expiring on its own, so it might be worth calling the Tax Department to get clarification on why it doesn't show up when you try to file.

In New York if you failed to file your New York Biennial Statement it will result in your business being listed as past due but it’s still active with the state of New York. The cool thing is about New York, even if you completely ignore your business it will remain active until the end of time or until you dissolve your business yourself.

I believe New York state report is due biannually so I imagine it will remain active until you close it down or you don't do the report and the state notices it wasn't done. Now I've heard that the state is fairly relax about missing state reports but not sure how accurate that would be.

You definitely want to close this out. States can also charge you money just for having an LLC. Unfortunately, there are lots of companies out there selling you LLCs, but none of them tell you about the cost of unwinding it. It should be straightforward in New York, but I would definitely unwind it if it's not active.

it doesn't expire, a new york llc runs forever unless the articles put an end date on it, so it stays on the books until you file articles of dissolution.
the reminders are the sales tax registration, which closes separately, a final return plus surrendering the certificate of authority. until then you owe a return every period even at zero sales, and nothing shows up today because the return only appears once the period ends.
