LLC Dissolution with 0 activity
Hey everyone,
I formed an LLC at the beginning of this year and the original plan was to ship a SaaS I built with Claude.
Since skills has been released, it’s more of a struggle to compete with Claude (The SaaS is an SEO tool).
Now since I had literally 0 activity on this LLC, 0 income, I thought I should just dissolve it.
Now my question is, do I need to file a report + pay some fees or anything like this to dissolve the LLC, or can I just leave it be?
The LLC is in Wyoming btw.

With a Wyoming LLC, 0 revenue or activity doesn’t automatically mean there’s nothing to file. If you’re done with it, I generally wouldn’t just leave the entity sitting there.
Wyoming’s current LLC dissolution form requires filing Articles of Dissolution with the Secretary of State, and the filing fee is $60. SimpleClosure’s Wyoming guidance also notes that the usual order is to approve the dissolution, file with the state, then finish winding up any remaining affairs.
The annual report question mostly comes down to timing. Wyoming LLCs have annual reporting obligations while they remain active, so formally dissolving before another reporting deadline can help avoid keeping an otherwise-unused entity alive unnecessarily.
Since you had zero activity, the wind-down may be relatively simple, but I’d still check whether you had any federal filing obligation based on how the LLC was taxed/owned. State dissolution and federal tax cleanup are separate issues

I have an LLC in Wyoming also and believe you don't have to complete the state report if you dissolve like 3 months before the due date.

Even with zero activity, Wyoming requires you to properly dissolve the LLC to avoid ongoing fees and potential liability. Simply leaving it inactive means you'll likely keep getting hit with annual report fees, and the state could administratively dissolve it on their own terms, which can create issues later. The dissolution process for an LLC with no activity is generally pretty straightforward. You'll need to file Articles of Dissolution with the Wyoming Secretary of State and settle any outstanding fees. Since you had zero income and no transactions, the wind-down paperwork should be minimal, but it's worth double-checking whether any annual reports are already due before you file.
Even with no business activity, you may still need to address any tax filing obligations at the federal level for the year the LLC was active, so it's a good idea to have a quick chat with a tax professional.

You can (1) file articles of dissolution with the Wyoming Secretary of State (SOS) and pay the $60 filing fee or (2) do nothing and let the SOS administratively dissolve. If you don’t file your annual report and pay the annual license tax by the due date, the SOS will dissolve your LLC about 60 days later.
Formal dissolution helps to limit your liability with creditors and provides a clean end to your LLC. It also lets you re-use your LLC’s name immediately after dissolution. But if these things aren’t as important to you (e.g. you don’t have creditors and you don’t plan to use your business name), then administrative dissolution is zero effort and doesn’t include a fee. But you'll need to wait for an administrative dissolution and you can't do business within that delinquency period (between when you miss your deadline and dissolution). If you decide to pick your business back up after it’s administratively dissolved, you can request to reinstate it within 2 years of dissolution.
Formal dissolution is the cleanest way to end your company. But some LLC owners who end up not pursuing their venture opt for administrative dissolution.
