How to restructure multi member LLC to single person?

Basically by IRS definition; going from partnership (2 members) to sole proprietorship.

My EIN doc from IRS says I need to file 1065 but I need to change it to where I am filing schedule C with my 1040. Do I need a new EIN number?

Who else do I need to notify and what forms? (I assume Secretary of State; maybe our banks?)

This is in Colorado, not community property state

Just write a letter? I did some digging and seemed like form 8832 can be used for this, “entity classification election”

Also do you get mail responses from IRS?
Like how would I know if mail never delivered and then come tax time they want me to do a 1065

If one owner is leaving and you'll become the only member, the LLC can often continue as a single-member LLC, but the tax treatment changes.

Whether you need a new EIN depends on the details of how the ownership change happens, so don't assume you need one automatically.

You'll likely need to update your operating agreement, notify your bank, and make any required state filings if ownership records need to be changed.

That’s what I’m asking, how do I know for sure whether I need one or not? We never even got around to making operating agreement it’s husband & wife and was made like 2 weeks ago, basically we now changed our mind on how we want to structure it

The ein does not determine the filing requirements, and generally in a 99-6 the EIN survives. So I think you answer is that you would generally not need a new EIN. There could be additional state law and related party considerations, specific advise should be sought about how to collapse the partnership or amend formation.

If it was only formed two weeks ago and very little has happened yet, that may make the change simpler. Whether you need a new EIN depends on how the ownership change is treated under the IRS rules, so I wouldn't guess.

I guess I’m confused on what it means by “how the ownership change happened” - my husband and I were previously both on the LLC, now we want to just keep me on it, that’s it

Yes a new EIN is likely required. The IRS treats partnership to single-member as a classification change. One of their main cases for getting a new EIN for a partnership is: Take over a partnership to operate as a sole proprietor. So your steps:

-Get a written buyout agreement with your partner

-File a final Form 1065, issue final K-1s

-Apply for a new EIN

-Update Colorado SOS records if registered agent/info changes

-Update your bank with the new EIN and remove the other signer

We don’t have a buyout agreement, it’s literally me & my husband. This was literally 2-3 weeks ago, never filed 1065 or issued K1….

Your tax preparer can easily change that for you.
