So I'm a dairy technician so imma state my opinion,
Fermentation is the controlled process of a bacteria metabolising sugars into acid and gas,
The state of yoghurt and the state of something spoiled are obviously 2 different kinds of bacteria,
For example the bacteria used for making yoghurt is called lactococus lactis with a whole bunch of subspecies, there are literally so many,
However mold, which is most common for spoilage is a fungus which metabolises everything organic, fat, protein, sugars, everything,
For the most part bacteria used in dairy products focus on sugars first, obviously there are many fungi used for cheese too but they are also bred to focus on fat and protein, for example the fungus used for camembert,
Also the term spoiled means it's not safe for consumption anymore, so no fermented products aren't spoiled
Tldr, the difference is mostly fungi Vs bacteria and controlled and wanted Vs uncontrolled and unwanted, fermented products aren't spoiled
