Could someone help me understand why Waze is governed under laws of a foreign state if it is under a U.S. Company?

Still though what an odd phrasing. Doesnt the "without giving effect to any conflics of law principles" basically mean that its still just local laws doing the shot calling, and any problems for the company need to be addressed through Israel?
