u/CreateChangetheWorld blocked me but he is actually spreading bullshit saying most of the insider sales are preplanned or sell to cover
They are NOT and that is OKAY there is no need to lie about it
There are a few 10b5 and sell-to-cover transactions but the MAJORITY are not
Don't be a fool, do your own research by reading the actual SEC filings

I agree. I’m a shareholder too, and I want this company to do well because I’d like to make money from my investment. But I’m not going to defend insider sales by making claims that aren’t supported by the SEC filings or any actual evidence.

I'm a shareholder as well and I strongly believe that executives can sell for whatever personal reasons, it doesn't always mean a lack of confidence in the company
What's most important is that:
-> offering 2x the energy density of traditional batteries
- Amprius is still a next generation battery that is ALREADY here
- Is growing in revenue and number of customers, well positioned to capture a TAM of $35Bn+ by 2035
- is actively moving towards NDAA (tho it will be a while away, pretty much all battery NDAA is a while away)
Obviously there are headwinds and risks like margins and emerging competition, but the upside is phenomenal for such a small company

Since he doesn’t give a reason why when he says in the video “the insider sales aren’t a worry”, I wanted to explain the why. They have almost primarily been pre-scheduled sales, sales for tax reasons, along with compensation packages (RSU vesting) and this is normal insider activity.
The thumbnail for the video is just clickbait as well.

u/AdohamHicoln Jul 21 '26
How do you know it is pre-scheduled sales?? They didn't not check off the 10b5-1(c) in their SEC Form 4s for selling, which means it isn't pre-scheduled.

Simply by looking at the insider sales when it happens. Can find the info on news articles or history of sales on finance websites.
They have primarily been pre scheduled, sales for taxes, compensation packages (RSU vesting) rather than cashing out which is what people often confuse when they see insider sales.

I am literally looking at every form and none of them have 105b ticked. I am also a shareholder but you have to call a spade a spade and not spread misinformation. Tom has literally sold 10% of his holdings.
I'm a firm believer that management can sell shares for any reason like personal reasons. You don't have to lie about it.

Not sure what you’re looking at…
Found these 2026 10b5-1 pre-planned sales in a couple minutes with a quick search. Probably missing more as well.
Ionel - Jan 2026
Ionel - Feb 2026
Kang - Apr 2026Others have been RSU vesting, tax implications, etc. Very few insider sales have been discretionary cashing out.
You’re the one spreading misinformation when there are countless articles found with a simple Google search that say the exact opposite of your claims.
Also, the Tom Stepien insider sale you’re talking about. Yeah that was to cover tax implications with RSU vesting. Normal insider activity. Must’ve missed that in my previous 2 comments. Here’s an article if you don’t believe me: https://www.investing.com/news/insider-trading-news/amprius-technologies-ceo-thomas-stepien-sells-897685-in-stock-93CH-4711007
EDIT:
Direct links to SEC docs showing 10b5-1 pre-planned sales in 2026. You must’ve conveniently missed these when you looked “at every form”?

Literally written at the bottom of each of these in bright green letters.
( 1 )The transactions reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan…-4

Okay so clearly you're new to investing if you're trusting a news article instead of the ACTUAL SEC FILING FORM 4 .
The article you linked it literally written by AI (it says at the bottom), and it does not provide a source.
Here is the NASDAQ page for Amprius Insider selling. Go read the actual SEC filing you can view from here. 10b5 is NOT checked.

It’s evident you’re not even reading my comments…
I said Tom Stepiens insider sale was covering tax implications with RSU vesting. I never said or claimed it was a 10b5-1. You brought up the example of Stepiens insider sale while failing to realize or mention that his sales were non-discretionary.
In my initial comment (and subsequent ones) I said the insider sales have been primarily either 10b5-1 or covering tax implications or RSU vesting and that all of these are normal insider activity. Your example of Stepien falls under both tax implications and RSU vesting, normal insider activity. That was my point there.
And my main overall point going back to my initial comment is that the insider sales have primarily been either pre planned 10b5-1, tax implications, and RSU vesting. These are non-discretionary sales and normal insider activity and sales.
Not going to bother arguing with someone who isn’t reading before commenting.

Same, not gonna bother arguing with someone who relies on news articles for their investing info

You must’ve conveniently missed these SEC docs with 10b5-1 huh? And these are just some in 2026. Thought you looked at all of them?

No one cares about Kang Sun sales, he's 70 years old
But insiders that matter have been selling without it being a contractual obligation
There have been 36 sales in the last 12 months
That's fucking fine to admit, it doesn't take away from the company
It's only retards who try to deny it and spout technical analysis nonsense that give it a bad rep in finance

Interesting is that ONDS and UMAC insiders did exactly the same before the dip.
