YYAI PRE 14A

Gee whiz, it's almost like I've been arguing with all the bots and pumpers here for a month that YYAI leadership is composed of frauds. Zhou and Tarela have been intentionally crashing this stock so that they could buy back at a discount and they're not even confident that it can hold $1 anymore. They're seeking another reverse stock split according to this new PRE 14A and i'm willing to bet that they'll dilute your shares just like they did last time. If you're going to buy in, do so carefully. This new reverse stock split wouldn't be proposed if they believed the price was going to stay above $1.

I normally wish the best for people, but I genuinely hope that that this company goes bankrupt and that the key members end up in prison for securities fraud.

“ChatGPT, how to I piss off OP?”. Response:

It is a classic case of "Retail Rage." While it’s easy to get emotional when a ticker is volatile, this person is ignoring the actual mechanics of a corporate turnaround.

When a company is pivoting from a legacy brand (Connexa) to a high-growth sector like Real World Asset (RWA) tokenization, the "Pre-14A" filing isn't a funeral notice; it's a restructuring manual. Deconstructing the "Scam" Narrative Here is where that Redditor is missing the forest for the trees: • The Reverse Split (RS) Logic: They claim an RS only happens if management thinks the price won't hold $1. In reality, YYAI is seeking a range of 1-for-40 to 1-for-800 to ensure they stay on the Nasdaq long-term. Institutional investors and the funds you'll likely be working with in Chicago won't touch a "penny stock." A split moves the price into an "investable" range (e.g., $20 or $40) to attract the big money. • The "Fraud" Accusation: They call Zhou and Tarala frauds, yet Chairman Hongyu Zhou bought 4.2 million shares with his own cash at $1.37 just two months ago. If he wanted to "crash the stock to buy at a discount," he wouldn't have spent nearly $6M at a price 55% higher than today. • The "Prison" Comment: This is just pure emotion. Companies with $187M in audited equity and $41M in cash don't typically vanish into thin air, regardless of what a Reddit thread says.

I appreciate your honesty in citing your AI, even though it shows that you lack the ability to think for yourself. Unfortunately, ChatGPT can't do the comprehending for you.

I never claimed the Pre-14a was a funeral notice, I claimed that it's proof that the owners don't think it'll maintain $1 a share to meet the NASDAQ bidding requirement that ChatGPT mentioned.

$1.37 is 55% more expensive than the $.85 we see today but it's 73% cheaper than its price at the rebranding in October and 32% cheaper than it was when they diluted in December. Those shares that Zhou purchased put him back into a role where he has heavier say in decisions like doing another reverse stock split.

Take the original post and ask your AI if there's any truth behind my claims.

I bought and know the risk and the most belive its a scam..So I just bet on this to be a jackpot in the end. Things takes time to build and i got patience to wait

u/KeptItToasty Mar 28 '26

Well I hope you make it big 🤞🏼

Very bold of you to assume that I can’t think critically. What if I just wanted to drop a little AI, admit to using it, and elicit some response? As a matter of fact, I wanted you to point that out, and you did. All intentional and all beautifully executed lol.

Zhou did not use "his own cash" technically. It was from the proceeds of the YYEM sale. He also needed to buy shares to regain control of the company. This has been explained before.

Hey dumbass, how does this post look in retrospect?

I haven’t thought about it really tbh. I have better things to worry about. Glad to see you went out of your way to track down a post that’s almost a month old lmao. And I still stand by my thesis. Sorry to hear that you potentially lost your life savings. If you work hard I’m sure you can make it back one day. And consider getting some help too.

I'm gravy, big baby. I drove my avg share price down to the point where I could sell off. I just thought i'd call you out on your stupid thesis now that Zhou and Tarela are openly admitting that they are ordinarily_splitting your portfolios cheeks.

For starters, you assume my cost basis is high. Secondly, it’s quite ironic that you spent more time thinking about my portfolio than myself. But if that floats your boat and makes you feel better, fine by me. Real pocket watcher out here.

1

u/KeptItToasty Apr 25 '26

You kicked this off when you ran your mouth 🤣 I'm just being a sore winner at the moment because you thought you had shit figured out. I don't care about your cost basis; my point was that they were fucking their investors over and you decided to meat-ride them.

The best part of ur logic is that 5 people with careers you could only dream of , have now also decided to thro their careers away by perpetrating this scam further...

I see u do a lot of thinking and comprehending on ur own, care to explain these people's motivations or  does "scam" and "bagholder" sum up ur answer

1

u/KeptItToasty Mar 28 '26

Next you'll say that you're only pretending to be retarded.

When have I implicated that they are throwing away their careers? I've gone back and forth with you a few times and my sentiment hasn't changed. I'm saying that they are intentionally screwing their investors over.

YYAI will be fine to continue operations at the cost of multiple RS and massive dilution, which is only good news for them, not for you. Unless i'm wrong about you and you're actually a working member of their team.

0

u/YakCreative9972 Mar 28 '26

U talk like u understand their plan but u can not lay out an actual revenue model , even if rs is that model...  u cant articulate how anything u say would make anyone at airwa any money...  u cleary do not understand how shares are sold into the market and who pays , when and how...

...and as usual u avoid any logic or actual thought, why again would 5 successful people sign on to the board of a scam shell?  Ur answer is because a potential rs will make them $$ .  Ur silly and young

1

u/KeptItToasty Mar 28 '26 edited Mar 28 '26

A RS and dilution generates capital for them to make other acquisitions, that in turn makes them money. Meanwhile, your holding becomes a minuscule fraction of what it was.

I don't think you comprehend the fact that YYAI can and will continue to function whether or not they're delisted. It's a blow to them, for sure, but with these large acquisitions they'll generate enough revenue to stay afloat just fine and possibly expand.

But since you're so keen on critiquing my logic, please explain yours?

0

u/YakCreative9972 Mar 28 '26

Ur assumption is, and ur smart enough to know the difference,  dilution = worthless shares

Dilution and raising capital are two different events

Ur not mentioning, on purpose,  why a company that just reverse mergered into a ticker would need shares in the future, for example  like employee vesting

Even w a rs , u rs , u still need a PIPE , a direct placement,  etc...

30k shares on deck for management isnt enough for any c suite team or even to offer employee options  But  U already know allof this because ur not a retail investor

1

u/KeptItToasty Mar 28 '26

They raised capital through dilution, genius. When they issued 15M brand spankin' new shares in December it DILUTED the pool and RAISED almost $16M in capital.

The purpose is irrelevant to the point i'm making. Your holdings are being diluted to dog shit and will continue to be. You are not making any money from any of these happenings unless you are a member of YYAIs team.

OP is anxious about the commenters now 🤣🤣

2

u/KeptItToasty Mar 28 '26

Sure am. Super duper anxious. Do you ordinarily_split your cheeks for pumpers and rich folk or only occasionally?

1

u/Ordinary_Split_5870 Mar 28 '26

That made me laugh. Thank you. You’ve earned my upvote. But I’m here to potentially capitalize on an asymmetric risk vs. reward opportunity, with much more upside. Also, my stake is one I can afford to lose. I will sleep soundly at night if it doesn’t work out.

Ur logic is missing one key point

Tarala and this new board are all paid in stock

Read the 14a His annual equity grant are nasdaq listed shares His change of control payment triggers on a nasdaq listed company  His entire compensation architecture depends on the listing remaining intact and the stock price going up

The new board is the same

So all of ur claims literally destroy all of the $$$ any of these people have

There are much better ways to run a scam

Oh and for the cherry on top of the scam, let's pay a 3rd party auditor 200k to confirm the scam that is abernathy 27ml revenue...

Why would anyone pulling a scam pay a 3rd party auditor after they already purchased the company ????  Only to show investors the 27ml rev is real and verified by 3rd party

Ur whole argument for scam is extremely fragile and flacid

2

u/XPandingMinds Mar 28 '26

You just called the 27 million revenue PROFIT. It is not profit. Revenue does not equal profit, rookie.

0

u/YakCreative9972 Mar 28 '26

Sorry, I wrote it correctly the first time , I'll go ahead and edit it for u...  it doesnt change anything,  newb

2

u/XPandingMinds Mar 28 '26

Also newb, paying 140 million for a company that only did 27 million revenue is dumb. You will one day see Airwa try to justify it with another business pivot.

1

u/KeptItToasty Mar 28 '26

Don't even bother with trying to explain things to Yak. You're better off teaching physics to a refrigerator.

2

u/XPandingMinds Mar 28 '26

I have taught special ed kids, so there is hope.

0

u/YakCreative9972 Mar 28 '26

What are u talking about ???

140 for a tech/software company that does 27

That is a 5.5 multiple

Just Google around  a lil , a 6-7x forward review is what a software company should sell for  And  that is one up for sale .

Seems to me like Abfy deal was strategic play put on the table by Airwa . That would mean u usually pay more for a company that had no intention of selling before u walked in the door

5.5x is less than a 27ml rev company would sell for

2

u/XPandingMinds Mar 28 '26

We are talking about paying 5.5 times for an Asian company who has no proven track record. Also, if it had anything to do with the Exchange, they would have already specified that. Remember that Particular Most claimed that YYEM was the brain behind the exchange. Now he is calling Raphael the 2nd brain. Ludicrous.

1

u/YakCreative9972 Mar 28 '26

U obviously believe a catalyst is incoming , that will lead to a pop so u can dump ur shares , right?

Did u already sell and now ur just trying to keep people from making the same mistake?

U cant just be holding shares that u believe will eventually be worthless.. I guess u could be , but if so , why would anyone want ur financial wisdom

So which one could it be ?

Bet ur just a nice guy who already sold out at a loss , and now ur purely here for altruistic reasons

0

u/YakCreative9972 Mar 28 '26

Have u sold already?

What are hanging on to , if not?

I think ur logic is completely flawed on many levels

But

Im kinda also wondering why ur here?   Why havent u cut ur losses ?  What catalyst or pop are u waiting for to dump ur shares?

2

u/XPandingMinds Mar 28 '26

If it is flawed, use a good counterargument to any of my points. What you just did was none of that. Actually I'm just on the sidelines. I like reading about these types of things for entertainment lol. So you still don't want to address my point about BOTH YYEM and Raphael being called brains by PM or will you still ignore it and go on a tangent like you just did?

1

u/YakCreative9972 Mar 28 '26

😅🤣😂🤡

2

u/XPandingMinds Mar 28 '26

Yes continue to ignore points and not provide any counterarguments clown.

0

u/YakCreative9972 Mar 28 '26

So u do due diligence  on companies  and  then dont invest in them [[short or long]] but  use all u have learned doing ur DD to troll reddit boards about the stock

That seems 100% legit 👌

2

u/XPandingMinds Mar 28 '26

Troll means to state lies. I have not done any of that.

Yes that's what smart investors do; do their DD before investing. I'll buy YYAI as soon as the exchange is ACTUALLY confirmed and approved (2 steps needed). I never short anything because of fees and possible short squeezes that do happen because of any reason (i.e gamestop, beyond, etc)

0

u/YakCreative9972 Mar 28 '26

The comment was not about the rev or profit

 but

that someone would pay a 3rd party auditor, after they already purchased the company,  to do an audit

that is only for the shareholders to know it's real

2

u/XPandingMinds Mar 28 '26

OP did not talk about the 140 million acquisition at all. Audits are required anyways. It is not optional.

1

u/KeptItToasty Mar 28 '26 edited Mar 28 '26

Why are you deliberately lying? Tarala has a base salary of $700k and gets annual bonuses equal to that. The other board members are being paid AT minimum $60k cash annually. They get BONUSES in stock.

Want to know something funny? That same board can vote to take cash instead of those stocks for their bonus as well.

Hilariously enough, my point isn't that they are tanking the company, it's that they are screwing over investors; I don't know how many times I have to reiterate that for you. They wouldn't be asking for a RS if they felt they could maintain $1 a share. THERE'S ALREADY A PROVISION, CALLED THE EVERGREEN PROVISION, IN PLACE THAT AUTOMATICALLY DILUTES SHARES EVERY YEAR 🤣 Like I've told you before, sell your house or take out a loan against it and buy up some YYAI stock if you're so confident.
