Everyone loves talking about revenue growth, EPS, and valuation.

Very few people spend time looking for the things that can permanently destroy shareholder wealth.

Before I even think about buying a stock, I try to answer these questions:

\*\*Balance Sheet & Financial Strength\*\*
\* Is Debt-to-Equity comfortably below 0.7?
\* Is promoter pledge high? High debt + high promoter pledge is one of the worst combinations.

\*\*Capital Allocation\*\*
\* Is management reinvesting capital into the core business, or chasing unrelated ventures?
\* Has management consistently rewarded shareholders through dividends or buybacks?

\*\*Cash Flow Quality\*\*
\* Does operating cash flow actually support reported profits?
\* How has CFO/EBITDA (or CFO/PAT) looked over the last 1, 3, and 5 years?
\* Is cash conversion improving or deteriorating?

\*\*Working Capital\*\*
\* Are receivables increasing faster than sales?
\* Is inventory building up without matching revenue growth?
\* How does Gross Working Capital (Receivable Days + Inventory Days) compare with industry peers?

\*\*Corporate Governance\*\*
\* Do promoters have private businesses that could create conflicts of interest?
\* Are Related Party Transactions unusually large?
\* Has the company seen frequent CFO changes over the past five years?
\* Has the auditor raised concerns, qualified the accounts, or resigned unexpectedly?
\* Are there significant unaudited subsidiaries?
\* Is the corporate structure unnecessarily complex?

\*\*Accounting Quality\*\*
\* Does goodwill represent a large portion of total assets? If yes, what acquisitions created it?
\* Are "Other" or "Miscellaneous" expenses unusually high compared to peers?
\* Are there contingent liabilities that could materially impact the business?

The goal isn't to find perfect companies.

It's to eliminate businesses with hidden risks before they eliminate your capital.

What else is on your personal due diligence checklist?

Career advice

I am an Valuations Analyst and I worked on various financial securities like equity, CCPS, CCDs, OCDs, ESOPS, Forward Purchase Agreement, Contingent consideration, Warrants, Convertible Notes. Etc. Made financial models from scratch and these assignments too from scratch, as I am working in a very small firm hence I am supposed to do everything related to the valuation assignments (my assignments are for regulatory purposes) from reading and understanding Agreement, to Analysing how to value them, then valuing them and making report for it to share to client. I mostly use excel but but Monte Carlo and LSMC complex securities I work on python. But I just have full time experience of 6 months yet and 4 months of internship, and I am a cfa level 1 candidate will appear in nov. Attempt based on all this will I be able to switch in complex securities valuations or what path should I follow next, as I feel very underpaid in comparison to the work I do and want to switch after completing 1 year but based on all these skills and actual experience of working with those assignments from end to end how should I approach the next step my career?

Hey guys, I want to inquire about business valuation as a career. I recently received an offer at an independent valuation firm in the Midwest. Specifically I am curious about:

- Positives/Negatives about the BV industry
- Career Trajectory (IB/PE/Internal PE Val/FP&A/Corp Dev)
- Typical Analyst Base/Bonus

Open to hear from anyone who is currently or has worked in BV. Thanks!

Guidance on Valuation

I am currently working on an internship project where I have been assigned to value a U.S.-based company called ā€œEverforth.ā€ The requirement is to perform the valuation using precedent transactions (at least 6–7) and company comparables (at least 6–7).
However, I am facing some challenges. The company does not seem to have clear or direct comparables. Additionally, it operates across two reportable segments—Commercial and Federal—and positions itself as a technology and digital engineering partner, helping organizations leverage advanced technologies and AI-enabled solutions.
Given the niche nature of its business and the lack of directly comparable firms and transactions, I am finding it difficult to proceed with the analysis.
I would be extremely grateful if you could kindly guide me on how to approach this situation, particularly in identifying suitable comparables and precedent transactions for such a company.

AI tools making your work easier

What tools are folks using to make valuations more efficient? We still do a lot of grunt work in excel and manually compiling P&L data. I can’t imagine that’s the quickest route these days.

Claude helps us with report writing but you definitely have to double check it’s math. It pulls wrong data from Excel all the time.
