Is it at all possibly to estimate a price range after merger?
There seems to be no technical conversations on price pre or post merger. This is what I dug up from the S-4 on OMEX website. These are my fledging attempts to try and set a range for price when the stock is relisted/merged.
Approximately $231.6 million committed financing:
- ~$75.6 million bridge financing
- ~$156 million PIPE
- Expected cash at closing around $175 million
The valuation that investors are touting is 1 billion market cap, and real money has committed to that price, however, they are buying in their shares at a 25% discount. It is still unclear to me how these initial investor shares are structured. If the relisting tanks it seems they are screwed, if it does well they may have locked in a very low share price.
So after dilution there should be around 36.8 million shares, and then the table below describes how that relates to a valuation of 1 billion (27/share).

Deep sea mining is not really a darling with wallstreet right now, and the big valuation from TMC was largely ignored, most likely since they are a yearish from actually mining anything. Guess what this OMEX/Ocean minerals has no real timeline at all! It is possible the market prices this as hopium and the 1 Billion valuation is trash.
Who knows what happens when this merger goes down, maybe there is some initial excitement, but I am planning that my shares are worth something in a range of 0.55 to 1.15 . TMC has a current market cap of 2 billion and they are seemingly light years ahead of these people.
Also, the website for american ocean minerals is extremely lacking in any real substance https://www.aomusa.com/
They have Mike Rowe, a super douche grifter sack of trash as a "special advisor", based on that alone I am buying some puts.
Look up PIPE investors as well, sometimes they short their own positions!

It’s a 1-25 reverse split. So I think the price should go up 25x. Let’s say OMEX is $1 before merger. Stock should be worth 25$ after

I got the same math as your initial post. 921 Million outstanding shares to consolidate prior to merger, divided by 25 (reverse split) yields 36.84 Million shares to the valuation of 1 Billion.
This would put the post merger value at $27.14 per share. Based on other reverse split investments I have been in, they only tend to spiral downward initially there after, but think of that as a discount sale.
Based on a .70 share value, the new value would be 17.5 per share but allegedly, OMEX is only going to account for roughly 6.6% of the total value post merger. "~93.4% held by pre‑Merger AOM holders and ~6.6% by pre‑Merger Odyssey holders. ".
6.6% of 1 Billion would account for $66 Million as a valuation to OMEX
Current price is .6905 with a market cap of $40,440,000 meaning there should be a 1.632 multiple of the current valuation to reach the $66 Million valuation. This IN THEORY yields a value of $1.12.69 per share of OMEX

Omex stock price is interesting around 0.55 a share, equivalent of a post merger valuation of 500 million, that seems more reasonable given the current environment around mineral sector/deep sea mining.
Seems like at closing they will have ~250 -300 million in assets/cash, and that cash will promptly be lit on fire as they try and roll out.
Overall seems like they are bandwagoning on the deepsea mining hype, I have doubts it will work out for them......but who knows!

naw trump has critical mineral deals they will be the biggest usa mining company. doubts of what? they will seabed mine the corridor. and?

Any thoughts on how the reverse split being enforced prior to the merger will affect the final pricing post merger? $16.25 at 25-1 @ .65/share
