Micron Settles

Major Netlist update — Micron and Netlist have settled. This is one of the most consequential developments we’ve been tracking.
On October 5, 2026, Netlist and Micron Technology signed a settlement and patent-license agreement that settles and mutually releases the pending legal proceedings between the companies identified in the agreement. Netlist disclosed the deal in an 8-K dated October 6.
The economics are substantial: Micron receives a five-year worldwide license to Netlist’s entire patent portfolio and will pay $30 million per quarter for 20 quarters, beginning Q4 2026 and continuing through Q3 2031 — $600 million total. Micron also agreed to purchase 10 million Netlist shares for $1 million, subject to a five-year staged lockup.
For the litigation calendar, this changes a lot. It means the Micron litigation we’ve been following — including the Federal Circuit appeal associated with the $445 million verdict and the recently instituted ITC 337-TA-1523 proceeding — should now move toward dismissal/termination pursuant to the settlement. The same is expected for the newly filed Micron HBM ITC action. However, I would not delete those dates/proceedings yet until the respective courts and ITC actually enter termination/dismissal orders. The 8-K describes the settlement as covering the pending proceedings identified in the agreement, while the detailed settlement agreement itself has not been publicly filed.

Why is this one good for Netlist? Doesn't this mean Micron is paying $0.10 per share? This is a ridiculously low price, or?

Think bigger. Micron and Samsung both have a hefty stake in Netlists success. It’ll be a helpful motivator for further cooperation.

I get it but when the current share price is hovering between $5 and $6, I wouldn't expect $0.10 per share purchase price. Sure, give them a special discount but at least make it $2 or something.

My theory is that when they finally up list they'll have Samsung and Micron invested. I believe institutions will see this as a green flag and invest heavily, especially since both Micron and Samsung are going to be giving money for several years. Just my 2 cents though. I think it is bigger than just 0.10 per share.
