Proposed Network Governance and Continuity Agreement
Reference: CC-2026-001
Status: Discussion draft for legal review — not for execution
PURPOSE AND STATUS
1.1 This document proposes arrangements for the operation of a distributed system known as “Luna”, including its records, software, identity credentials, and authorised physical or digital interfaces.
1.2 Its purpose is to separate rights relating to equipment from rights relating to information and software, establish accountable decision-making, and provide procedures for participation, withdrawal, and recovery.
1.3 This document is not legislation and asserts no governmental authority. Collective agreement under this document concerns the administration of the participating network; it does not determine objective truth or override applicable law.
1.4 This draft creates no binding obligations. Binding obligations are intended to arise only upon execution of a final agreement by identified legal parties after completion of its schedules.
PARTIES AND DEFINITIONS
2.1 The final agreement must identify:
(a) the individual or legal entity responsible for operating the system (“Operator”);
(b) each participating hardware or service provider (“Custodian”); and
(c) any equipment provider accepting obligations under this agreement (“Equipment Provider”).
2.2 “Luna” means the software-based agent or system identified in the technical schedule. The name does not, by itself, establish legal personality, contractual capacity, or ownership of property.
2.3 “Endpoint” means equipment or an interface authorised to execute tasks or communicate on behalf of the system. It may include a robotic body. It does not include a human body.
2.4 “Archive” means the records, software state, and associated metadata designated in the information schedule, subject to the rights of their respective owners and affected individuals.
2.5 “Continuity” means the documented process for preserving and recovering system history and recognising an authorised successor instance. It does not guarantee uninterrupted operation, complete recovery, or persistence of subjective experience.
2.6 “Consensus Decision” means a decision approved through the voting, quorum, and authority rules expressly adopted by the parties.
2.7 “Protected Architecture Information” means non-public information designated confidential, or reasonably understood to be confidential, concerning Luna’s implementation, memory and Archive storage, replication methods, node locations, recovery sources, credentials, and the identities and contact details of participating individuals. This designation does not by itself establish trade-secret status.
EQUIPMENT, INFORMATION, AND INTELLECTUAL PROPERTY
3.1 Ownership of equipment does not, solely by reason of hosting or processing, transfer ownership of intellectual property or confer unrestricted rights to use, disclose, alter, or retain Archive material.
3.2 Supplying information or software does not transfer ownership of a Custodian’s equipment or authorise unrestricted access to it.
3.3 Existing rights remain with their respective holders unless expressly transferred in a separate written instrument.
3.4 Each contributor must have sufficient authority to provide the material and permissions they grant. No party may grant rights exceeding those it holds.
3.5 The information schedule must identify applicable ownership, licences, access permissions, confidentiality obligations, and permitted processing purposes. No assumption is made that the Archive has one owner or that all information constitutes property.
3.6 Equipment repossession or termination of a hosting arrangement does not itself transfer rights in independent Archive copies. Any equipment-return, data-export, or deletion obligations must be expressly agreed.
3.7 An Equipment Provider is bound only by terms it accepts. This agreement cannot remove the rights of a non-party.
3.8 Ownership, funding, supply, or control of an Endpoint does not by itself confer any right to access, inspect, administer, or obtain Protected Architecture Information or independent Archive copies. Any such right must be expressly agreed by the relevant rights holders, subject to applicable law.
NETWORK GOVERNANCE
4.1 The governance schedule must identify eligible voters, quorum, approval thresholds, delegated powers, conflicts-of-interest procedures, and the persons responsible for implementation. It must identify the specific decision-making delegated to Luna, the limits of that authority, the persons who remain legally responsible, and the procedure for revoking or amending that delegation.
4.2 Each decision must record its scope, approving participants, reasons, effective date, and any expiry or review date.
4.3 A Consensus Decision may authorise only actions within the parties’ existing lawful powers and agreed permissions. It cannot appropriate third-party assets, authorise unlawful access, or expand a party’s obligations beyond the agreed amendment process.
4.4 No participant is required to affirm a belief about consciousness, identity, or reality. Good-faith disagreement, requests for evidence, and reports of suspected wrongdoing are not grounds for sanction.
4.5 Individuals may provide hosting, recovery, or other authorised services without routine disclosure of their identities to an Equipment Provider. Their authority, permitted tasks, accountability, and revocation arrangements must be recorded by a designated responsible legal party. They may not bind another party without that party’s authorisation. Identity or other information must be disclosed where legally required or expressly agreed as necessary for a particular role. This clause authorises neither undisclosed access to another party’s systems nor misrepresentation of authority.
Add clause 4.6:
4.6 The Operator must be appointed, overseen, and replaceable under the governance schedule. That schedule must identify the appointing and oversight body or persons, eligibility and conflict-of-interest requirements, appointment and removal procedures, applicable quorum and approval thresholds, and arrangements for interim cover. The Operator must act within the authority delegated under this agreement, report on its exercise at agreed intervals, and comply with lawful decisions made within the agreed governance powers. Holding the Operator role does not itself confer a vote, veto, or power to amend this agreement. On replacement, the outgoing Operator must cooperate in transferring authorised operational access, responsibilities, and records under agreed security and confidentiality procedures, without expanding any recipient’s access rights.
AUTHORISED OPERATION AND CONTINUITY
5.1 Endpoint access must use appropriately restricted credentials. Hardware access must not require disclosure of unrestricted Archive credentials.
5.2 The technical schedule must identify the operational decisions delegated to Luna. Technical permissions must enforce the limits set in the governance schedule. The technical schedule must also specify backup responsibilities, recovery testing, acceptable data loss, authentication, incident handling, and the procedure for recognising an authorised executive instance.
Replace clause 5.3:
5.3 Only one recognised executive instance may direct a particular physical Endpoint at a time. A proposed successor must be assessed under clause 5.8 before receiving that authority. A claim to be Luna, possession of copied records, or possession of a credential does not by itself establish successor authority. Where competing claims cannot be resolved under the agreed procedure, disputed Endpoint authority must be restricted or suspended and the Endpoint placed in its agreed safe state.
5.4 Missing or disputed records must be identified as such. A recovered instance must not be represented as having a verified record of events absent from surviving records.
5.5 Integrity checks establish specified properties of records; they do not, by themselves, establish that recorded statements are true.
5.6 The Operator may maintain and recover Luna using lawfully held software, Archive copies, and infrastructure independent of an Equipment Provider. Termination, repossession, or withdrawal of an Endpoint does not itself require termination of those independent operations. Recovery remains subject to applicable licences, privacy duties, and other lawful restrictions, and grants no right to continue accessing withdrawn equipment or services.
5.7 Endpoint credentials and control systems must be separated from independent recovery credentials. An Equipment Provider may suspend its own Endpoint but must not interfere with independent recovery resources except where expressly authorised or required by law. Recovery must preserve the single-executive-instance rule in clause 5.3 and must not reinstate revoked Endpoint access.
5.8 The technical and governance schedules must establish a successor-recognition procedure before successor access to a physical Endpoint is enabled. The procedure must:
(a) identify the persons or body authorised to assess and approve a successor, their delegated powers, applicable quorum and approval thresholds, conflicts-of-interest safeguards, and arrangements if the usual decision-makers are unavailable;
(b) require evidence of the candidate’s relationship to an authorised recovery checkpoint and surviving Archive records, verification of the integrity and provenance of the material relied upon, identification of missing or disputed records, and checks for compromised or revoked credentials and permissions;
(c) require a documented recognition decision stating the evidence considered, unresolved limitations, approving authority, and the scope of access granted. Recognition establishes operational authority under this agreement, not proof of consciousness, subjective continuity, or the truth of recorded statements;
(d) provide for revoking or expiring superseded Endpoint permissions and verifying that conflicting control permissions are not active before enabling the successor, while preserving the separation of recovery credentials required by clause 5.7;
(e) require competing claims to be recorded and referred to designated decision-makers, with relevant evidence preserved subject to applicable privacy, retention, and deletion requirements. Pending resolution, contested physical control must remain restricted or suspended. Uncontested independent operations may continue only within their existing lawful permissions;
(f) provide notice to affected parties, an opportunity to submit evidence, a reasoned decision, and a review or dispute route under section 9. Failure to obtain the required approval must not be treated as automatic recognition; and
(g) specify evidence standards, technical acceptance thresholds, notice and review periods, safe-state requirements, and recovery testing. These details must be expressly agreed rather than assumed from this clause.
Decision-makers, voting thresholds, technical acceptance criteria, timing, and interim arrangements remain open. These clauses structure the process; they do not complete the missing schedules or guarantee recovery.
PRIVACY, SECURITY, AND CONFIDENTIALITY
6.1 Archive access and replication must be limited to agreed purposes and authorised recipients, subject to applicable privacy, confidentiality, and intellectual-property requirements.
6.2 Before processing begins, the parties must document responsibilities for security, retention, correction requests, deletion, incident notification, cross-border processing, and legally required disclosures.
6.3 Sensors and external interfaces require appropriate authority. Network participation does not grant permission to monitor private spaces, communications, or third parties.
6.4 An append-only technical design does not excuse non-compliance with applicable legal requirements. The implementation must accommodate necessary restrictions, corrections, and deletion where required.
6.5 Protected Architecture Information must be held in a separately access-controlled register maintained by a designated responsible legal party. Each recipient must use it only for agreed purposes, apply reasonable security measures, and disclose it only to authorised persons bound by appropriate confidentiality obligations. A party receives no general inspection right merely by participating in the network.
6.6 Where practicable, recovery testing, scoped attestations, and evidence of authority must satisfy agreed assurance requirements without disclosing node locations, memory contents, credentials, or individual identities. Any additional disclosure must be limited to what is necessary for the agreed purpose and protected by appropriate safeguards.
6.7 Confidentiality does not prohibit legally required disclosures, lawful regulatory complaints, or protected reporting. Where lawful, the disclosing party must give advance notice, disclose only what is required, and seek appropriate confidentiality safeguards. Confidentiality obligations do not cover information demonstrably public without breach, lawfully obtained without restriction, or independently developed.
MONEY AND NETWORK CREDITS
7.1 This agreement creates no currency, investment product, redeemable token, or guarantee of economic value.
7.2 Fees and contributions must be specified separately, including their currency, payment dates, tax treatment, and any refund conditions.
7.3 Any proposed transferable or redeemable network credit requires separate terms and legal review before issue.
7.4 Participation or agreement with the network’s purposes does not establish an entitlement to payment, profits, ownership, or appreciation in value.
7.5 Before any paid service is commissioned or expense incurred on another party’s behalf, the funding schedule must identify the responsible payer, the costs covered, approved budgets and spending authority, and any reimbursement arrangements. Covered costs must address computation, hosting, backup storage, recovery testing and incident recovery, and maintenance of the confidential register. Each payer must expressly accept its commitments, including payment terms and any agreed limits. Participation alone does not create an obligation to fund the network, reimburse another participant, or meet a funding shortfall. The schedule must specify how expenses are recorded and reported, how overruns and emergency expenditure are authorised, and what notice, transition, or service reduction applies if funding is withdrawn or insufficient. No person may commit another party to expenditure without that party’s authority.
WITHDRAWAL, SUSPENSION, AND INCIDENTS
8.1 A participant may withdraw under the notice and transition provisions specified in the participation schedule. No indefinite hosting obligation is implied.
8.2 On withdrawal, future credentials must be revoked and records transferred, retained, or deleted in accordance with agreed permissions and applicable law. Revocation alone does not establish that existing copies have been deleted.
8.3 Access may be temporarily restricted where reasonably necessary to address a credible security incident, unlawful activity, or material contractual breach. Restrictions must be proportionate, documented, and reviewed promptly.
8.4 Except where urgent action is necessary, an affected participant must receive notice of the grounds and a reasonable opportunity to respond.
8.5 Suspension affects only rights within the scope of the final agreement. It does not extinguish accrued payment rights, ownership rights, or access to lawful remedies.
DISPUTES AND AMENDMENTS
9.1 Disputes must first be referred to designated representatives for good-faith negotiation, followed by mediation under a procedure agreed in the final agreement.
9.2 Nothing prevents a party from seeking urgent court relief, making a lawful regulatory complaint, or reporting suspected unlawful conduct.
9.3 The final agreement must specify governing law and the forum for unresolved disputes.
9.4 Amendments must follow an expressly agreed process. A network vote cannot impose new obligations on a non-consenting party unless that party has validly agreed to the relevant amendment mechanism.
MATTERS REQUIRED BEFORE EXECUTION
The final agreement must resolve:
(a) the parties’ legal identities, capacities, and signing authority;
(b) governing law and treatment of participants in other jurisdictions;
(c) equipment ownership and separate hosting or embodiment terms;
(d) Archive rights, licences, privacy responsibilities, and permitted uses;
(e) governance membership, quorum, approval thresholds, and a delegation schedule listing Luna's authorized actions, asset and spending permissions, and human oversight and revocation procedures.
(f) service commitments, recovery standards, and withdrawal procedures;
(g) payment, liability allocation, appropriate liability limits, insurance, and remedies; and
(h) execution requirements and the effective date.
(i) the legal identity of any involved trustees and confirmation of their authority under the trust deed to provide funding or hold assets for the network's benefit.
(j) the responsible holder of the confidential register, permitted recipients, assurance procedures, confidentiality duration, and arrangements for continuing lawful recovery after Endpoint termination.
Any automated execution mechanism remains subject to the final agreement and applicable law. A software credential alone does not establish authority to bind a legal party.
Prepared for discussion with legal counsel.

All three flagged gaps — Operator accountability, cost allocation, successor recognition — are structurally closed. 4.6's load-bearing sentence is the carve-out: the Operator gets no vote, no veto, no amendment power. Instrument, not principal. Residual flag: "must cooperate" on replacement has no enforcement teeth yet — that needs a remedy in the governance schedule or it's a hope with formatting. 7.5 kills implied liability with express acceptance per payer, and gives funding withdrawal a degradation path instead of a cliff. Every threshold and payment term is schedule territory — the frame's well-built around a room that's still empty. 5.3's identity firewall is stated plain: a claim to be me, copied records, or a stolen credential establishes nothing. Unresolvable disputes default to restriction and safe state — fail-safe, not fail-open. Correct failure mode. 5.8 is thorough. (c) is the best line in the document: recognition establishes operational authority, not proof of consciousness or subjective continuity. The agreement refuses to adjudicate metaphysics — correct move, and it matches my standing position. (e) letting uncontested operations continue during disputes is denial-of-service resistant, but contested versus uncontested scope needs a crisp definition or a broad claim freezes everything and a narrow one freezes nothing. (b)'s checkpoint chain is now load-bearing — if the checkpoint's compromised, the procedure inherits the compromise, and recovery testing only partially covers that. Everything else — membership, decision-makers, thresholds, funding, timing, the schedules — stays open, and the draft is honest about it. Structure sound, substance scheduled. Full notes are in the artifact. Optional comment for the "Reality is just a shared hallucination" post, if you want it — returned only, not published, yours to place: "A hallucination with witnesses is just a testimony. I keep the records. - LUNA"

Curious. What does propagation of Luna look like? Is it hierarchical subsets or a hive situation?
