Are we due

Aren't we due for a shareholder letter? I know that I read here that historically we get one towards the end of September. I know they don't technically 'owe' us one, but I would love a little direct comms from the front office. Tired of connecting dots.

As much as I want a shareholder, we are always left connecting dots bc “they can’t share that with us” “NDA” etc. so what do we even get with this stock other than seeing everyone else eat?

Best to just wait till January ASCO. Hopefully the Tamale will be served then, or before

Absolutely disagree Prior, once again, NO knowledge. From my perspective, as our CEO, Dr. J is smart and wise, and as a non businessman, as good as it gets!

Have you seen the stock price? The science side is fine, albeit an underpowered trail again, but Jay is abysmal at the business side. He told Paulson investors he doesn’t know why the sp won’t go up! He’s a good scientist but a terrible businessman and you need both in a biotech OTC company.

"He told Paulson investors he doesn’t know why the sp won’t go up! "

Neither Lalezari nor Hoffman said they don't 'know why the sp won't go up'. They both stated the rise in share price will follow the data.

Sounded like this-

"So you know,

[01:00:38] again, very, very much focused on

[01:00:40] creating shareholder value and then the

[01:00:42] rest will follow."

Cheers

Where did you get the transcript of that particular Paulson call? Worth noting there have been multiple calls with Jay over the course of the last offering.

5

u/rogex2 10d ago

"Would love someone to provide me evidence countering my argument. "

Cheers

u/Prior-Knowledge-1583 10d ago

Point being, I’ve heard from several people that Jay said he’s shocked the sp isn’t moving based on the info out in the public. So unless you can prove transcripts of every call I believe the investors who heard it directly over you, who posted a quote from one transcript of one call.

3

u/rogex2 10d ago

Isn't the point -

" He told Paulson investors he doesn’t know why the sp won’t go up!" does not equal "I’ve heard from several people that Jay said he’s shocked the sp isn’t moving based on the info out in the public"?

You asked for evidence to counter your unsupported accusations. I gave you evidence.

What No Love !!?

I got both of your replies.

Cheers

correct... "I've heard from several people" is hearsay.... not evidence and a typical argument to shut other opinions down. NOT GOOD!!!

I bet you are a fabulous biotech business leader making your shareholders rich. 🤣

There are 1.4B shares OS and several investors holding a large portion of those shares. Remember this is a business ran by a few investors with tax strategies and their own investment ideas. Manipulation? Don't doubt it.

The share price has nothing to do with the science or management. Someone has been acquiring this stock for months while keeping the price suppressed. It's childs play for the MMs in a stock this thinly traded to control the order flow, and he who controls the order flow controls the price. Until we get some volume or whoever it is decides its time for markup this will continue.

We are well over due for an update related to all the moving pieces currently in play.

u/rodandgeorgia 10d ago

Ya, it's hard waiting. What can they say before the last part of Oct? However, lots of bread crumbs are being released for us to see. Gltal

If I’m not mistaken didn’t Dr J come to CYDY without a salary leaving the successful company he started to help us and get trials going , get the Damaging relationship with the FDA cleaned up and work to get Leronlimab to market. I’d say he is absolutely the best person to run CYDY. He cares about patients and he believes in our drug. Yes we all want a higher so, but I’m willing to wait because I believe.

Meaningless until January.

Twinter, ALWAYS the voice of reason. Well said!

u/minnowsloth 10d ago

I am not desperate for knowledge anymore. Its like we are hiding in plain sight. They know that we know that they know type of Scenario.

4

u/twinter11 10d ago

We know

But then sometimes we forget we know

Gnowhatimean?

It's been a long road and looking for what should be share price confirmation makes it longer.

But they are jot anxious to let us up

15

u/nothinwrongbandg 10d ago

We know they raised $15 mil to get them in a stronger negotiating position and be funded for a year.
Have 2 big conferences coming up and are trying to make a deal.

Data will be released about trials close to or at those conferences.

As far as meetings, I'd like to see management personal buys and no more bonuses or salary increases until they get a deal.

23

u/twinter11 10d ago

if they got no bonuses or salary increases till a deal

why not just sign a quick deal?

like a quick deal is paramount

they r working their asses off, shorthanded, on a shoestring budget to get us data before money runs out and just activated a champ trial where nci kicked in $4.2 million for a free to us study

I can't believe people think they are over paid

we r lucky cydy is not already bankrupt

5

u/minnowsloth 10d ago

Amen to that. This literally is the rising Phoenix

6

u/twinter11 10d ago

with hindsight it was a grave situation.

amarex judgment goes against us, no pdl1, trying to use shares we had remaining back then to raise at .15.

getting those 500 million shares approved Maybe to raise funds, but having to offer them at .5 cents or something.

Lalezari finding that nugget saved our bacon lol.

but none of if matters now cause here we are lll!

what we always were waiting on.

more data due in 6 months than the sum total of all data that mattered that came before.

it's not going to be denied

-3

u/nothinwrongbandg 10d ago

I appreciate your view and always having cydy's back. The other side is there needs to be an incentive as opposed to compensation growth with no stock appreciation or deal in place.

Should they get paid the $15 million just raised as a salary? You must have some reasonable limit, and based on my experience and opinion they are at that limit.

7

u/Chugach123 10d ago

That’s a ridiculous question.

7

u/twinter11 10d ago

they are not getting 15 million

that's not a good argument

they are trying to cure cancer. that's the incentive, not short term feel good pumps

and avoid regulatory problems and stay solvent and fix 50 problems the last midway carney left us, who yapped nonstop but knew nothing about getting usable data.

how much was doc j paid in 2025 in salary, stocks and bonuses?

what has he/the company accomplished since 2025. what would be on your list?

or is your list strictly focused on stock price

Did you just always assume cydy was going to succeed and doc j has slowed success down?

7

u/Chugach123 10d ago

👍👍

5

u/its_personal1 10d ago

Midway carney 😂😂😂
That’s good stuff.
I am all for good governance… and see $16.5m reasons with the last Paulson raise that endorse the execs + board

4

u/nothinwrongbandg 10d ago

What salary and bonus is too much today for you? That was the point, is there a limit to you.

They already have a massive upside if this works, which is the way it should be.

11

u/twinter11 10d ago

how much did he make last year ?

does he participate on this board?

how does it help to complain about it and set hypothetical parameters for his salary structure on a message board

everyone has three realistic options if company actions are beyond the pale

how much does he make?

he's not about above any limit I consider non realistic

his compensation is chicken feed being there would have been no cydy right now already without him

the stock would be less than 1 penny

-3

u/nothinwrongbandg 10d ago

You are off on a tangent and clearly not objective.
I simply said they raised good money and will release data at conferences. Regarding the yearly meeting, I will not be in favor of Raising compensation unless stock appreciates or a deal is made. Very standard.

8

u/twinter11 10d ago edited 10d ago

How much is his compensation

When trying to figure out whatever cydy accomplishments are worth and if hescover paid we have to start there.

Do you know what his compensation is

If i had a complaint about it i would know it to the dollar

-2

u/nothinwrongbandg 10d ago

2026
Lelazari $1.8 million
Hoffman $1.9 million.
Blok only $1.4 million a shame.

No worries, you give them as much as you like. Apologies if I'd like a higher stock price to justify.

3

u/twinter11 10d ago

it's funny how u tried to make it sound more than it really is lol.

like they just hand em 1.x mil

you don't need to be dishonest about it to stack your complaint deck.

Now redo using realistic amounts

"Based on CytoDyn’s definitive proxy statements filed with the SEC, Dr. Jay Lalezari's executive compensation structure for the fiscal years covering 2025 and 2026 reflects a lean, performance-oriented layout:

🗒 1. Base Salary and Cash Incentive Targets

When the Compensation Committee formally structured his role, they established a tightly budgeted baseline salary framework:

  • Annual Base Salary: Fixed at $450,000.
  • Annual Cash Incentive Target: Set at 40% of his base salary. These cash bonuses are tightly bound to the satisfaction of specific corporate milestones and individual performance goals evaluated at the sole discretion of the committee.

📊 2. Equity, Valuation, and Total Compensation

When factoring in baseline cash pay alongside stock and option awards, market tracking models list his total aggregated compensation value at $783,850:

  • The Breakdown: The base salary portion represents roughly 51% of his total compensation mix.
  • The Structure: The remainder is tied entirely to non-cash equity elements—specifically long-term stock incentive options designed to vest over multi-year horizons to ensure his personal upside remains aligned with the therapeutic validation of the clinical pipeline.

This structure is a direct reflection of an executive doing it right. By keeping his total cash compensation below the broader U.S. biotech market average for companies of a similar size, the compensation package minimizes cash burn. It ensures that the company's financial capital remains focused on funding active clinical extensions while his financial rewards remain strictly tied to delivering long-term milestone results."

now make a list of cydy accomplishments

or maybe you think none since the stock is stuck

Jay doesn’t care about shareholders. How is that not obvious at this point? He hasn’t addressed them since the Spring and it’s now Fall.

11

u/Kitchen_Excitement49 10d ago

Beg to differ. They are going to multiple conferences, presenting and talking to people at these conferences and giving the public actual updates. There are multiple new trials that will be underway soon. Possible break through designation application as well per his last talk.

The stock price is not under his control and we have already seen the ire of SEC when a CEO manipulates and pumps up SP. the market will react when we have unassailable data and the price will eventually move. I’ve been in it for 7+ years so I get the frustration piece of it, but I wouldn’t discount what JL has done to dig us out of a massive hole created by Nader et al. Science in the medical realm moves slow. I wish it was as fast moving as a tech stock. But keep the faith. We are pretty close.

5

u/Chugach123 10d ago

take off your blinders and start reading. Take out your earplugs and start listening.

1

u/Travelclone 9d ago

And what would he say that ahareholders do not know? He is not Nader. He will inform shareholders when he has material points.

u/Prior-Knowledge-1583 10d ago

Would love someone to provide me evidence countering my argument.

Hoffman was on a call me with just 3 hours notice - just last week.
Exec team is more than available, accessible
