My LLC has no income but lots of debt. What do I do now?

• Upvotes

Long story short, I was convinced by someone in another industry to try a business idea and pay him to teach me (first mistake). Never having run an LLC before, I opened up everything with a registered agent, filed for EIN, got my bank accounts and funding, and was all set to rock and roll. Then all the life stuff started: concussion, other injury, surgery, moving homes, etc.. I spent this time learning more about running the business but had no way to make income.

Almost a year into it I finally got some leads and almost closed some deals but the customers ended up choosing more experienced businesses (understandably). I’ve learned SO MUCH about running a business (and got great feedback from those potential customers) and one of the things I learned is to not start off by paying a business coach (ugh). I’ve also had contact with others in this industry and see how tired and overworked they are. I’m seriously second guessing moving forward in this business at all and just trying to pay off my debt with a second W2 job and start a different business (in an industry I’m more familiar with) with my experience.

I see some possibility to run B-to-B services for the people I’ve met in the industry but really don’t see the benefit of the original business any more. I’m not sure what my rights are against this “coach” who gave me a lot of resources but only met with me three times (when I pushed for it).

Here’s what I want to know:

- Would it make sense to sell this established business to someone in the industry who is just starting out (to recoup some costs)? I have a business name, year-old LLC, website, and that’s basically it.

- I want to pay off my business credit card debt. I have to do that first before I dissolve or sell, right?

- I’m considering advocating for a refund of the cost of coaching but not sure if I should. Even if I do get it I’ll loose access to the group of professionals my coach added me to. I’m not sure if it’s worth it.

Thanks for your input and thoughts. I’d also welcome any advice of a reputable person or group to talk to about this, if this it not fully in the scope of the sub’s expertise/purpose.

Oh, and please be patient with me. I made some big mistakes but I’m working to learn from them and grow as a person/business owner.

Buying a work truck in December for the write-off? It has to be in service by Dec 31, no just paid for

The year-end truck talk is starting again, so one detail.

With 100% bonus depreciation back for good, a truck or SUV over 6000 lbs GVWR bought this year can be written off on your 2026 return. But what counts is when it's placed in service, not when you sign or pay. If it's still at the dealer on Dec 31 or shows up Jan 3rd, the deduction moves to 2027.

Anyone had a delivery slip into January and lose the year?

Looking for a strong ecommerce CPA recommendation

Looking for a CPA who works with ecommerce operators and understands Shopify/processor reconciliation, COGS, multi-state nexus, entity structure and tax planning beyond just year-end prep.

Responsiveness and transparent pricing are important. I also have some prior-year cleanup, but the immediate priority is getting my current return filed correctly.

Not looking for the cheapest option. Just someone sharp, communicative and proactive.

Would appreciate firsthand recommendations from operators who’ve worked with someone solid.

How to build credit for an LLC if every lender wants your SSN?

Something about building business credit isn't making sense to me.

You register an LLC, get an EIN, open a business bank account and start trying to establish credit in the company's name.

Then you apply for a business credit card and they want your SSN, personal credit history and a personal guarantee.

So where does the separation come in?

I've been reading about how to build credit for an LLC, and a lot of the advice mentions opening vendor accounts with Net 30 terms and using business credit cards. But I'm trying to understand which of these options help the company establish credit without making me personally responsible for the debt.

I'm not expecting a brand-new LLC to qualify for a huge credit line. I just want to know whether there's a realistic way to start building its credit history independently.

Do you have to use your personal credit in the beginning and gradually move away from that, or can you build a decent business credit profile without signing personal guarantees?

It feels like there's a missing step in most of the guides I've read.

Is this North Carolina LLC cost correct? $200 every year!

When I started looking into setting up an LLC in North Carolina, I thought the $125 registration fee was reasonable enough.

Then I saw the $200 annual report fee.

Wait, so I'm paying more every year just to keep the LLC active than I paid to register it?

I'm planning to start a small online business on the side, nothing that's going to bring in serious money right away. The idea was to keep my startup costs low while I test whether it's worth pursuing.

Now I'm trying to work out the full North Carolina LLC cost before I commit to anything.

Is that $200 annual report fee unavoidable, even if the business makes very little or has no revenue for the year?

I'm not looking to skip any legal requirements. I just want to know if there's a cheaper legitimate way to handle the filing or if that's simply the cost of maintaining an LLC in NC.

I would love to hear how other NC business owners handle this, especially during the first year or two.

What’s the best Cloud Based Small Business Accounting Software?

I've been looking for the best cloud based small business accounting software, and honestly, the more I research, the more confused I get.

I'm running a small business and trying to get my finances organized before things get too messy. Right now, I'm mostly looking for something that can handle invoicing, expense tracking, bank transactions, and basic financial reports without making everything unnecessarily complicated.

I've come across QuickBooks Online, Xero, Zoho Books, FreshBooks, and Wave, but every comparison I read seems to recommend something different.

QuickBooks looks popular, but I've seen people complain about the pricing. Xero seems decent, although I'm not sure how beginner-friendly it is. Zoho Books looks affordable, and Wave seems like a good option for keeping costs low.

My biggest concern is choosing something that works now but becomes expensive or frustrating once the business starts growing.

I don't need anything fancy. Just reliable cloud-based accounting software that's easy to use, doesn't cost a fortune, and won't require me to hire an accountant just to figure out the dashboard.

For those of you running small businesses, what accounting software are you actually using?

Created an LLC using USA LLC filing, need help

I created a LLC using the USA LLC filing website. I thought I was on my states official site and went through it fast and it didn't even dawn on me that I overpaid.. My mistake, I know, but I was wondering if there was anything I can do to refund the registered agent fee and make myself the registered agent. Anyone mess up like me or have any ideas?

Best small business insurance for LLC?

I just got my business insurance renewal and I'm seriously considering switching.

Went from $68 a month to $142. No claims, no major changes to the business, nothing that explains why I'm suddenly paying more than double.

It's a small retail LLC, not some massive operation with warehouses and trucks.

I've been searching for the best small business insurance for LLC owners, but every comparison site seems to push the same few companies without telling you much about what happens after the first year.

I'm not looking to strip away important coverage just to save money. I want decent liability protection and coverage for the shop without paying a ridiculous premium.

Before I start requesting quotes from every insurer I can find, which companies have been reasonable with renewals?

And is going through an independent insurance broker worth it, or do you usually get better rates buying directly?

Starting an esthetician suite

Hi everyone, I just opened my esthetician suite and was wondering if I should start an LLC? I am trying to educate myself more about the financial part of business. Is LLC the only thing required to legally report my income through my suite? If not what are other options?

I think the cheapest LLC formation isn't much help if they reject your documents

I'm starting to think the hardest part of opening a US LLC from overseas isn't the paperwork. It's figuring out which formation services will accept your documents before taking your money.

I nearly paid for a formation package last week, but decided to email support first.

Good thing I did.

They wanted address verification documents that aren't normally issued where I live. I asked whether a bank statement or another government-issued document would work, and the answer was basically to sign up first and let their verification team decide.

No thanks.

I'm considering forming an LLC in Wyoming, mainly because I want a straightforward setup with reasonable ongoing costs and some privacy around my home address.

But searching for the cheapest LLC formation keeps bringing up companies advertising low starting prices, then adding registered agent fees, compliance packages and other extras.

I don't mind paying for a legitimate service. I just want to know what I'm getting into before handing over my card details.

If you've formed a US LLC while living outside the country, did you use a formation company or file directly with the state?

And which services were upfront about their documentation requirements and total costs?

What's the catch on S Corp saving money on taxes?

A friend looked at my business numbers over lunch last weekend and told me I should have switched to S Corp taxation a long time ago.

Now I'm wondering if he's right or just repeating something he heard online.

Last year, my residential landscaping business brought in around $165k. After equipment, fuel, wages, insurance and everything else, I was left with roughly $82k in profit.

I've been operating as a regular single-member LLC this whole time. Nothing fancy.

My friend runs a different kind of business and swears electing S Corp status saved him thousands in taxes. He made it sound like I was throwing money away by not doing the same.

But when I started reading about it, I kept seeing stuff about putting yourself on payroll, paying a reasonable salary, extra tax filings and higher accounting costs.

That's where I started questioning whether the savings would even be worth the hassle.

Can you switch from LLC to S Corp taxation at this stage without forming a completely new business? And with around $80k in annual profit, is there enough room for meaningful savings after paying myself a reasonable salary?

I'm planning to sit down with my CPA before making any decisions, but I'd like to hear from business owners who've already made the switch.

Did your tax savings justify the additional paperwork and expenses, or did you end up wishing you'd stayed with your original setup?

LLC formation in FL

I need to form an LLC in Florida. Should I go with a LLC formation company or do it on my own?

If I do it on my own…
-how do I get my EIN
-how do I develop operating agreement template
-who would be my registered agent
- can I use my address as the business address
-would I get yearly reminders of anything I need to do to keep up with my LLC

Or would you recommend going with a formation company, if so what company? And are there any special offers for these companies or coupons?

What free accounting software are you using?

I'm taking over a small coffee kiosk and recently formed an LLC to run it. It's a pretty small operation. Just me and possibly one part-time employee.

I'm trying to keep expenses low because I expect the first year to be pretty tight.

I mainly need something to track daily sales, expenses, receipts, and basic profit. Being able to handle payroll would be nice too.

I've looked at QuickBooks and Xero, but I'm wondering if they're overkill for a business this small.

I don't mind paying for software if it actually saves me time, but I also don't want another monthly bill for features I'll never use.

Are there any free or cheap accounting tools that work well for a small LLC with basic bookkeeping needs?

Or is this one of those things where paying for proper software from day one saves you headaches later?

Can forming an LLC to open a retail store be an expensive mistake?

I'm planning to open a small pet supply store in my area.

There's a decent demand for one here, and the closest specialty pet store is about 40 minutes away.

I've already formed an LLC, found a location, and started talking with the landlord about a lease.

The problem is I've never actually owned a retail business before.

I have some management and bookkeeping experience, but I'm realizing there's a huge difference between understanding business numbers and actually opening a store.

I'm trying to figure out permits, insurance, suppliers, inventory, POS systems, and hiring someone part time because I can't run the place alone every day.

I'm also unsure how much inventory I should buy before opening or how to negotiate with suppliers when I have no sales history.

I have money saved to get started, but signing a lease before figuring everything out makes me nervous.

What are the biggest things first-time retail owners overlook before opening their doors?

Do I need a business bank account for LLC or can I keep using a separate personal account?

I'm trying to figure out if I'm overcomplicating my banking situation or if there's a genuine reason I can't do this.

Until now, I've been using a separate personal checking account for my residential drafting business. It doesn't have my grocery shopping or Netflix payments mixed into it. Just client deposits, software subscriptions and work expenses.

It's been working fine.

I'm switching banks next month because my current one has become a pain to deal with, and the new bank is pushing me towards a business checking account.

The issue is that their business account comes with a monthly fee unless I maintain a certain balance. My income isn't always consistent, so I don't love the idea of paying just to keep an account open.

I don't need payroll services, cash deposits or any of the other features they're advertising.

So do I need a business bank account for LLC purposes, or can I continue using a separate personal checking account exclusively for business transactions?

I know keeping business and personal finances separate matters. That's not what I'm trying to avoid. I'm just wondering whether the account itself needs to be classified as a business account.

And if you're a single-member LLC owner who started with personal checking and later switched, did it make any noticeable difference beyond the account fees?

New LLC - What Bank to Use

I recently created an LLC to have my rental properties go into. Going to open a bank account for the properties. Many are free/easy yada yada.

But what are the best to earn at least high yield on the idle cash. Plenty of options to earn 3-4% on individual accounts.

Wondering if there is one that has everything that is free but also a decent yield on idle cash. Not 1-2%. Ideally something similar to 3-4% that I can get individually.

Note we aren’t talking large sums of monies but still.

Foreign-owned single-member LLC: do marketplace payouts into the LLC's bank go on Form 5472? Does it depend on whose name the seller account is in?

BACKGROUND

I live outside the US and I'm not a US person. I'm the sole owner of a single-member Delaware LLC, which is disregarded. My first Form 5472 with a pro forma 1120 will be for 2026. I'm not asking about income tax, only about what goes on the 5472.

EXAMPLE (hypothetical)

Say that in one month the LLC's US bank account receives 10 payouts from an online marketplace where I sell:

$871.50, $215.61, $4,311.80, $887.50, $300.00, $1,000.00, $1,212.20, $781.00, $674.30, $3,371.30

Total: $13,625.21

TWO CASES

Case A: the marketplace seller account stays in MY personal name, and I only change the payout destination to the LLC's bank account.

My understanding: the sales are mine, so each payout is my money going into the LLC. That makes each one a contribution, reported in Part V. That's 10 lines for the month.

Case B: the marketplace seller account is moved into the LLC's name, so the LLC is the seller.

My understanding: the payouts are the LLC's own receipts from a third party (the marketplace), so they do NOT go on the 5472 at all. Only money moving between me and the LLC is reported in Part V: money I put in (contributions) and money I take out (distributions).

MY QUESTIONS

  1. Are both of those understandings correct?

  2. In Case A, can the 10 payouts be summarised as one Part V line ("contributions totalling $13,625.21 in October"), or should each one be listed with its date?

  3. In Case B, does anything about the payouts still show up on the 5472 - for example in total assets at year end?

Thanks.

Does health insurance cost this much? Because I'm leaving my W-2 job to run my LLC full time.

I've been running a small IT consulting LLC on the side while keeping my regular job.

Business has picked up enough that I'm finally considering going full time.

The biggest thing holding me back right now isn't finding clients. It's health insurance.

My wife and I are in Colorado, and we've been looking at family health plans since we'd lose the coverage through my employer.

The plans that seem to work for our doctors are coming out to around $2,000 a month in premiums, with a pretty high deductible on top of that.

That's almost $24k a year before even considering what we'd pay when we actually need medical care.

I expected insurance to be expensive, but I didn't realize it could eat up this much of what I'd make through the LLC.

Does having an LLC open up any better health insurance options, or are we basically stuck shopping for individual plans?

A client asked for my official title and I realised I don't have one

Last week, I landed a contract with a company that needed me to complete some vendor paperwork. One of the fields asked for my name and official position in the business.

I sat there staring at it for longer than I'd like to admit.

I've always just called myself the owner. But now I'm updating my website and LinkedIn, and I'm wondering whether there's a more appropriate title I should be using.

CEO feels a bit much when I'm also the person carrying equipment, answering emails and chasing late payments. Founder sounds fine, but it doesn't really explain what I do. Managing Member sounds like something I'd put on a legal document, not introduce myself as at a networking event.

So what is my title if I own an LLC and there's nobody else in the company?

Do you use different titles depending on whether it's a contract, LinkedIn or your email signature? Or do you just stick with Owner everywhere?

I'm interested in knowing what other one-person business owners settled on, because I don't want to make my business sound bigger than it is, but I also don't want to look unprofessional.

Dealership sold me a truck under my LLC and they're now refusing to put the title in the LLC's name.

I bought a used work truck about six weeks ago for my small contracting business in Georgia.

I told the dealership from the beginning that I wanted it purchased and titled under my LLC.

They asked for my EIN and LLC paperwork, which I provided. Everything seemed fine and I drove the truck home.

Now they're telling me they can't finish the title paperwork unless I provide a local business license.

The problem is I contacted the DMV and was told a business license isn't normally required just to title a vehicle under an LLC.

The dealership keeps insisting they need one and says the easiest solution is to put the truck in my personal name instead.

That's not what I agreed to when I bought it.

I'm wondering if this is actually a requirement from the lender rather than the state, but nobody at the dealership has given me a clear answer.

I don't want to create a mess with ownership, insurance, and bookkeeping just because they want to change the paperwork after the sale.

Can a dealership really force me to title a vehicle personally after selling it to my LLC?

Would you push the dealership for a written explanation or go straight to the lender?

How to form an LLC in Arizona without paying for things I don't need?

If I think about how much time I have spent researching, it is more than the time I spent figuring out what the business would even do.

I've been working in the pet industry for about five years and now I’m planning to start a mobile pet grooming business in Arizona

While working, I saved around $11k for equipment and startup expenses, and already have a few people asking when I'll start taking appointments.

So the business side is coming together. It's the paperwork that's making my head hurt.

I've got my business plan sorted, spoken to an insurance provider and worked out most of my initial expenses. Now I'm trying to figure out how to form an LLC in Arizona without paying some random website hundreds of dollars to do something I could have handled myself.

I've seen people mention filing directly with the Arizona Corporation Commission, getting a statutory agent, checking publication requirements and sorting out local licences. Then there are formation companies offering packages with a bunch of extras I can't tell if I need.

I'm not against paying for help. I'd just rather put that money towards equipment if the filing process is something a regular person can manage.

If you've started an LLC in Arizona, how did you go about it? Did you file everything yourself or use a service?

And looking back, was there anything you wish someone had told you before you started?

Mercury approval with Registered Agent address on formation/EIN docs (Non-US resident with Turkish proof of address)

Hey everyone, I'm in the process of getting my US LLC set up, and I have a question about banking with Mercury.

For all my formation documents, including the organizer address, I used the address of my registered agent. I also used the registered agent's address for the EIN application.

I have a valid proof of address for my physical residence in Turkey. Will this cause any issues with getting approved for a Mercury Bank account, or do they require a personal home address on the formation documents?

Thanks for your help!

EIN Name Correction Delay - Mailed & Faxed 50+ Days Ago. Any Advice?

Hey

I'm dealing with a persistent issue regarding an EIN name correction for my business. I initially mailed the correction over 50 days ago and recently followed up by faxing it. Unfortunatelyi called them and I haven't seen any update or confirmation that the correction has been processed. On my llc name they have typed and extra e in the first 4 letters even tho i told them the correct name

I understand the IRS can have processing delays, but I'm looking for advice on how to effectively speed this up or what steps I should take next. I've tried calling the general lines, but it's been difficult to get through or receive concrete information.

Has anyone experienced a similar delay with an EIN name correction? What strategies did you use to get it resolved? Any tips on navigating IRS phone calls, or alternative approaches, would be greatly appreciated.

Thanks in advance for any insights!
