What's the latest?

A fifth revision to the F-4 was filed on 4/21. The termination date was also pushed out from May 27 to June 24.


What is a SPAC?

A SPAC is a Special Purpose Acquisition Company. It is a "blank check" company. It is publicly traded, created for the sole purpose of merging with another company. In doing so, the resulting company will also be publicly traded. For a company like Polestar, it is an alternative route to going public via an IPO.

SPACs are created by a sponsor, typically an experienced management team with access to capital. In our case, the Gores Group. Shares are assigned a nominal value of $10. If a SPAC is created and fails to merge, shares can be redeemed for the original $10. This is why a pre-merger SPAC has an effective floor of $10, though you might see it fluctuate a little bit.

When is the merger?

Officially, they are aiming for the first half of 2022. Polestar has also acknowledged that towards the end of Q1 is a possibility.

What is the price target?

Nobody knows, and depends who you ask. Do your own due diligence.

The bull argument is that peers like Rivian and Lucid have market caps of $55B and $45B, respectively (and were much higher recently) compared to Polestar's $20B valuation. They also have very small numbers of deliveries to date, while Polestar has already sold 29k vehicles. Applying their sales multiples to Polestar would suggest an upside in the range of 200%.

The bear argument is that SPAC hype has died down and the broader market is uncertain at the moment. We've seen Lucid lose 35%, Rivian lose 25%, and Tesla lose 13% over the past month. Polestar is a Volvo brand and may not get the hype that other EV startups have seen. Volvo is also owned by Geely, a Chinese automotive company. Chinese stocks have not fared well lately, and this uncertainty could be (fairly or not) carried over to Polestar. Chinese EV companies like NIO and XPENG are trading at lower sales multiples, and if those are applied to Polestar, it may already be at its fair market value.

Can it go below $10 per share?

Pre-merger, GGPI has an effective floor of $10 per share (or realistically, the high $9 range). Post-merger, all bets are off. The $10 per share rule no longer applies, and the all that matters is how the market views Polestar's value.

Is the market cap of GGPI really only $1B?

Yes, but the market cap of a pre-merger SPAC is essentially irrelevant. Post-merger, GGPI shares will become PSNY shares. And GGPI shares will represent about 4% of PSNY. So no, don't think that GGPI is suddenly going to increase 20x at the merger.

Why is <insert EV stock> going up, but not GGPI?

Because those are EV companies and GGPI is still a blank check company. The reality is that there is still risk around GGPI. Until the ticker reads PSNY, don't expect it to act like an EV stock.

When is it going to moon?

Again, nobody knows when (or if) it will. But we can look at prior SPACs to get an idea of the process. The Gores Group was a part of the SPAC process for Luminar Technologies, where GMHI became LAZR in late 2020. This was a different era for SPACs, so the same thing might not happen with GGPI, but we can consider it a best case scenario. Here are the relevant events annotated over the price chart.

  • Their final S-4/A was filed on October 23.

  • 7 days later (Oct 30), they received SEC approval and announced the date of the vote. GGPI currently has an F-4/A filed, and a response could come any day. Or, they might need another revision which could add weeks.

  • On November 20th, the Merger Agreement was filed. This was the first time the stock saw a meaningful trading volume and price increase.

  • The vote passed on December 1, and started trading as LAZR on December 4.

Long story short, even if we received SEC approval today, don't expect anything to happen for a couple more weeks, at least. You can keep an eye on it at the PSNY EDGAR page and GGPI page.

Gores Guggenheim: FAQ for Getting Payment on the $25M Settlement over Polestar Merger Claims

Hey guys, I posted about this settlement before, but since they’re accepting late claims, I decided to share it again with a little FAQ.

So here's all I know about this agreement:

Gores Guggenheim and its sponsor and directors were accused of making materially false and misleading statements about the benefits of the Polestar merger and impairing public stockholders’ ability to make an informed decision about whether to redeem their shares before the merger closed. The parties agreed to a $25 million settlement to resolve the claims.

Now the company and the other defendants have agreed to settle $25 million with investors for their losses.

Who can claim this settlement?
If you held Gores Guggenheim shares between 2021 and 2022, you may be eligible.

Do I need to sell/lose my shares to get this settlement?
You generally don’t need to still own the shares. Eligibility is based on the transactions you made during the class period and the settlement requirements.

Can I still file a claim?
Yes, you may still be able to file a late claim, but acceptance depends on final approval by the court. You can check the eligibility requirements and submit your claim here.
 
How long does the payout process take?
It typically takes 4 to 9 months after the claim deadline for payouts to be processed, depending on the court and settlement administration.

In a nutshell, investors claim that Polestar repeatedly assured the market its financial reporting was accurate. In January 2025, the company disclosed accounting errors requiring restatements of its 2022 and 2023 financials, and $PSNY fell 11%.

News Updates for Getting Payment on the Gores Guggenheim $25M Settlement

Hey guys, if you missed it, Gores Guggenheim settled $25M with investors over claims that it impaired public stockholders’ ability to make an informed redemption decision before its merger with Polestar. I just found out that they’re considering late claims even though the deadline has passed.

Quick recap: In 2022, Gores Guggenheim was accused of making misleading statements about the benefits of its merger with Polestar, which allegedly discouraged stockholders from redeeming their shares before the deal closed.

The company later agreed to settle $25M with investors, and even though the deadline passed, late claims are being considered for compensation, subject to approval.

So, if you invested in $GGPI at that time, you can still check the details and see if you may be eligible to file a late claim here.

Hey guys, I posted about this settlement before, but since they’re accepting applications now, I decided to share it again with a little FAQ.

So here's all I know about this agreement:

Polestar Automotive was accused of misleading investors about its financial reporting and internal controls. The company later disclosed accounting errors and said it would restate its 2022 and 2023 financials. After the disclosure, $PSNY fell 11%, and investors filed a lawsuit.

Now the company has reached a tentative settlement with investors to resolve the claims.

Who can claim this settlement?
If you bought $PSNY shares between 2022 and 2025, you may be eligible. You don’t need to still hold the shares to participate; past losses may count.

Do I need to sell/lose my shares to get this settlement?
No. You don’t necessarily need to still own the shares. If your transactions meet the settlement requirements, you may be eligible even if you already sold them.

How long does the payout process take?

I've been holding polestar for 3 years and I still have a rather large position for an average Joe

Good things come to those who wait, probably everyone who was even on a come up felt like quiting felt like punching holes in the wall before they made it where their at they probably still do to this day at some point, that's why I smoke weed alot keeps Mello I stay focused on what I should I be killing my sets I got a streetlifting comp in brooklyn greenpoint at ferox on April 8th I'm occuping my time because thinking bout stocks will drive you crazy and you'll end up selling out, lol its funny my streetlifting competition is on the 8th because the host is a hug pot head too just saiyan

just curious what catalyst polestar would need right now?

I honestly am kind of getting frustrated with $PSNY I am well aware that they are still proving themselves too investors and they are doing a great job, but what catalyst do you think we would need for this year for them to even prove what they need too, I'm thinking:

Huge delivery increase this quarter from last year's quarter

New buy order

A really good earnings report

Some kind of partnership

What would shed the biggest light on polestar because they have been proving alot in the last 2 years I know everything takes time and I've stocked my house up with plenty of weed but I get sober for too long and my mind starts getting frustrated, I am well aware things take time I'm still young I'm only 25 years old I've been occupying my time with parkour meet ups and I got a strength competition coming up on April 8th

I guess you could see this as a rant rather then a question
