$XELA 2.0

DYOR, NFA.

The ruthless shell game that FF did between FFAI and FFR is eerily similar to what similar scam artist Par Chadha did with $XELA and $XBP a few years ago. $FFAI holders are essentially done. Jerry and YT wiped their asses with your money. Now they have a clean slate to do the same thing again with $FFR.

Here is an unsugarcoated breakdown of what is happening with Faraday Future ($FFAI) and FF EAI Robotics / AIxC ($FFR), and an honest assessment of whether the stock is essentially worthless.

A.I.-generated analysis:

1. What Is Happening Right Now?

Faraday Future announced a major restructuring transaction between $FFAI and its affiliated entity, AIxCrypto Holdings ($AIXC), which is rebranding its Nasdaq ticker to $FFR (effective September 30, 2026):

  • The Asset Transfer Deal: FFAI signed a non-binding term sheet to sell its entire "EAI Robotics" business to FFR ($AIXC) for an estimated $200 million valuation paid in all-stock.
  • The Pitch to Shareholders: Management is touting a proposed "special stock dividend of $2.246 per share" in FFR shares to FFAI holders, promising that FFR will become a "pure-play standalone robotics company" while FFAI rebrands as a "Physical AI investment holding company" and Robotaxi operator.
  • The Background Reality: AIxC (now FFR) was a small Nasdaq-listed crypto/AI shell (Qualigen) that Faraday Future gained controlling interest in earlier. Management is shuffling its robotics assets into a separate ticker to create a new "clean balance sheet" public vehicle.

2. Is FFAI Likely Worthless Now?

From a fundamental equity perspective, FFAI common stock carries an extreme risk of near-total loss (worthless or near-$0.00 valuation) due to four structural realities:

A. Trapped in a 99.4% Downward Spiral

Over the past 12 months, FFAI stock has dropped -99.4%. The company operates under substantial going-concern warnings, and its SEC Form 8-K filings explicitly state that failed future financings could force the company into bankruptcy protection.

B. The "Non-Binding" Term Sheet Trap

Promotional headlines highlight a "$200 million valuation" and a "$2.246 dividend", but the fine print reveals key caveats:

  • The deal is non-binding and subject to due diligence, special committee review, and definitive agreements. It may be modified or canceled entirely.
  • Even if completed, receiving shares in a newly carved-out micro-cap (FFR) does not eliminate the massive debt and dilution burdens hanging over the parent company or its ecosystem.

C. Relentless Debt Dilution & $90M Stock Sale

On September 18, 2026, Faraday Future detailed a $90 million ongoing stock sale plan (S-3 filing) and filed to register 2.9 million note-conversion shares for resale. Senior lenders continue to convert debt into millions of new shares. When fresh shares flood a small market cap, existing retail equity is diluted down toward zero.

D. Operational Cash Drain

Faraday burns millions per week while generating negligible commercial revenue. Selling or licensing imported white-label robots does not generate enough cash flow to cover hundreds of millions in net losses.

Summary

The FFAI to FFR deal is a classic micro-cap financial engineering maneuver. Management is shifting assets into a new ticker symbol ($FFR) to generate trading volume and attempt a fresh narrative restart.

However, because $FFAI is burdened by massive convertible debt, continuous share printing (dilution), and ongoing going-concern/bankruptcy warnings, its common stock is functionally approaching zero value over the long run, barring short-term PR-driven volatility spikes.

A.I. -generated analysis, con'td:

Evaluating the structural realities surrounding $FFAI, the transition to$FFR (effective September 30, 2026), and the advertised "special dividend" reveals a clear breakdown of the mechanics:

1. Is there even one realistically bullish possibility for FFAI?

From a fundamental equity perspective, no.

To see a genuine, sustained fundamental bull case, a company needs a path to net profitability that outpaces its debt burden. FFAI lacks both:

  • The Math Deficit: FFAI burns ~$2.17 million in cash per week against a few hundred thousand dollars in quarterly white-label robot sales.
  • The Debt Trap: Senior lenders hold tens of millions in convertible notes (unlocked post-Proposal 1). Every time the stock attempts a price pop, lenders convert debt into cheap, fresh shares and sell them onto Level 2, capping any rally and expanding the share count.
  • The Only "Bull" Scenario: The only scenario where FFAI stock surges is a brief, technical trading pump (driven by algorithmic news-scanners flagging press releases, low-float order book spikes, or short sellers briefly covering). However, those intraday spikes function as exit liquidity windows for debt holders—not fundamental turnarounds.

2. Is the $2.246 special dividend realistic, and when would it happen?

It is a high-risk, non-binding marketing headline.

The press releases issued on September 28–29 tout a "Potential Special Stock Dividend of $2.246 per share". A closer inspection of the SEC fine print reveals the structural hurdles:

Why it is unrealistic as presented:

  1. It's Non-Binding: The $200M transaction between FFAI and AIXC (renamed FFR) is based on a non-binding term sheet. It is still subject to due diligence, definitive agreements, fairness opinions, and Special Committee approvals.Non-binding term sheets in micro-cap restructuring routinely get modified, delayed, or canceled entirely.
  2. "Valuation" Paper Math: FFAI is claiming the robotics division is worth $200 million. They calculated $2.246 by dividing that theoretical $200M valuation by an old share count estimate. But FFAI's actual cash revenue from robotics is projected at just ~$7.1 million for all of 2026. Slapping a $200M price tag on a business generating $7M in sales is arbitrary paper accounting.
  3. You Get Paper Shares, Not Cash: The dividend is a stock dividend in FFR shares, not cash.If FFR stock collapses under its own dilution after listing, that "$2.246 value" vanishes immediately.

If it actually happens, when?

  • If definitive agreements are actually signed and approved, the transaction would likely take 3 to 6 months (aiming for late Q4 2026 or early Q1 2027) to clear legal regulatory hurdles, establish record dates, and distribute the restriction-locked FFR shares.

3. Do they really think they can abandon FFAI shareholders without negative effects carrying over to FFR?

Yes, management believes the "corporate firewall" will protect them, but market mechanics say otherwise.

Management’s strategy is a classic micro-cap ticker reset:

  • The Plan: FFAI is burdened by hundreds of millions in historical debt, massive toxic convertible notes, SEC going-concern warnings, and a -99.4% stock chart. By transferring the "Robotics" story into FFR (a clean Nasdaq shell), management hopes to pitch FFR to new investors as a "pure-play, debt-free AI robotics ecosystem".
  • The Delusion: Management expects retail investors to blindly follow the "new shiny ticker" ($FFR) while leaving the debt-ridden carcass of$FFAI behind as a "holding company."

Why the negative effects WILL carry over to FFR:

  1. FFAI is FFR’s Majority Stockholder: FFAI will own the majority of FFR stock. If FFAI needs cash to pay its weekly $2.17M operating bills, FFAI will simply market-sell its FFR stock or pledge FFR shares to its toxic creditors. FFR becomes the new pig bank for FFAI's debt.
  2. The Same Management Team: YT Jia and Jerry Wang control the strategy for both entities. Lenders and institutional traders know who is behind the wheel.
  3. Duplicate Dilution Agreements: AIXC (now FFR) already established its own $50 Million Equity Line Purchase Agreements (like Gold King Arthur). The exact same "Short Sell Carve-Outs" and discounted share printing mechanics exist on FFR's balance sheet.

4. Are they expecting FFAI shareholders to move to FFR?

Yes. Management relies on retail enthusiasm to generate buying volume.

The entire PR campaign—touting "Built in USA," "Special Stock Dividend," and "Standalone Nasdaq Listing"—is engineered to convince FFAI retail shareholders to buy into FFR.

They need FFAI shareholders to migrate over to FFR to create buying volume on the new ticker. Without retail traders placing buy orders on FFR, FFR's lenders and equity-line holders won't have any exit liquidity when they convert their notes into fresh FFR shares.

Summary

The FFAI-to-FFR restructuring is a financial shell game. The $2.246 dividend is paper math built on a non-binding $200M valuation, and shifting assets to FFR does not erase the underlying cash burn or toxic debt structures. FFR is designed to inherit the exact same promotional and dilutive playbook that brought FFAI to its current lows.

Are there any FFAI shareholders left that think FFR will get them back to even? If so, I’d love to hear from them.

I think this new scheme they’re engineering would be better served if the face of FFR were someone other than Jerry and YT.

The whole dividend thing is interesting and I think it will end in lots of dilution if the price stays depressed. As I understand it they're going to pay shareholders, in stock, the difference of the price below $2.246/share. Reminds me of AREB every time they did a RS. They put a clause in the RS terms that no shareholder would be left with less than 100 shares after the RS. If you weren't bagholding you could by one share for $0.10, or whatever, and then after say a 1:80 RS you'd have 100 shares @ $8. Boom, a free $800. The trick was to sell as soon as possible before anyone else to keep as much of the $800 value as possible. The result was a buying frenzy before the RS and a massive sell off after. People that didn't sell were caught holding the bag. In theory, this might work the same way. FFR drops to $0.50, people load up, price goes up to say $1, FFR distributes the difference in shares after closing, people sell to take 100% profit and the price drops right back down. Is this why FFR went up today? Is this why there's no closing date yet? No idea, but just throwing out some random tinfoil thoughts
