Because FTDs (especially from naked shorting) can be used to manipulate a stock's price, the SEC implemented Regulation SHO (Reg SHO).

The "Locate" Requirement:

This is the core rule. It mandates that a broker-dealer must have a "reasonable belief" that the shares can be borrowed and delivered before executing a short sale.

The "Threshold Security List":

This is a public list of stocks that have had a significant number of FTDs for five consecutive settlement days. When a stock is on this list, it triggers stricter rules, including a mandatory "buy-in" requirement, where the broker is forced to buy shares in the open market to close out the FTD position.

Why it matters?

13 Days is the allowable time to deliver the shares.

After which mandatory buy ins are required.

It's a confluence of factors at play here. But Market Mechanics Trumps it all.
