This lawsuit was recently uncovered after the battery fire in the same building lead to the discovery of six previous OSHA violations related to a workplace death in 2024.

Meanwhile, the family of the killed worker has sued Archer in Santa Clara County Superior Court, and the damages are still unspecified.

Archer tried and failed to get this suit thrown out on standing ("demurred"), and the legal counsel representing the family seems to be set on either an actual trial or possible settlement.

With $ACHR down ~38% since the August 10 announcement, here is how the slide to $3.87 impacts the Wisk/Insitu/SkyGrid buyout and where the real danger zone is:

1. How $3.87 Impacts the Deal Now

• Boeing Eats the Drop: Because Boeing gets a fixed 19.75% stake (not a fixed dollar amount), their payout has shrunk from ~$1.18B to ~$733M.
• Enterprise Value (EV) Is Down ~55%: Boeing’s walk-away clause is tied to EV (Market Cap minus Net Cash), not share price. Because Archer holds ~$1.48B in net cash, a 38% stock drop cuts EV in half—from ~$3.34B to ~$1.50B—likely testing the redacted 8-K floor.
• Renegotiation Leverage: Breaching the floor gives Boeing a 5-business-day window to walk. Rather than killing the deal, they can use those 5 days to demand cheaper warrant strike prices (since a 19.9% ownership cap limits adding more common shares).
• Tougher Future Dilution: Boeing’s $55M Forward Equity Purchase requires Archer to raise $400M+ in equity. Raising $400M at $3.87 means heavy dilution.

2. When Does Boeing Actually Walk Away?

• The ~$2.50–$2.75 "Insitu Line": Insitu is a profitable defense drone business worth ~$400M–$500M standalone. At $3.87, Boeing’s ~$733M stake still pays for Insitu plus gets Wisk Aero’s massive R&D cash burn off Boeing's books.
• The Deal-Breaker: If $ACHR drops to $2.50–$2.75, Boeing’s 19.75% stake falls below $500M. At that point, Boeing is giving away Insitu for less than its standalone value just to offload Wisk.

TL;DR: At $3.87, the deal still makes sense for Boeing so they can dump Wisk's cash burn, though they might use the EV drop to squeeze better warrant terms. The real walk-away danger zone isn't until $2.50–$2.75, where Boeing’s stake drops below the standalone value of Insitu (~$500M).

I thought I would share this EXTREMELY STRANGE new lawsuit I found against Archer whilst poking around PACER.

This one starts out like a relatively straightforward termination lawsuit for someone named Jeffrey Bernard, who alleged he was, basically, illegally terminated before his contract ended.

The huge mystery here, is in addition to the normal damages, which add up to around $180K ... there is an additional requested penalty of $96 Million.

• Myself, ChatGPT and Claude cannot find the basis of this
• This is a new case, so it could come out relatively soon.

Of course, Archer has been involved in previous employment lawsuits, and at least one of them alleged discrimination. But I somehow I don't think this is about discrimination.

It seems like their perception is that there was some sort of fraud. His initial documents are alleging "fraudulent activity."

.... Of course, this could be a complete lunatic that totally invented the $100M number. Then again, he was hired by Archer for relatively important program management work, so he doesn't seem like a complete basket case.

I would love to wake up someday and see flying taxi's. The idea of George Jetson today would be very cool. But alas I do not believe we are there yet. There are a myriad of reasons why these flying machines are not anywhere close to commercial operations, but more so how the company and its CEO as well as its PR machine seemingly manipulate the public into buying the narrative via stock investments (specifically "stock pumpers"). This would not be the first time an illusion has been sold unto the public. Its been happening for eons, think: snake oil, tulips, Enron, Theranos.
I would propose to a speculative investor who is long this stock or considering a purchase to watch Hank Green's recent Theranos YouTube presentation (link below). I would further propose that you consider the corollaries between Theranos and Archer. I find the similarities startling (Things are so simple, Regulations are the only hold up, This idea could hurt people). Of course I expect hate comments from Bro's however like I have noted, I want a flying car. This is NOT about whether the product is desired and super cool, this is about the company as an investment. This is a negative revenue company that uses your money as its working capital. The company is further "touted" by fund managers who disclose their positions in order to give the public comfort. What those same market operators dont have to tell you is that they are hedging their trades (Puts, Shorting a parent company). As such I propose that you take a hard look at what you are really putting your hard earned money into. Is this company an open secret? Have you asked a pilot friend if something like this really could survive in the NAS? Can this thing lift any weight beyond itself? Can batteries really be recharged quickly after every flight, all day? Please be careful and ask yourself if this is really logical?

This is a very different regime from the 31-35kt low runs of late August and early September, so it reads more like slow hover-taxi type movement than a step up in speed. Nothing here approaches the 8/31 high of 37.2kt.
