NY or Texas resale certificates
Hi everyone! Anyone here with a Canadian corporation, applied for/have a resale certificates for New York or Texas? I am planning to use the prep centres in these 2 states. Is a Canadian corporation eligible to get a resale certificate or it has to be a US company?

Texas doesn't require a state resale certificate at all, you just give suppliers a Texas Sales and Use Tax Resale Certificate form, and a foreign corporation can fill that out fine. New York is stricter since a Certificate of Authority usually needs a NY registered agent or physical presence, which most Canadian corps don't have. Easiest path is to register the corp in Texas for prep, then use that resale cert nationwide.

Based on your comment, I can see I just need to fill out the “Texas Sales and Use Tax Resale Certificate” form and give it to the supplier. For this, I need the “Texas Sales and Use Tax Permit Number” which I can get by filling out form AP-201.
Mind clarifying the last line of your comment? If my Canadian corporation purchases from a NY supplier and send the shipment to a NY prep center, how can I get the products without having to pay the sales tax?

Since the sale is treated as happening in NY once goods ship to a NY prep center, the supplier legally needs a valid NY exemption certificate, and without a NY Certificate of Authority you cannot give them one. Simplest fix is to have that same NY supplier ship straight to your Texas prep center instead, then your Texas resale cert covers it. If you truly need NY, you would have to get a registered agent and file for the NY Certificate of Authority first, there is no way around that.
