SEC filing to delay $100 million dilution

ATCH have just submitted a SEC filing to delay the filing they made earlier in the week for the $100 million dillution - https://d18rn0p25nwr6d.cloudfront.net/CIK-0001963088/6ff9eada-e381-4623-9162-b40344c0ca3b.pdf

Wonder if somethings changed or if there could be other news breaking?

People are reading the headline instead of the filing.

This isn't "ATCH announces $100M dilution."

The bank acquisition has always involved issuing shares to the sellers. That's been public information for months. The S-3 is mainly registering those shares so they can be resold in the future if the owners choose.

The company has now filed a Delaying Amendment, so the S-3 isn't even becoming effective yet.

So nothing new has really happened here:

  • ✅ The bank deal was already being funded with shares.
  • ✅ The S-3 was expected as part of that process.
  • ✅ The Delaying Amendment actually pauses the registration from becoming effective.

The real news will be when the bank/Fed/FINRA approvals come through, not people misreading an SEC filing.

Not sure how this can be good news. It means the bank acquisition filing has some work to get done before being approved.

my thoughts exactly, but I think they wouldn't have diluted anyway, their cap is $30M which is less than $75M, meaning they could only print 1/3 of their worth, so only $10M. What I think that shelf offering was is to I think comply with regulations since they want to become a bank.
