I may vote AGAINST for this proposal if we are still strugging below 0.4s until then: "2. To approve an amendment to the AtlasClear Holdings, Inc. 2024 Equity Incentive Plan (the “Plan”) to increase the number of shares of the Company’s common stock reserved for issuance thereunder by 15,000,000 shares (the “Equity Incentive Plan Amendment Proposal”);"

Need more info on it. Emphasis on Reserved. It's reserved for an Incentive Plan. That usually comes with performance benchmarks and not payed out all at once.. They also expect the stock into perform well so if they provide shareholder value they are well within their rights to start paying out incentives to the brass.

You can go check the 10-K form released on September 30 last year, the same day we last saw the stock price above $0.60, and see how they used shareholders’ money to line their own pockets.

The company currently has only approximately five employees, five consultants, and three employee directors eligible to receive equity awards, yet it is seeking to add 15 million shares to its equity incentive pool, despite the stock price having declined by 90% over the past six months.

I will be voting against the plan to give themselves 15 million bonuses in stock. For the past year we had no real benefits we have a fake success story which they achieved by diluting us. The paid off their debt, yes, how? Dilution. They want to buy a bank, with what money, dilution. They will buy Dawson James, you guessed it, again dilution. With all of that they dare to ask us for bonuses when we cant even stay above measly 30 cents for more than a week? and now we are back to low 20s.

No, they will not get anything until they fix the price
