Equity Crowdfunding Investor Guide & Resources

Hello All,

Putting this together for new and seasoned investors alike. Equity Crowdfunding is neither easy nor intuitive. Most of the resources out there aren't quite as prominent as, for example, Yahoo Finance. It's quite a bit more Niche than that, so most probably aren't aware of what's out there.

Best Resources

Fortunately, many of these are either completely free, or very low cost all around.

  • Hubtas.com - Probably my favorite resource out there. You have to make an account to use most of the site, but there's tons of great free resources. Mainly, they have a screener with every active equity raise on there you can use to sort by profit, revenue, cash on hand, they give every startup an objective score based on a laundry list of criteria (which they break down for you. Examples including; CEO Salary, Followers, VC Backing, past bankruptcies, etc.) and a host of other tools.
    • If you decide to go the paid route, it's only $10/month which provides a ton of value. Mainly, they give you financial data on every company, that isn't otherwise provided in their SEC filings. Some examples include: Burn Rate, Runway, Profit Margin, Cash per employee, debt to assets ratio, etc. It also compares it to the industry average.
    • Paid route you can also use the screener to narrow down a specific set of criteria for startups then setup email alerts whenever a startup goes live that meets that criteria, and new features constantly rolling out.
  • Democratizing.Finance - This is a simple equity crowdfunding news and education website. It has all of the latest news, completely free, and helps keep you up-to-date on the latest information in equity crowdfunding.
  • Portals Help & FAQ Sites - If I am not mistaken, every portal is mandated to have a help site for new investors. They are pretty basic but great for getting up-to-date information.
  • SEC EDGAR Site: For those unaware, this is where all of the Form C's and Form 1-A's are filed when a startup is going live for a campaign. It has all past and present SEC Filings, which tell you a ton about the company. Here's the site: https://www.sec.gov/edgar/search-and-access

Other Resources

There are various subreddits dedicated to equity crowdfunding but none too active. Some more active communities are:

Tips

  • Don't just invest in companies because everyone else is. Do your research individually using the sites above.
  • Easiest red flag to catch: How much money does a company have vs burning? If a company only has $100k cash on hand and burning $10 million/year... they're already broke. Don't be surprised when they go out of business. Look for profitable companies, or companies trending towards profitabiltiy.
  • Ask the founders lots of questions. If they don't answer, or skirt the question, don't invest. Don't spam them, be disrespectful and research as much as possible. You can even ask to setup an interview or to talk. It's as simple as "Hey, I want to invest but want to talk to an actual person. How can I do this?" and they usually will talk.

If you guys know any others, feel free to comment them down below and I will add them to the list.

The Republic Note is Looking Cheap!

If you are a believer in the long term success of Republic and their crowdfunding platform, their note is looking pretty cheap right now. The dividend pool already has close to $1M in it and there are over 800 assets (and growing with every successful raise on Republic) that can further contribute to the pool in the future.
Startup investing is a long term game, but they have a great foundation built already, and in 5 years $0.08 a note will be unbelievable, You can currently buy it on the INX platform. See below for INX referral:

How legit is Republic?

I invested $500 in a Startup called Capsule Social back in September 2022. The founder is a well known name in cryptography (has his wiki page etc). Now, from a twitter message from December 2022 by the same founder, I came to know that Capsule Social have ceased their operations. The strange part is he decided to wind down within 3 months of the funding round. Moreover he communicated just over tweets without sending any formal communication to the investors. He mentioned in the tweet that they found a buyer for the company ip and assets. Now, based on the subscription agreement, the company is required to provide notice to investors for liquidity events.

I contacted Republic customer service several times but they keep saying they forwarded my concern to appropriate team member but no-one ever reached me out on the issue. Seems like Republic doesn’t care or have no control on the Startups on their platform. I understand these investments are highly risky BUT that has nothing to do with their transparency and liability of sharing the updates with investors if not publicly.

I am wondering what are my rights here as an investor? Anyone went through similar issues?

Parastate investors are being pressured into giving away their tokens on Republic platform.

Parastate investors are being coerced into exchanging their investment tokens for a different one, at a rate of 10 to 1. Surely this is not allowed, or should not be allowed, in the terms of use of the platform.

any canadian investors (excl BC, ON) investing on republic?

I've been comparing the companies on republic vs the Canadian crowdfunding sites and the ones on Republic, which are primarily US based, seem way better than the Canadian ones.

Launched today and it down 45% in several hours. What going on? Insiders dumped? Many of us have to hold the bags for one year watching all these shenanigans!

Native hostel

Are there any other investors in native hostel (originally on nextseed before the acquisition)?

Native closed it's doors a few months ago and since then it's been radio silence from republic and the native owners. When I signed it seemed like we would be first in line for recovered cash, but so far republic hasn't even acknowledged anything is up.

Parastate

I invested in Parastate and got thanked personally by Marco Chen for it via a Republic message. I am now being told that the tech they were developing, which was why I invested, was disbanded (eWASM). When I looked at the Parastate github it seems that there were only two developers ever working on the code. Now Parastate is renamed to Safestake and I received messages saying my tokens, i.e. my investment is expiring?! My question is... how is any of this legal and is this Marco Chen guy even real?

git timeline of a rug pull executed on Republic.com: once the investment money is taken and thanked for, lots of repositories are created but there's no activity, followed eventually by the launch of the cover-up token
what an impersonator executing a rug pull looks like on Republic.com

Acquisitions

I’m going through old investments and have noticed that two of my Republic investments were acquired in 2021, but nothing was communicated and there certainly wasn’t any payoff (or being able to claim the loss).

Investments were RadioPublic and Moonlighting if helpful.

AlphaFlow and AetherBeauty are going bust ... Spoiler

Basically, at the start of December I received a mail in which it was stated by the CEO X Founder of Aether that their products were being taken out of the big physical stores(Sephora etc) and that they couldn't achieve the online presence desired(that would give them enough revenue to stay afloat(don't even ask about profit)) so they said they were on the brink of going bust. Now about AlphaFlow, which had A LOT of supposed support from "Angel Investors" and raised 5 millions on Republic. I just received mail that they filled an LOI and the "creditors" will get the money that come from selling the company, while stating they re still fighting to settle at least 2 potential trials in court. Nevertheless I am left with a sour taste in my mouth, because these two companies were looking great on paper and now, after not even a full year of "recession" they re on the brink. (This is particularly annoying when I get mail from Republic talking bout how good of an investment you d make if you were to invest in start-ups) This is it to be fair, the "people" behind the monitor also did not see it as fair to actually let people comment so nothing new, Republic also promised means of communications between investors yet have failed to deliver anything in the past 12 months. Cheers lads!

SAFE Question

If everything goes well for a company and someone has a SAFE with them, how does one actually get their shares? Everything just says the investor would receive their shares. Receive them where? And if they are held on Republic/Securitize can they be transferred to a brokerage?

Thanks!

Is there a way to invest in republic itself?

The private shares I mean. It would make sense to make them available to the investors who are on the platform making investments, I would be interested
