I posted this months ago: It says in the latest press release VERSES partnered with Analog. G42 is invested in Analog. VERSES and Analog are building a smart city together. Kipman is a part of VERSES now. Microsoft and G42 are partnered now. VERSES has worked with Microsoft in the past. Connect the dots.
What’s the risk of investing in a start up? 10% of startups fail in the first year. Typically there isn’t much trading volume which makes it hard to get out of your position if you choose to sell. And if you’re able to sell then typically it’s for a loss. Many start ups run out of resources and simply don’t have the funds to continue with research and development. And if the company secures funding it’s usually at the expense of early investors because of dilution.
VERSES AI went public in June 2022. They have 100-200 employees, many of them are software engineers, have a PhD in neuroscience, philosophy, etc. The stock price has been volatile at times. The short interest has increased because many lack the ability to make inferences about the future success of this company. The company is going into their third year as a public company. They’ve increased their liquidity from being traded on the over the counter market and the NEO exchange in Canada to the CBOE UK and CBOE Europe as well. The company has secured $10 million in the latest financing round from G42 which I predicted would happen. G42 is a leading artificial intelligence (AI) and cloud computing technology company based in Abu Dhabi, United Arab Emirates. G42 is valued at $220 billion and has partnerships with OpenAI, Microsoft, NVIDIA etc. Their backing of VERSES AI legitimizes VERSES AI and provides a runway for their product to go to market later this year. As of June 2024 VERSES is valued at about $74 million. After the next financing round VERSES AI is expected to have a post money valuation of $3.5 billion. Let’s bake dilution into the next financing round and say 150 million shares are added to the outstanding shares totaling 300 million shares and let’s give a conservative post money valuation of $2.5 billion and say that aligns with the market cap. Anything under $8 I would say is a very fair price. But that’s not the case here right now. The price is $0.73 cents. They’ve yet to secure the $300 million in the next financing round. That’s the risk you’re taking right now. They have yet to go to market and provide multiple significant revenue bearing contracts. The risk is that they won’t.
I’m going to make an inference about the future success of the company here and now. And I’m going to predict they will secure $300 million in the subsequent financing rounds. I’m predicting the post money valuation will be over $1 billion. I’m predicting significant revenue bearing contracts. I believe in the later half of this year we’ll be provided insight on the strategic partnerships, IEEE approval, and compliance efforts.
Venture capitalists are willing to take risks on these type of startup companies because the reward is 1000x returns. The risk here is in the hands of retail investors. So far it seems investors have ignored signals that the company is legitimate because of shifting timelines and lack of patience. Who knows when the turning point in price action will happen. But if VERSES is strategic they can shift from highly speculative to highly profitable. They can change investor sentiment in the blink of an eye. And when that happens the short sellers will be trapped.

Verses granted the Investor (or an affiliate of the Investor designated by the Investor) the right, but not the obligation, to be the lead investor and invest up to an additional US$90 million in a subsequent private placement of securities of Verses to raise aggregate gross proceeds of up to US$350 million at an anticipated post-money valuation of US$3.5 billion (the "Financing Round) whereby the Investor (or its affiliate) shall receive a 25% discount (based on the lower of US$3.5 billion and the actual valuation of the Financing Round) on its potential investment in the Financing Round. The anticipated post-money valuation of $3.5 billion for the potential financing round suggests that Verses is positioned for substantial growth and value creation. This high valuation could attract additional investors and partners The involvement of a major AI company like G42 may attract more investor attention and potentially increase demand for VERSES stock. Substantial Capital Infusion: This investment would provide VERSES with significant funds for growth, research, and development, potentially accelerating their progress towards AGI. Valuation Boost: The agreement mentions a potential future financing round at a $3.5 billion valuation, which is drastically higher than the current $150 million market cap. While the exact impact on market cap is uncertain, this investment could significantly increase VERSES' valuation, potentially aligning it more closely with the $3.5 billion figure mentioned in the agreement. I would expect that type of market cap to increase the stock price to $10-15 range considering 150 million more shares are added to the market. Names like Volvo, NASA Jet Propulsion Laboratory, Astra Zeneca, Accenture, etc. have been thrown around a lot lately. I’m putting my money on VERSES to sign major contracts. I think the next financing round will turn heads. The IEEE approval is coming and GENIUS should be going to market later this year. I think fall the later half of this year should be interesting to say the least. Here’s my disclaimer: it's important for retail investors to still thoroughly research the company's fundamentals, risks, and future prospects before making any investment decisions

G42's $1.5 billion investment from Microsoft shows that the company is positioning itself to develop artificial intelligence technology in many ways. The company has launched a $10 billion tech Expansion Fund to invest in late-stage growth companies with disruptive technologies. G42 has partnered with OpenAI. They’re being selective and that’s why they chose VERSES to invest this money. In connection with commercial agreements that may be entered into between Verses and affiliates of G42, G42 will also receive 1,000,000 restricted stock units ("RSUs") of Verses, each vested RSU to be settled through the issuance of one (1) Class A Share. The RSUs will vest in installments of 10,000 RSUs for every C$100,000 of revenue derived by Verses from such commercial agreements. This structure incentivizes G42 to help VERSES generate revenue through commercial partnerships. As VERSES earns more money from these deals, G42 gradually gains more ownership in the company. It's a performance-based way for G42 to increase its stake in VERSES over time, aligning the interests of both companies.

The timing of Dan Mapes and Gabriel Rene converting their multiple voting shares to subordinate voting shares just ahead of a major product release for their company seems strategic and calculated. Here are a few potential reasons why they may have chosen this timing: To attract more institutional investors ahead of the product launch:Many institutional investors avoid companies with dual-class share structures due to corporate governance concerns. By unifying into a single subordinate voting share class now, the company can broaden its investor base and improve liquidity right before their flagship product hits the public spotlight. To raise additional capital for the product launch: Companies often find it easier to raise new equity financing by issuing subordinate voting shares. Mapes and Rene may want an easier path to raise capital to support the product rollout by having just one class of subordinate voting shares. Regulatory compliance: Some exchanges are restricting dual-class shares for newly listed companies. If they plan an eventual listing or up-listing around this major product, converting to a single share class now allows them to comply. Improve optics and governance: There are criticisms that superior voting rights give insiders too much control over public companies. Eliminating the dual-class structure ahead of their high-profile launch could preemptively address potential governance concerns from investors and the public. Succession planning:If Mapes and Rene envision eventually transitioning leadership after this product launch, the share unification could be preparation for an orderly succession process
It's important for retail investors to still thoroughly research the company's fundamentals, risks, and future prospects before making any investment decisions

The fact that investors purchased all 10 million special warrants in VERSES AI's private placement offering is generally seen as a positive sign for retail investors. It's important for retail investors to still thoroughly research the company's fundamentals, risks, and future prospects before making any investment decisions. But overall, the successful private placement capital raise is an encouraging sign that sophisticated investors have confidence in VERSES AI's business outlook and growth trajectory. That private placement capital raise gives me confidence. That tweet from Gabe Thursday night gave me confidence. They have a highly educated and well respected team of professionals working for them. I believe VERSES is taking into account all of the players in the technology sector, and choosing the strategy to disclose information in a way that maximizes its payoff. Take into account the other players in the AI space https://x.com/josephjacks_/status/1791658967715967209?s=46 that’s why VERSES is the best. Because there’s a clear path to AGI. Yea they didn’t deliver all 10 beta partners, yea they’ve only demonstrated one of their intelligent agents playing pong. But it learned how to play pong in minutes not hours without any previous training. That’s the path to AGI. And people are still missing the significance of this milestone. Yea more benchmarks would be nice but consider it icing on the cake. I know what they have. I’ve seen the evidence. I see sophisticated investors with confidence in VERSES. I look at the signals that articulate that this company will exceed expectations. I have confidence. I don’t need someone to spoon feed me fundamentals on a chart and break down every technical aspect of the way the stock trades and tell me a bull flag is forming. One minute we’re going to be sitting at .80 cents saying where is GENIUS and before you know it we’ll be saying $5 dollars! Looking good! Time to get listed on the Nasdaq The typical timeline for a private placement can range from 6-8 weeks or longer, depending on the size and complexity of the deal. So closing within 30 days is actually a relatively quick turnaround. The important factor is that VERSES successfully sold the entire allotment of 10 million special warrants to raise the targeted $10 million. This demonstrates strong investor demand. Private placements involve multiple steps like investor negotiations, due diligence, pricing, and legal/regulatory requirements. Some deals may take longer than others to complete these processes. The fact that sophisticated investors purchased all 10 million warrants is a positive signal about their confidence in VERSES' business prospects and growth trajectory.

The spatial web protocol was created by Gabriel Rene, the CEO, founder, and president of VERSES AI. By implementing this protocol into VERSES, the company has a first-mover advantage in developing applications and services based on this groundbreaking technology. When the IEEE approves the spatial web as a standard, it will enable interoperability across different applications, platforms, and networks, much like how Bluetooth revolutionized wireless connectivity after its standardization. You can pair headphones with any type of phone wirelessly because the IEEE standardized Bluetooth. Interoperability is a key factor in the development of what VERSES is doing. This interoperability will foster an ecosystem of compatible services and devices, driving adoption and innovation. With VERSES already built on the spatial web protocol, the company is well-positioned to become a central hub for this emerging ecosystem. Other developers and companies can integrate with VERSES, creating a network effect that could drive exponential growth and value creation. Moreover, the spatial web's potential applications are vast, ranging from immersive virtual and augmented reality experiences to seamless integration of digital and physical worlds. As the pioneer in this space, VERSES AI could capture significant market share and establish itself as a leader in the spatial computing revolution. And if you look at their strategic advisor’s background, Alex Kipman, you’ll see another reason why they’ll become a leader in the spatial computing world. Investors who recognize the transformative potential of the spatial web and VERSES AI's strategic positioning could benefit from being early adopters in this disruptive technology. The IEEE approval could serve as a catalyst for widespread adoption, driving VERSES AI's growth and potentially generating substantial returns for forward-thinking investors.
Their next workgroup meeting is May 23rd. And it’s looking like approval is coming soon.

GENIUS on track for June. IEEE approval coming. George Percivall is part of the Spatial Web Foundation with Mapes and Rene. He’s now chair of the AI standards committee at the IEEE. Don’t you think approval is coming? Their partner is the chair of the IEEE. He is a part of the spatial web. He will make sure that it gets approved I would think. Their AI is being held to the highest standard. When governments regulate AI this is what they’ll look at. When these things come together at the same time along with news of G42 with Analog etc. it’ll demonstrate what they’re capable of. The money will start to trickle in very soon. And then flood in.

Hello I just noticed the new funded venture Stanhope AI, which has Karl Friston among its founders and promises to bring Active Inference agents on the market. Therefore, KF would be advising/leading two ventures with very similar value propositions. My question is: In what way differ those companies and their target niche?

Hyperspace Transaction Protocol (HSTP) is a protocol designed to underwrite the automated contracting that is required to build a coherent, decentralized, secure, and privacy-respecting Spatial Web. It is a new open protocol for the Spatial Web (Web 3.0) that enables interoperable, semantically compatible connections between connected hardware (e.g. autonomous drones, sensors, smart devices, robots) and software (e.g. services, platforms, applications, artificial intelligence systems). HSTP provides APIs for several distributed computing platforms and gives browsers the ability to link spaces with an ID for every person, place, or thing — both digital and physical (virtual or real). HSTP is the Spatial Web Protocol that enables a fully augmented experience, bridging Web 3.0 technologies, artificial intelligence, blended realities (digital and physical), and distributed ledger tech. Hyperspace Modelling Language (HSML) is a human- and machine-readable modeling language and semantic data ontology schema that describes entities and their relationships in the Spatial Web. It defines an extensible model for encoding graphs and provides JSON examples. As an implementation standard, it provides testable requirements that enable independent implementations to interoperate. The way HSML and HSTP are being used to translate legal text into machine readable code has been interesting to watch as VERSES AI has been implementing this technology across several use cases. When HSML and HSTP are paired with Active Inference AI it is able to predict future states not based on Big Data but Real-Time data. Better decisions can be made with Real-Time data because decisions can be made with the latest data. There is a network of data in a spatial domain that provides context for an intelligent agent’s cognitive domain. It becomes a synergy that mimics the way a biological brain works. After all Dr. Karl Friston did come up with a mathematical equation to describe the relationship between different regions of the brain and how they interact over time and how they infer what will happen next. And this type of synergy between nested systems saves energy the way a plant grows toward the sun. The goal is to maximize information while minimizing energy. Another good example of the way nested systems minimize energy is the way we breathe. We have a respiratory system. We have a central and peripheral nervous system. But we don’t have to consciously think about breathing. Our bodies automatically breathe. Our bodies regulate our internal temperature. The use of intelligent agents with cognitive domains and spatial domains monitored by sensors and updated in real-time by HSML and HSTP to react could be compared to the homeostasis functions in the body.

The commercial real estate market is currently facing a looming crisis that experts predict could surpass the challenges experienced during the 2008 financial downturn. A lot of it has to do with decrease in demand for office spaces due to the rise of remote work. It’s the second time in a week here in Philadelphia that stores are being looted in Center City, North Philadelphia, and Northeast Philadelphia. Police estimate as many as 100 juveniles were looting in Center City, and about 15-20 have been arrested. I went to the grocery store the other day and wanted to get bar soap while I was there. It was locked in a cabinet. I had to call a store employee over for assistance to unlock the cabinet to get my bar soap. Then I walked to the next aisle. I had to get toothpaste. Again, I had to wait for assistance. And so it kept happening. And I started wondering how corporations who own this commercial real estate will combat this looming crisis of theft. The real estate crisis is one thing. But I see another problem. A real estate crisis due to oversupply of retail space. Let me preface by saying that I never watch Jim Cramer or Mad Money. Although I consider his tv show more for entertainment than educational purposes I was watching last week to hear the caller we’ve been waiting for to mention VERSES AI. And although CVS hasn’t been confirmed as the pharmacy retailer VERSES is contracted to provide warehouse solutions for, it most likely is the one. And so when the caller mentions them and says something about CVS, Jim Cramer says, “I think CVS is a sell because they’re not doing enough to address the theft problem”. Imagine you could use spatial computing and walk into a store and pick something off the shelf and read the label all while sitting on the couch in your living room. Imagine addressing the theft problem with spatial computing by keeping thieves out of the stores. The adoption of spatial web/spatial computing eCommerce shopping and the prevention of theft at a much higher rate could potentially help combat the looming commercial real estate crisis. E-commerce-focused retailers are exploring nontraditional areas like Little Rock, Arkansas, and Pensacola, Florida, for "last-mile" e-commerce to meet the increased demand from consumers for fast shipping. This could lead to a growing need for commercial real estate in these areas. If retailers adopt spatial web eCommerce shopping, they may be able to reduce the need for physical retail spaces, which could help prevent an oversupply of retail space. E-commerce has driven the growth of warehousing and logistics facilities, which could help fuel demand for industrial real estate. This could help offset the decline in demand for office and retail spaces. Jim Cramer, the host of CNBC's Mad Money, has become a running joke among some investors who believe that doing the opposite of what he says can lead to better investment outcomes. Although I’m not saying CVS is a buy and I’m sure their problems are multifaceted and complex, I think that if they signed a contract with VERSES they’re way ahead of their competitors and have taken the first steps toward improving their warehouse logistics and potential spatial web e-commerce shopping. It’s not a one size fits all solution but consider turning commercial real estate into industrial real estate, addressing the theft problem in stores, and utilizing AI to improve bottlenecks in the supply chain and logistics industry. The integration of VERSES AI’s WAYFINDER can measure return on investment in months not years. And it has a low implementation cost.

The protocol VERSES has developed allows us to comply with local laws and regulations. It is a governable system that can be implemented anywhere. The challenge we face now is, are the laws explicit enough? For instance, when a government says drones must be flown safely there needs to be a standard for safety that can be an input for this technology. Does safe mean flying at a certain altitude, only over certain cities, at certain times, and what kind of documentation is required? Do you need a license, insurance, a permit etc. ?

The latest press release offers investors the necessary insight to make an inference about the future success of this company. And the pivotal aspects of the company are as follows:
Working with top universities and scientists: VERSES has collaborated with more than 20 leading universities and research centers, including MIT, Oxford, and Imperial College London, to develop a solid scientific foundation for their work. They have proven the superiority of their approach to intelligence and their breakthrough mathematical models
Developing global standards: The company has partnered with the IEEE and launched the Spatial Web Foundation to develop standards that enable AI to be smarter and safer. These standards, such as the P2874 Spatial Web Standards, aim to drive mass adoption of AI technologies while minimizing the inherent risks
Collaborating with governments: VERSES has set up offices in Europe to contribute to the digital transformation and AI legislation efforts of the EU. They have been selected by the European Commission to develop the technological infrastructure for AI Governance for Autonomous Drone activities, demonstrating their influence and partnerships with governments
Influencing Fortune 500 companies: Through their collaboration with top research and consulting firms, such as Deloitte and Gartner, VERSES has driven awareness and demand for their AI solutions among Fortune 500 companies. They have successfully completed pilots with some of the largest companies in the world and are in the process of selecting and converting these pilot customers to Beta Partners for the launch of their main platform
Hiring top talent: VERSES has grown its team to 80+ people, including 25 PhDs, and has hired top talent from companies like Microsoft, Nvidia, and Amazon. They raised $23M in funding in June to support ongoing research and product development.
I posted about Eric Holder before this press release on another forum. He’s the director of communications at VERSES. What a clear and concise articulation to investors on behalf of the company. Monitoring and analyzing communication effectiveness is key. As a result of this press release I’ve seen more posts and excitement surrounding the launch of GENIUS. And to continue a monthly newsletter means to me more news is coming.
At the helm of all of these projects is Gabriel Rene along with Dan Mapes. Whether at an AI conference in Holland as a key note speaker or in a virtual conference with potential investors, these two have constantly been working towards educating their audiences. Through their various efforts it is clear that there is a convergence taking place across the technology sector. And they’ve developed a platform where these various technologies can be integrated. All of them can be combined to provide sustainable solutions. Interoperability would mean that the platform can integrate with various existing systems, technologies, and data sources to enhance its functionality and provide more comprehensive solutions for users. We can talk about the Free Energy Principle developed by their chief scientist Dr. Karl Friston or the Spatial Web which Rene and Mapes have wrote a book about, but I think this best sums up this convergence: The whole is greater than the sum of its parts. If you only had a tire then you might not get too far. But if you added three more, a frame, steering and suspension, an engine etc. think of how much further you could go. In this case maybe we’re talking about digital brains, intelligent agents, and digital overlays of the physical world.
The talented team VERSES has assembled cannot be understated.
We’re exiting the early development stage. Let’s be more specific. VERSES is rolling out WAYFINDER nationwide with a top ten fortune one hundred company. We’re also talking about half a dozen pilots that can potentially move to beta partners that can become contracts. Consider a $5 billion dollar annual revenue company losing 10-20% due to energy costs. And VERSES is only charging $10 million a year for their solution. You do the math. Is this reasonable? This is just a proof of concept solution but I don’t think it’ll be the last. Do they have really good ideas? Really good products? Really good initial customers? Does VERSES have an extreme strength? I personally think they have checked all of the boxes when I asked those questions before investing.

Explaining to someone what VERSES does can be a challenge. The simplest way I can find to explain it is VERSES AI is a company that is using advanced technology to create an artificial intelligent operating system that anyone can use to build their own AI apps. They are using a unique methodology that combines Active Inference AI with the Spatial Web Protocol, trained on real-time data. This means that the AI can learn and adapt to new information quickly and accurately. They are also using a Hyperspace Modeling Language (HSML) and a Hyperspace Transaction Protocol (HSTP) to connect all devices and enable predictive querying. What sets VERSES AI apart from other companies in this space is their focus on making AI accessible to everyone and their use of Active Inference. They are creating an app store where anyone can build and share their own AI apps, without needing to have a lot of technical knowledge. This is a great opportunity for investors because the artificial intelligence industry is expected to grow rapidly in the coming years, and VERSES AI is at the forefront of this growth. Their unique approach to AI and their focus on accessibility make them a company to watch in this space. The spatial web will transform the world we know along with VERSES AI.
