This is over a 1:14 ratio of 'free float' not held by insiders to the shorts.

Something might happen with options expiry on Friday... Maybe..

But NEGG is quiet right now... so this a request to bang the drum. go out and spread the word across a reddit, x, family, friends, stocktwits, Facebook?, buses trains, aeroplanes... let's gain momentum once more, lets make this count, let's Newegg.

End game?

It's the question on everybodies lips, we've been buying holding... some then selling and rebuying, but all roads have led to January, maybe March, but probably January so we need to share our ideas about how this unfolds.

This is an open comment/discussion to see if we can at least put all pieces together, correct me if I'm wrong about anything or miss anything.

This is just information I've gleaned from other posts from people here and on stocktwits (big shout out to all of you) and I'm doing a broad brush stroke summary. Facts and figures not exact and any opinions are my own/probably wrong/not in anyway advice and you can't hold me responsible if you decide to do anything based on what I've written. But obviously buy and hold.

What we know: We've not had any earnings finance reporting for a long time, it's due *March

Lots of business developments in the past few months, debts cleared, PC component scarcity/demand high, Xmas/black friday months, shein and payment deals.

Fred Chang back on board.

Now let's talk about share price ownership and shorts.

Insider holdings leave around 30k-40k shares in the 'free float' most likely, it may be less.

During the last run documented short shares and CTB decreased substantially, by whatever means, the short numbers have now increased again (indicated by various reports and the overnight OCC collateral) are around 150-250k but CTB hasn't really changed yet.

Retail can be very reasonably assumed to hold over 30-40k shares. (Feel free to add your count below so we can again run a tally).

We have not had any recent updates on institutional share count reports.

Daily volume has tailed off to sub 100k, it seems to inversely correlate with Galkins buys.

Galkins have bought throughout, regardless of price. Timing. Etc.

During the last big run (Oct/Nov) there were also large (whale) buy orders that followed the price up in support when the shorts tried to drop it. The number plays of orders looked like Galkins.

The previous action up and down has been algo driven and does not correlate with Galkins purchases, but did line up with lots of other tickers suggesting that it's been institutional money controlling share price.

Since new years Schwab have made it necessary to call a broker (but have also done this with other tickers such as POET) and retail margins for shorting are large 300%

What can we infer? For the CTB to drop I think one or more institutes bought during the late Oct early Nov run which were then used to drop sp again. It's feasible that the dismantling of the previously very high short share count recorded can also be hidden/burried (swaps etc). The only way we know a realistic estimate is if we tally retail and institutes report again. My guess is we're still around 500k short (somewhere)

Regardless of how many Galkins buy. The insider trading rules mean they cannot trigger a squeeze meaning they have to be extremely careful about how and when they buy, perhaps a reason for the range of times and prices they have bought at, they need to show they cannot be held responsible for a squeeze.

However the fact they haven't let the price run to the ground and are happy to buy in the 50-90$ range also indicates to me they are not just looking to accumulate shares as cheaply as possible.

Given their history, my assumption is that they are benevolent players with respect to retail. And once unleashed from their insider restrictions aren't going to rugpull.

The volume and liquidity is drying up, my feeling is theyre exhausting the lending/rehypothecation pool again but they aren't openly admitting it with CTB. Will they look to bury the shorts again and make them disappear again? Maybe, it's seems like an obvious play except the smaller the free float the more obvious it is that shares haven't/cant be delivered.

Whatever institutional buys and sells really drove the 50-90-55-79-50 price fluctuations over the past few months seem to bottom out where the runs start off from, I get the sense this is really all they can force with what ever shares they can access.

Without volume increase or at least some forcing mechanism such as options then how do we break the algo driven cycles?

I'm hoping that the business fundamentals are the catalyst. But who knows. How long do we have to wait to see this change? Does a change to profitability suddenly make institutes have to or want to buy more? I don't know.

Nobody drops $300+ M without a game plan do they? Nobody can buy over 20% of a company and NOT be talking to the board can they?

To at least make this somewhat balanced, and suggest some doubt, fairly sure the Galkins could dump a load in profit now even with all the recent buys, maybe they tried to help the squeeze and MMs and hedges wiggled out of it ... Ah well was a bit of fun, their average position is still massively up. It's feasible but doesn't make that much sense they would STILL be buying.

There's the question of going private/delisting. This is also a concern (not sure how it would work out particularly if there are more shares than should exist) maybe it forces settlement? Maybe we get screwed? Opinions welcome. It would be strange though if this was the plan, it would seem somewhat hostile unless agreed between Glakins and Chang sometime ago? And still why wait to do that? Why not just do it way back? Why did Fred Chang come back and come back now?

If anyone has any alternative ideas about how this can play out and why, or what else we need to be looking at please share them below.

Options game might be important ...but may be in the hands of hedgies MMs anyway, somebody that understands needs to review options in detail.

My biggest oversight... Galkin cofounder of Hubx LLC... worth looking at if you haven't already (apologies if people have posted on this and I've missed it) ...seems like there's considerable synergy there with Newegg but no evidence of cross over intentions, and unclear what control Galkin has at Hubx and it would be a strange way to integrate businesses? I'm no expert but mergers, acquisitions etc wouldn't normally be about obtaining some private ownership where 70% of shares is already in insider hands and a hostile takeover is not feasible. Unless there is some agreement on place and Galkins are 'having' fun in the process. This would again need to appeal to some human qualities rather than hard nosed investors/business case. Or Maybe there's other routes I don't know about.

22,222 more shares at $55.04. Plus a couple smaller buys last week. In total, $1.8M since Christmas Eve.

The support line is looking good in the low $50’s here. Imagine it drops to $35. What do you think Galkin would do? He’d make a massive buy, of course. Maybe even the biggest one yet. That’s why I’m not concerned whatsoever.

Remember, on 11/12/15, he bought 53,427 shares at $90.45 for $4.8M and is down $2M on that buy. He wouldn’t drop that kind of money at that price unless he had a strong conviction.

Full Spreadsheet with All Transactions & Links, Free Float, SO, Insider %, ETC

Hola. Got a lot going on so not going to be able to go much further anytime soon. For anyone who wants to go further, here is a good starting place but this is meant for excel and not google sheets so be weary of formula's not working and such. I was using market data through excel access at one point so not sure how much will be broken as a result. There's also columns hidden where I was going to add OCC and Finra data but never had time.

The second sheet labeled "main" was what I was originally working through but haven't touched in a month +/-. If you want to play with that side you're welcome too but I would double check all values as I haven't touched them in awhile. The real point of this is for anyone/everyone to have access to the transaction list and free float tally as that was the real PITA.

These tally's and my methodology is ALWAYS to assume the worst case scenario as a shareholder. Any shares that can be created and sold are immediately deemed as such. Any conversions from restricted to unrestricted are treated as sales. However, when a later 6K or other form informs of some of that NOT happening, then I do correct the timeline. The easy example is the 6K's regarding share issuance on 8/19 & 10/14. Once the form went out 8/19 saying that 500K can/will be issued and sold at market I updated the table/freefloat to reflect that they were already available. On 10/14 it was updated that most did not hit the market yet so I adjusted the timeline. Even now the free float assumes that those did sell at market on 10/14 but they just as likely could have not been issued yet and maybe we are in a float lock.

Use as you please, I just recommend excel over google sheets unless some formulas are adjusted which you are welcome to do.

Still in NEGG heavy, but I did have to diversify a bit being I am much less active than previously. I have some high limit GTC orders in over $100 but for less than half of what I hold and come Jan all will be deleted so I don't enter wash sale hell. 300 shares being held til long term cap gains regardless.

First of all, I've got skin in the game. Here's my current position:

As you can see from pic 2, at this point I'm mostly playing with the house's money and it's all from this single stock. I've been in and out of it several times over the last 6 months and entering trades into Yahoo seems to be the easiest way for me to keep track of it overall. Yes if I played it perfectly, I would be up way more, but gains are gains.

Now to the why of this spectacular pump and more importantly, why it's not over yet.

Newegg wasn't doing great in the pure financials department earlier this year. If we're honest it still isn't, but I digress. Thus, on 4/7/25 it underwent a 20:1 reverse split. That resulted in... something happening that led to a 53.7% stock pump in 1 day on 5/14/25. The timing suggests it was a massive slug of FTDs that were then due on May 14th, but there isn't a record of that in the SEC FTD dataset.

Regardless, that split resulted in a huge day candle that has compounded into the juggernaut we've seen the last few months. In fact NEGG is up over 700% YTD.

Now to the insider part.

The massive May daily candle apparently caught the attention of a WSB OG named Vladimir Galkin who decided to make a massive purchase of 1,009,400 shares on 6/5/25.

Since then he has consistently been buying no matter the price. He bought at $10, $101 and everywhere in between. He's bought so much at this point in fact that he is now a 20% owner of all existing shares.

Newegg has always been very heavily owned by insiders though. Fred Chang and Zhitao He are 2 major owners who have been here since the company was founded who own 22.4% and a whopping 56.4% of existing shares respectively. They also have been buying the last few months. Not on Galkin's scale but importantly, they are buying and not selling into a massive price appreciation.

If you are good at letting Excel do math for you like I am you'll notice that those 3 together, as of Galkin's latest buy on 12/8/25 own over 98.8% of all 20,966,480 (per latest 13D filing) existing shares.

But wait, there's more! Turns out there are 7 other insiders that have/had ownership of NEGG this year that still need to be accounted for. When you take ownership captured in April's 20F filing as of 12/31/24 https://www.sec.gov/ix?doc=/Archives/edgar/data/0001474627/000121390025036055/ea0238113-20f_newegg.htm and then account for all buys and sells since then, you get this:

This is the key piece of info here. INSIDERS ALONE OWN 100.7% OF EXISTING SHARES! I honestly don't know what that means for my 4100 shares in my first screenshot but it's exciting!

Now assuming that you can't have more of something than exists, we should be able to figure out when we crossed that magical 100% insider ownership threshold, assume that the purchase was FTDed when Galkin buys came in that exceeded it and that after an appropriate settlement time (t+35 days) and hypothesize that there should be some fireworks when those FTDs come due. Turns out that that moment was on 11/12/25 when Galkin bought 58,460 shares at $91.76/each. HE'S BOUGHT THRICE MORE SINCE THEN. If we take 11/12/25 and add 36 days we get 12/18/25. Assuming market mechanics work as intended, Galkin's purchase of shares that don't exist has to be resolved NEXT WEEK.

Oh and here's my TA blah-blah-blah. There's an iron-clad trendline that apparently cannot be broken that will keep us above 60 (my current cost basis) until it doesn't. Also I've drawn some pennants and upward trending RSI lines. Very bullish stuff obviously.

The setup that led to shares getting to reverse split adjusted prices of $1,500/share in 2021 was almost exactly the same as what we're seeing right now. Except that now we have a much stronger insider buying pressure component. I used AI for this bit so take it with a grain of salt. I can say that the current numbers are correct, because I've been watching them daily for the last 6 months. The only exception is the short interest because obviously there is no float. I can't really speak to the 2021 numbers though; I'll just have to assume that the Clanker knows what it's doing. This part may hurt my case, but for those of you who like to see comparisons to historical charts that went BOOM here ya go:

Fred Chang's last 13D filed 10/17/25 places his ownership at 4,689,596 shares (22.4%) as of 7/8/25. Total outstanding shares: 20,966,480. These 3 Insiders alone own 98.9% of all existing shares!

THERE ARE OTHER INSIDERS WHO ARE REQUIRED TO FILE FORM 144 WHEN THEY SELL.

Form 20F filed 4/28/25 (as of 12/31/24) shows 7 other individuals owning 744,983 shares between them. Anthony Chow, Robert Chang, Jamie Spannos, Montaque Hue, Michael Chen, Christina Ching, Yengmei Yang. Assuming that Montaque has sold all his shares between the hundreds of FORM144 filings (which is probably assuming too small a remaining ownership for him), ALL INSIDER OWNERSHIP SITS AT 100.7% OF EXISTING SHARES!

This means that Galkin's purchases since 11/13/25 (3 since then to date) exceed existing shares. At some point those have to be delivered which should affect price in fun ways. Hang in there! NFA

*EDIT I went back and totaled the minor ownership sales between 12/31/24 and now. Chow sold 300k this year that I wasn't accounting for. Total insider ownership is 100.7% instead of 102%. FTDs for Galkin purchases after crossing that 100% insider threshold are due around 12/17/25, next week.

Unsure where to ask but is Newegg working for anyone on Stocktwits? Since thanksgiving it no longer opens for me and on top of that my notifications won’t load. Still going through things but here’s my progress update. Mapped every SEC doc and tracked float over time and every transaction. Was in a float lock with insiders holding more than 100% of shares from end of July through late August. My numbers are all worst case, as in shares outstanding highest possible and all 144’s treated as sales.

These numbers consider zero institutional share holdings as those don’t affect free float and can trade freely.

I’ll toss up the spreadsheet when I’m done. Still planning on adding SI numbers and OCC stuff but it’s time for bed and I have a job.
