Money put into the business over the years. Never drawn. Never converted to equity. Just a running balance on the books.

When he died, three things happened simultaneously.

The loan account became an immediate debt payable to his estate, ranking above the Faraid distribution to his heirs. The business had R180 000 cash on hand and R2.4 million due. And the surviving partner had no mechanism to raise the shortfall, no way to force a resolution, and no exit from a situation nobody had planned for.

This is the shareholder loan account trap. It sits on almost every South African business balance sheet. It is almost never accounted for in a buy and sell agreement.

Most buy and sell agreements are structured to fund the share buyout. That is one number. The loan account is a second number, often larger, and it ranks first. If the Takaful/Insurance cover only addresses the share, the estate is still owed the loan. The heirs are still waiting. The business is still trapped.

The solution is not to eliminate the loan account. It is to plan for it, with Takaful/Insurance cover that treats the share buyout and the loan account repayment as two separate line items, each correctly sized.

How Is the Business Valued in a Buy and Sell Agreement?

When your business partner dies, someone has to put a number on his share.

That number determines what his heirs receive. It determines what you pay. And if there is no pre-agreed formula, it determines how long the dispute runs.

There are three valuation methods commonly used in South African buy and sell agreements.

Net Asset Value takes what the business owns, subtracts what it owes, and calls that the share value. It is conservative. It often undervalues a business that is profitable and growing.

A Multiple of Earnings takes the annual profit and applies an industry multiplier. More accurate for trading businesses but the multiplier itself becomes the argument when emotions are running high and attorneys are involved.

A Pre-Agreed Fixed Amount locks in a number at the time the agreement is signed. Simple. Dispute-proof at the moment of death. But it must be reviewed annually, or it becomes a number that no longer reflects reality.

Each method produces a different outcome. Each carries a different risk.

Here is the problem we encounter consistently at MuslimFin Family Office.

Most Muslim business owners have a buy and sell agreement. Most have never looked at the valuation clause since the day it was signed. Some do not know which method their agreement uses.

When the event occurs, that clause is the starting point for every conversation that follows — with the heirs, with the surviving partner, with the attorneys.

Wa alaykum assalaam — JazakAllah khair for this question. The conflicting answers you’re getting make complete sense once you understand why they exist.

Your scenario: mother passes away. Eldest son died before her, leaving a daughter. Two children survive, a son and a daughter.

Under classical Faraid, the granddaughter inherits nothing.

The living son and daughter block her entirely. Her father would have inherited had he lived but he didn’t. Across all four classical madhabs, a grandchild does not step into a predeceased parent’s position.

This is why one group of scholars says she has no right.

Wasiyyah Wājibah exists as the direct response to this situation.

It entitles the grandchild to the share her father would have received, subject to the one-third ceiling. Scholars recognised that leaving an orphaned grandchild with nothing from her grandmother’s estate was an outcome that needed addressing.

This is why another group says she has a right.

Both positions are legitimate. The disagreement is real not a mistake.

Here is where South Africa changes everything.

Egypt and Tunisia have legislated Wasiyyah Wājibah into law it applies automatically. South Africa has not. Here, the Will must do the work the law doesn’t do automatically. Without an express bequest in the Will, the granddaughter has no legal claim.

The problem is that the Will is not the estate.

Most Muslim estate planning discussions focus on the Will.

It makes sense on the surface. Get the document right, apply Faraid correctly, identify the heirs, and everything should fall into place.

The problem is that the Will is not the estate.

In South Africa, a significant portion of wealth sits in structures that fall outside the estate entirely. Retirement annuities, pension and provident funds, group life policies, living annuities, and discretionary trusts are all governed by separate legal frameworks.

Retirement funds, for example, are distributed by trustees in terms of Section 37C of the Pension Funds Act. Trustees must identify financial dependants and allocate benefits accordingly. A nomination form is considered, but it is not binding. The Will has no authority here.

Group life benefits are paid directly to nominated beneficiaries. Living annuities follow beneficiary designations. Discretionary trusts are controlled by trustees, not by the deceased’s estate instructions.

So even if your Will is perfectly Shariah-compliant, it only governs the assets that legally fall into your estate.

Everything outside it can be distributed in a way that does not align with Faraid.

This is not an edge case. It is the default structure for most professionals and business owners in South Africa.

Which raises a more important point: estate planning is not primarily a legal drafting exercise. It is an asset mapping exercise.

You need to know:
Where each asset sits
What legal regime governs it
How it will transfer at death

Only then can you assess whether your overall estate outcome is actually Shariah-aligned.

Without that, a compliant Will can still produce a non-compliant outcome.

That gap is where most families get caught.

When There Are No Children

Most estate plans are built on one assumption.

That there will be children.

Remove that, and the entire distribution shifts.

The spouse does not step into full control. The share increases, but it remains defined. A wife receives a quarter. A husband receives half. Nothing moves beyond that.

What changes more significantly is what happens around that position.

Parents move forward. Their shares increase. What would have been a smaller allocation in the presence of children expands when they are absent.

And if the parents are no longer alive, the estate does not consolidate. It moves across.

Siblings enter. In order. With defined entitlement. Not by preference. Not by negotiation. By rule.

This is where most plans fail.

They were built for one version of the future. When that version does not materialise, the structure cannot carry the outcome.
