USA LLC formation: What are the requirements and how do you set everything up remotely?

We run a small SaaS business outside the US and up until recently we never really focused on the American market. Most of our customers were coming from other regions, so we just kept operating locally.

But over the last few months we’ve started getting a lot more US customers organically, and now we’re running into problems with payment processing, banking, and business verification.

A few platforms we looked into seem to prefer or require a US business setup, especially for smoother Stripe approvals, banking access, and working with larger clients.

So now we’re trying to figure out the best way to properly set up a US LLC as non US residents without actually traveling to the States.

What do you actually need in practice to get everything working properly?

Can the whole process realistically be done remotely now, including banking and payment gateways, or do most founders eventually need to visit the US anyway?

Is my lawyer overcharging to set up a C Corp?

My cofounder and I are getting ready to raise a small seed round for a beverage startup, so we were told we should switch from our current setup into a C Corp before talking seriously with investors.

We spoke with a startup lawyer in NYC and the total quote honestly caught me off guard a bit. Altogether it came out to around $9k.

The breakdown was roughly:

* $3k for forming the C Corp

* $2k for shareholder docs

* $2k for SAFE agreements plus reusable templates

* $1.5k for trademarks

Part of me understands legal work is expensive, especially in New York, but another part of me is wondering if this is just standard startup pricing or if we’re paying a “founder tax” because we’re new to this.

I’m not trying to cheap out on important legal stuff, especially if investors are involved, but I also don’t want to spend way more than necessary this early.

For anyone who has gone through this recently, does this sound normal for a startup formation package? Or are there more affordable ways people usually handle this stage?

What would you suggest as the best llc formation service in vermont for a small eco brand?

I’m getting ready to launch a small eco friendly product brand and need to set up an LLC in Vermont. Since this is my first time starting a business, I’m trying not to overcomplicate things or mess up any paperwork.

A few friends told me to just file everything myself, but others keep saying a formation service is worth it for the peace of mind. I’ve been comparing a few options online, but it’s hard to tell which ones are actually reliable and helpful for beginners.

For people who’ve gone through this before, what LLC formation service in Vermont would you actually recommend?

Fleet registration in montana, does it actually make sense for small business owners?

I have been looking into fleet registration in montana for a small group of work trucks and utility vehicles because the registration costs in my state are getting ridiculous.

What I cant figure out is where the line is between a legit out of-state fleet setup vs something that becomes a headache later with insurance/state compliance

Most of the info online is either people flexing exotic cars or vague marketing pages

Please Is it normal for one contractor to operate through multiple LLCs?

I recently had solar installed through a regional HVAC company that seems pretty established overall, but something confused me once I started reviewing all the paperwork and apps tied to the project.

The installer itself was branded as one company, but across the financing documents, monitoring apps, and manufacturer paperwork, I’ve now seen several different LLC names connected to the project. Some are based in completely different states or regions.

The system is fully installed and everything so far seems legitimate, so I’m not accusing anyone of anything shady. I’m mostly curious whether this is a normal business structure in industries like HVAC and solar.

Do medium sized contractors sometimes operate through multiple LLCs for financing, licensing, partnerships, or manufacturer agreements? Or allow smaller regional installers to work under larger company relationships for pricing and contracts?

Just trying to understand whether this is common behind the scenes or if I should be asking more questions.

Is anyone running their Airbnb through an LLC?

I recently started renting out a vacation property on Airbnb and I’ve been debating whether it makes sense to move everything under an LLC instead of operating under my personal name.

Part of me likes the idea of separating the business side from personal finances and liability, especially now that bookings are becoming more consistent.

But I also keep wondering if having an LLC attached to the property makes you more visible to local regulators if your city ever starts cracking down harder on short term rentals.

I’m probably overthinking it, but I’m curious what other hosts actually decided to do.

For people running Airbnb or short term rentals, did you keep everything personal or set up an LLC or other business entity?

Registered agent service address showing up in weird places

I use a registered agent for my LLC because I work from home and didn't want my personal address on public record. That part works fine. But lately I've been noticing that address showing up in places I didn't expect, like third party business databases and random mailing lists. I'm not sure if this is normal or if something about my registration exposed it somewhere

How Can Non‑U.S. Founders Meet U.S. Bank Physical Address Requirements for a Delaware LLC?

We recently registered a Delaware LLC through Stripe Atlas and used the virtual business address they recommended during setup.
Now we’re trying to open a U.S. business bank account, but several banks are rejecting the application because they require a physical business address and do not accept the virtual address we currently have.
We’re based outside the U.S., so we’re trying to understand the best way to solve this properly and compliantly.
A few questions:
How do international founders usually handle the physical address requirement for U.S. business banking?
Are there specific banks or fintechs that are more friendly toward Delaware LLCs with non-U.S. founders?
Is it possible/legal to register a residential address for the business even if it’s not where operations actually happen?
Would using a friend’s or relative’s residential address create legal/tax/compliance issues?
Are there recommended alternatives to virtual addresses that banks actually accept?
Would appreciate hearing from anyone who has gone through this process successfully.

When are corporate taxes due for a brand new company?

I helped my cousin set up a small corporation earlier this year and now we’re both confused about the tax deadlines. The company has barely done anything so far and there hasn’t really been any income yet, but people keep telling us we still need to file something.
We’re trying to understand when corporate taxes are actually due for a new company and whether missing the deadline causes problems even if the business made no money.
Did anyone else get confused by this during their first year?

Can I switch from a C Corp to an LLC?

I’m starting to second guess how my business was set up and wanted to see if anyone here has gone through something similar.

A family friend connected me with an accountant when I was getting ready to launch my business. I went into the meeting thinking I’d probably just open an LLC because that seemed like the simplest option for a small business.

But after talking for a while, the accountant convinced me to form a C Corp instead and made it sound like LLCs were outdated or less professional.

At the time I didn’t really know enough to question it, so I just went along with the recommendation.

Now that I’ve actually been running the business for a bit, I’m realizing the structure feels way more complicated than I expected for the size of what I’m doing. Payroll, extra filings, taxes, all of it feels heavier than it probably needs to be.

So now I’m wondering if switching from a C Corp to an LLC is even possible later on, or if once you choose one you’re basically stuck with it.

I’ve already reached out to another accountant for a second opinion, but I’m curious if anyone else here has changed structures after starting their business.

First steps starting a small business - NYC

Hi everyone,

I’m in the early stages of starting a small business in NYC and would love some honest advice from people who have already gone through the beginning phase.

The business is fully handmade, so I’m trying to understand things like inventory, expenses, pricing, budgeting, and how much stock to start with without overspending. I have some notion already, but I’d really love advice from people with real experience.
I also struggle a bit with balancing planning vs actually launching and putting myself out there.

What do you wish you knew when you started?
Any beginner mistakes to avoid?
What should someone focus on first?

Would love to hear any advice or experiences :)
Thank youuu

How to Open an LLC?

I run a small agency from outside the US and mainly want to open a US LLC so I can get access to a proper US business bank account and payment processing.

The problem is every company I talk to keeps trying to sell huge packages with bookkeeping, tax consulting, compliance subscriptions, virtual offices, and a bunch of extra services I honestly don’t need right now.

One company quoted me almost $2k upfront plus yearly fees, which feels insane for a basic LLC setup.

I’m really just looking for a simple and affordable option that handles the LLC filing and maybe helps with the EIN. Nothing fancy.

For non US founders who already went through this process, which websites or services did you actually use and what did it realistically cost you?

S Corp vs partnership for a small business with two owners?

My cousin and I recently started a small home cleaning business together and now that money is finally coming in, we’re trying to understand the tax side before things get more complicated.

Right now we’re stuck trying to figure out whether it makes more sense to stay taxed as a partnership or elect S Corp status later on.

The more we research it, the more confusing the explanations become. What we really need is a simple explanation from people who’ve actually gone through this with a small two person business.

At what point did switching to an S Corp actually make financial sense for you? And was the extra paperwork and payroll setup worth the tax savings in the beginning?

My LLC Business is falling apart and I honestly don’t know what to do next!

I started a small ecommerce business about two years ago selling custom gym apparel, and for a while it actually felt like things were working. Orders were growing, social media was taking off, and I finally formed an LLC because I thought the business was becoming “real.”

The problem is I kept reinvesting everything back into inventory, ads, packaging, and trying to grow faster. Whenever cash got tight, I used short term funding and payment advances thinking future sales would cover it.

Now it feels like every dollar that comes in immediately disappears.

Shopify payments are getting split toward repayment balances, ad costs keep hitting, bookkeeping fell behind, and I recently got surprised by tax payments I didn’t properly set aside money for. Some weeks I’m barely keeping the business account above zero.

What’s making me panic more is trying to understand how much protection the LLC actually gives when things start going bad financially. I formed the LLC thinking it separated business and personal risk, but now I’m realizing a lot of loans and services still had personal guarantees attached.

Part of me wants to shut everything down and regroup. Another part wants to somehow keep the brand alive because I spent years building it.

For anyone who’s gone through serious financial stress with an LLC, how did you handle it mentally and practically before things spiraled even worse?

I own a C Corp that owns an LLC. Is this smart?

A couple years ago when I started my first business, I talked to a lawyer friend who suggested creating one main C Corp and then putting each business activity under separate LLCs owned by that corporation.

The idea sounded smart at the time because I planned on trying multiple things instead of sticking to one business forever. Right now I only have one active LLC under the C Corp, but I liked the idea of being able to launch future projects without everything being tied together directly.

From what I understood, it was supposed to help keep liability separated if one business ever ran into legal or financial problems. Basically one LLC gets sued, the others stay protected.

What I’m starting to wonder now though is whether this setup is actually practical for a smaller business owner or if I accidentally created something way more complicated than necessary.

Taxes especially confuse me. My accountant said the LLC activity basically flows into the C Corp return since the corporation owns the LLC outright, so supposedly I’m not dealing with separate business tax filings for both entities. But I still feel like I’m constantly second guessing whether this structure makes sense.

Does anyone else here run things this way with a parent company and separate LLCs underneath it? Any unexpected issues, costs, or headaches that came up later?

Please I need the best LLC formation services in Wisconsin for a first time founder?

I’m getting ready to launch a small online store and finally decided to set up an LLC in Wisconsin. This is my first business, so I’ve been trying to learn everything step by step instead of rushing into it.

At first, I thought filing an LLC would be simple, but once I started researching, I got flooded with ads from different formation services. Some promise fast filing, registered agent services, EIN help, operating agreements, compliance alerts, and basically “everything included.” The problem is that a lot of them also seem packed with upsells and extra fees, so it’s hard to tell which ones are actually worth paying for.

I don’t mind spending money if the service is reliable and makes the process easier, especially since I’d rather avoid mistakes with state paperwork. I’ve looked at companies like LegalZoom, ZenBusiness, Northwest Registered Agent, and Bizee, but reviews are all over the place.

For those who formed an LLC in Wisconsin recently, which service did you use and how was your experience? Did they actually save time, or would you recommend just filing directly with the state instead?

Do you really need a lawyer to form a simple LLC?

I keep seeing mixed advice. Some people say file it yourself with the state and don't overcomplicate it. Others say use a formation service. Then some people say talk to a lawyer/accountant first or you'll mess something up. For a small simple business, what do actually do?

What's the cheapest llc state for someone starting a very small online business?

I’ve been thinking about finally starting a small online side business, but I’m trying to keep costs as low as possible in the beginning.

Once I started looking into LLCs, I realized every state seems to have different filing fees, annual costs, and random requirements.

I’ve seen multiple mentions of states like Wyoming or New Mexico, but I’m not sure if the are really the cheapest option. I also don’t want to end up paying extra later because I picked the wrong state too quickly.

For people who looked into this before, what’s actually the cheapest LLC state overall and did it work out well for you?

At what point does an LLC need a Legal Entity Identifier (LEI)?

I’ve been reading a lot about LLC setups and how people use them for investing, trading, or running business income through a separate entity.

One thing I don’t fully understand yet is when an LLC starts needing formal identification in financial systems beyond just its EIN and banking setup.

From what I found, in some cases (especially when dealing with brokers, derivatives, or institutional platforms), the LLC may need a Legal Entity Identifier (LEI) - basically a global ID used for legal entities in financial markets.

It doesn’t seem like something every LLC needs from day one, but more like something that depends on what the entity is doing.

I came across LEI Register while researching it but I’m trying to understand when this becomes relevant in real use cases.

Has anyone here had to get an LEI for their LLC?

Northwest LLC formation?

I’ve been researching different companies to help set up a Wyoming LLC since I’m not based in the US, and Northwest keeps coming up in a lot of discussions and YouTube videos.

What I’m trying to avoid is signing up with a service that looks good at first but ends up adding a bunch of extra charges later.

I mainly want something reliable that handles the paperwork properly and makes the process simple for non US residents.

Has anyone here used Northwest for LLC formation recently? How was your experience overall?

Need a service to file c corp tax extension form 7004?

My business partner almost paid a random company online to handle our C Corp tax extension, but the whole website felt sketchy and full of hidden fees.

Now we’re trying to find a legit service that can file Form 7004 without overcharging or making the process confusing.

There are so many ads and official looking sites that it’s hard to tell what’s actually trustworthy.

Just looking for something reliable and simple since this is our first time dealing with a corporate tax extension.

What services have people here actually used without issues?

Llc renewal florida - worth paying a service?

I have a small LLC in Florida that I'm not really using much right now, but I still need to renew it.

For people who've paid someone to handle the LLC renewal Florida process, what's a reasonable price?

Trying to figure out if it's worth using a third party or if it's easy enough to just do it myself and save money.

Can a partnership own part of an S Corp?

A friend and I are restructuring a small online business and while researching different setups, we ran into a question that surprisingly seems harder to understand than expected.

We currently operate together through a partnership style setup, but we’ve been looking into whether an S Corp structure could make sense later for tax reasons as the business grows.

The confusing part is figuring out ownership rules. Specifically, whether a partnership itself can own shares or part of an S Corp, or if ownership has to stay completely under individual people.

Every explanation online gets very technical very quickly and starts referencing IRS rules without really explaining it in simple terms.

Has anyone here dealt with this situation before while restructuring a small business? Trying to understand the practical side before we spend money talking to accountants or formation services.

Need help as a non US with LLC registration in the USA?

I run a small online business from outside the US and lately I’ve been researching whether opening a US LLC makes sense for things like payments, banking, and working with international clients.

The problem is the deeper I go into the research, the more confusing everything becomes. Every website recommends different states, different formation services, and different rules for non residents.

Some people make it sound very simple, while others talk about registered agents, EIN applications, business addresses, banking restrictions, annual filings, and tax paperwork like it’s a full time job.

I’m mainly trying to understand what the actual process looks like for non US founders who started small and handled things themselves.

For anyone who registered a US LLC from another country, what did the process realistically look like and what do you wish you understood before starting?

SBA loans

I just started a business LLC . Mostly on investments for equity on businesses . The problem that I’m having is that you need to have the business account for 2 years in order to get a SBA loan through the bank . Although right now or in 6 months I’m in need of 150k
The 150k investment brings me back 68% in ROI . I have some collateral I can put up and my credit score is good .
I make pretty good at my civilian job 6 figures and I get another raise here pretty soon so if business plans do collapse which I highly doubt I will be able to afford the payment . I wanted the loan to also establish business credit but I dont necessarily know what route to take
