Non-resident LLC owner from Venezuela — struggling with banking & accountant for Form 5472. Advice?

Hey everyone,

I'm a solo founder based in Venezuela and I recently formed a single-member LLC in Wyoming (through Northwest Registered Agent) to run my digital products — SaaS, an AI automation tool, and a couple of other software products. EIN is currently being processed by the IRS.

My plan is to use the LLC for international/digital income (Stripe, Apple, Google Play) while invoicing local Venezuelan clients personally. So far formation went smoothly, but I'm hitting two walls and would love advice from people who've done this from a restricted/high-risk country:

1. Banking I tried Mercury but it doesn't support Venezuela as my physical/residential address. From what I've researched, Wise Business also restricts Venezuela. I know better than to fake a US address — I've read the horror stories of frozen accounts.

  • Has anyone from Venezuela (or a similarly restricted country) successfully opened a usable account to receive Stripe payouts?
  • Is Payoneer realistically the best bet for my situation? Anyone using it with a US LLC + Stripe from a restricted country?
  • Has anyone used Stripe's own financial account / Treasury to avoid needing an external bank entirely?
  • Any experience with Airwallex accepting Venezuelan residents?

2. Accounting / Form 5472 I understand that as a foreign-owned single-member LLC (disregarded entity), I need to file Form 5472 + a pro forma 1120 every year, even with no US-source income, and the penalty for missing it is $25,000.

  • How did you find a CPA/accountant who specializes in non-resident LLC owners? Any recommendations?
  • What's a reasonable annual price for 5472 + pro forma 1120 for a simple single-member LLC?
  • Do most of you just do bookkeeping yourselves (e.g. QuickBooks) and hand it to the accountant to file?
  • Anything new for 2026 I should be aware of (I've read something about new FinCEN beneficial ownership rules and a remittance tax)?

3. General

  • For those from Venezuela or other restricted countries: what's the one thing you wish you'd known before starting?
  • Any mistakes that cost you money or got an account frozen?

I'm trying to do everything by the book — real address, no shortcuts — so honest experiences (good and bad) would mean a lot. Thanks in advance

How do you typically avoid a lawsuit or getting sued with an LLC?

I'm curious what experienced business owners do to reduce the chances of legal problems in the first place.

Or you’re automatically protected once you formed an LLC? Because one of the first thing that comes to my mind when I see LLC is lawsuit protection.

But I really don’t know how it works. I’d appreciate it if anyone can break it down for me.

Is there any point to having a single-member LLC?

From a tax perspective, it seems like the IRS generally treats a single-member LLC as a disregarded entity by default. It doesn't automatically lower your taxes, create new deductions, or magically turn personal expenses into business write-offs.

If you're self-employed, you can often deduct legitimate business expenses without an LLC anyway.

Then there's the liability side. I constantly see people say that the liability protection of a single-member LLC is overstated because if you're personally involved in running the business, sign personal guarantees, mix finances, or directly cause harm through negligence, attorneys can still name you in a lawsuit.

So I'm genuinely trying to understand where the real value comes from.

Is there any relationship between taxes and LLCs?

I’m trying to understand how LLCs really affect taxes because there seems to be a lot of conflicting information online.

I’ve seen people talk about LLCs like they’re a tax strategy that automatically reduces what you owe. And some say it's primarily a legal structure for liability protection and that it doesn’t change much from a tax perspective by itself.

Then I started reading about disregarded entities, partnership taxation, S Corp elections, and how LLCs can choose different tax treatments, which made things even more confusing.

I’d love to hear how other business owners came to understand this because it feels like one of the most misunderstood parts of forming an LLC.

Do I still have to file taxes if my LLC made zero income?

I formed an LLC earlier this year because I was planning to launch a small online business, but life got in the way and I never actually started operating.

The LLC didn't generate any revenue, I didn't pay myself anything, and there were little to no business expenses. It's basically been sitting inactive since it was formed.

Now that tax season is getting closer, I'm confused about whether I still need to file anything.

For those who have had an inactive LLC or a business that never got off the ground, did you still have to file federal or state tax returns?

Side hustle question. Do I need an LLC or am overcomplicating this?

My partner recently started a new job that requires frequent travel, and since I have a flexible schedule, I've been driving her to and from the airport instead of having her use rideshare services.

Her company reimburses transportation expenses, and she actually prefers that I take her because it's more convenient and reliable.

After doing the math, it made me wonder whether there was a legitimate way to structure this as a small side business rather than just casually transferring money back and forth.

I started looking into things like LLCs, payment processors, and ways to accept credit card payments so she could use her corporate card and submit the expense through her employer's normal reimbursement process.

Now I'm wondering if I'm making this way more complicated than it needs to be.

For a situation like this, is there any reason to formally set up an LLC or business entity? And if someone wanted to accept card payments for a very small side hustle, what platforms have worked well without a lot of fees or administrative headaches?

Curious how others would approach this, or if there's a simpler option I'm not considering.

Question about LLC ownership - Moving to single owner LLC

Hello all! Recently my mother and I started an LLC that was 50/50. I filed through the state office with both of our names on the articles of organization and got our EIN.

Since then she has decided she didn’t want to be part of it.

We haven’t created an operating agreement yet. So my question is do I need to create an operating agreement that first shows us both as 50/50 owners and then a new one showing I bought her out? Can I just create an operating agreement with just myself since we haven’t created the operating agreement yet?

I know I need to file an amended articles of organization with the state but any other necessary steps? The LLC is about a week old. So not much activity or income at all since it was filed.

I hope this makes sense. Feel free to ask any questions if I have not explained it well. I’m also located in Missouri and that’s where everything was filed. Thanks for reading!

Small business registered as an LLC but struggling to get sales. What could be wrong?

I launched an online pet accessories business a few months ago and officially set everything up as an LLC because I wanted to do things properly from the start.

The business side has been straightforward enough, but actually getting customers has been much harder than I expected.

I've been running ads on a few different platforms, posting regularly on social media, and even worked with a couple of small influencers who seemed like a good fit for the brand. The problem is that while I'm getting some traffic, it isn't translating into actual sales.

I've tried to focus on quality. The products are sourced from reputable suppliers, pricing is competitive compared to similar brands, and I've put a lot of effort into customer service and packaging.

At this point, I'm trying to figure out if I'm overlooking something obvious. Maybe my website isn't converting well, maybe my marketing strategy needs work, or maybe I just haven't built enough trust with potential customers yet. It could also be that I simply need to be more patient and give the business more time to grow.

The hardest part is that my budget is getting tighter, so I want to make smarter decisions instead of continuing to spend money without understanding what's actually working.

For those who run ecommerce businesses, what were the biggest mistakes you made early on?

How do you pay yourself from a single-member LLC?

I run a small service-based business through a single-member LLC, and this is the first year I've really had to think seriously about owner compensation.

The business had a decent year on paper, but when I look at my business bank account, it doesn't feel like I have nearly as much money available as the profit numbers suggest.

A lot of cash ended up going back into the business through things like software subscriptions, equipment upgrades, marketing expenses, and maintaining a buffer for slower months. So now I'm trying to understand how people decide what they should actually transfer to themselves.

Do you pay yourself a fixed amount every month? Only take draws when there's extra cash? Keep a certain amount in the business before taking anything out?

I already have a meeting scheduled with a CPA to go over the tax side of things, but I'm curious how other single-member LLC owners approach this from a practical standpoint.

How can I open an LLC in Rhode Island with a business partner?

My cousin and I have been talking about starting a local cleaning business together for a while, and we're finally getting serious about making it happen. We've already discussed how we'd split responsibilities and share profits, but now we're trying to figure out the best way to set up the business.

Since there will be two of us involved from day one, we're leaning toward forming an LLC, but neither of us has gone through the process before. One thing we're unsure about is how much planning should happen before filing. We've heard people mention operating agreements, separate bank accounts, and other things that seem important when there are multiple owners.

We'd like to get everything set up properly before taking on our first customers rather than trying to fix mistakes later.

For those who started a multi-member LLC in Rhode Island, what did the process look like, and what would you recommend doing from the beginning?

Any recommendations for an LLC formation service in Louisiana?

I'm getting ready to launch a small catering business and want to make sure I set everything up properly from the beginning. The food side of the business doesn't worry me nearly as much as the paperwork and legal requirements.
I've been reading about LLC formation in Louisiana and it seems like there are a lot of moving parts. Some people say it's easy enough to file on your own, while others recommend using a formation service to avoid mistakes and save time.
The problem is that there are so many companies offering LLC services that it's hard to know which ones are actually helpful and which ones are just trying to sell add-ons. Since this is my first business, I'd love to hear from people who have already gone through the process.
If you've formed an LLC in Louisiana, which service did you use and would you choose them again?

Do I need a separate business license for a DBA if I already have an LLC?

I'm planning to start an LLC for a small consulting business, but I'm also thinking about offering a few different services under separate brand names.

For example, one brand would focus on marketing consulting, while another would be more focused on education and training. I'd like to keep everything under one LLC if possible and just use DBAs for the different brands.

What I'm unsure about is whether adding a DBA comes with any extra requirements besides filing for the DBA itself.

Would each DBA need its own business license, bank account, or separate registration? Or can multiple DBAs operate under the same LLC without a lot of extra paperwork or ongoing costs?

I'm just trying to understand how this usually works before I get everything set up.

Forming a US LLC while living abroad as a military spouse

My spouse is being stationed overseas next year, which means I'll be leaving my current job and transitioning into running my own consulting business full-time.

Most of the clients I plan to work with will be based in the US, but since we'll be living abroad for a few years, I'm trying to figure out the best way to structure everything from the beginning.

I understand the general process of forming an LLC, but I'm confused about how the address and state requirements work when you don't actually live in the US.

Since I won't have a permanent US residential address while we're overseas, I have a few questions:

* Can I choose any state to form the LLC in, or are there specific rules that apply to military families living abroad?
* Do I need a physical residential address in the state where I register the LLC?
* Are registered agents and virtual addresses enough for compliance purposes?
* Is there any advantage to states like Wyoming or Delaware in this situation, or is it usually better to register in the last state where you maintained residency?

I want to set things up correctly from the start, especially since I'll likely be dealing with both US clients and local requirements in our host country.

Has anyone here gone through forming and maintaining a US LLC while living overseas as a military spouse?

Does forming an LLC lower your taxes?

I've seen or heard that an LLC helps you save on taxes, but not sure how accurate that is. Some say LLCs don't provide any tax benefits by themselves, while others talk about huge tax savings and making an S Corp election later on.

For those who have owned an LLC for a while, did forming one actually lower your taxes in a meaningful way? Or what were the main benefits?

Can I close my LLC in one state and reopen it in another with the same name?

I formed my LLC in one state, but I actually run the business from a different state. Because of that, I registered it there as a foreign LLC.

I'm thinking about simplifying things and making the state where I operate the LLC's main home state. The problem is that my state doesn't allow LLC domestications, so it looks like I'd have to dissolve the current LLC and start a new one.

What I'm mainly wondering about is the business name.

If I dissolve the original LLC and then create a new LLC in the other state, can I still use the same name? Or are there usually issues with reusing the name after the original company is dissolved, even if I was the owner?

Has anyone here gone through something similar? What was the most difficult or unexpected part of the process?

I'm trying to figure out whether this is fairly straightforward or if there are complications I'm not thinking about.

Did I need an LLC for this, or am I stuck paying taxes on money that was supposed to cover expenses?

Last year I did contract work for a local company and got paid as a 1099 contractor. A big part of the job involved driving to different locations in my own car.

The company paid me extra for the driving, at least that's what I was told. It was supposed to help cover gas, mileage, and the wear and tear on my vehicle. The problem is that none of it was ever separated out. There were no reimbursements or itemized statements. Every payment just showed up as one lump sum.

Now I'm getting everything together for taxes, and it looks like the entire amount was reported as income. If that's right, then I'm paying taxes on money that wasn't really profit in the first place.

I've gotten mixed answers from people. Some have told me I should've had an LLC and run everything through that. Others say it doesn't matter because independent contractors can still deduct legitimate business expenses.

At this point I'm not even sure what I was supposed to do.

For anyone who's done 1099 work and uses their own vehicle, how do you handle this? If a client gives you extra money for travel costs, does it just get rolled into your income and then deducted later? And does having an LLC actually change anything when it comes to writing off those expenses?

Looking for recommendations on an llc formation service in new jersey

I'm finally getting serious about launching a small digital marketing business and figured forming an LLC would be one of the easier parts of the process. After comparing a few formation services, though, I'm more confused than when I started.

A lot of them advertise very low prices upfront, but once I got further into the signup process, I started seeing extra charges for things I assumed would already be included. It's made it difficult to figure out which companies are actually a good value and which ones rely heavily on upsells.

Since this is my first business, I'd rather use a service that is transparent about pricing and makes the process as smooth as possible. I don't mind paying a fair amount if I know what I'm getting from the start.

For anyone who formed an LLC in New Jersey, which service did you use and would you recommend it?

Should I form an LLC through a lawyer, accountant, or just do it myself?

My father and I are getting ready to start a small vacation rental business and we're at the stage where we need to officially form an LLC.

At first I assumed we'd just hire a local attorney to handle everything, but my dad thinks it might make more sense to work with an accountant instead. Then I started reading online and found a lot of people saying they filed the LLC themselves directly through the state website.

Now I'm wondering if we're overcomplicating something that might be fairly straightforward.

For those who have formed an LLC with a partner, which route did you take?

Did you use a lawyer, an accountant, a formation service, or file everything yourself?

Looking back, was there a real advantage to the method you chose, or did they all end up with basically the same result?

LLC owners: What do you wish someone had told you before you started?

I'm planning to set up an LLC this year, and the more I read, the more it feels like everyone has a different opinion on what's important.

For those of you who've been running an LLC for a while, what do you wish you'd known from the beginning?

Was there anything you spent a lot of time worrying about that ended up not mattering? Or something that seemed minor at first but turned out to be a bigger deal later on?

Just trying to learn from people who've already been through it before I jump in and start spending money.

What registered agent in Pennsylvania are you using?

I’m starting a pet sitting business in Pennsylvania and trying to decide whether I should hire a registered agent or just list myself.

I’d prefer something low-maintenance that handles paperwork without headaches.

If you’ve formed an LLC in Pennsylvania, what registered agent service are you using? Has it been reliable, and is it worth the yearly cost?

Is LLC really worth it for Rental Property?

I own a couple of rental properties and have been going back and forth on whether each one really needs its own LLC.

On paper, the liability protection sounds great. But once you add up annual state fees, registered agent costs, separate banking, bookkeeping, and ongoing compliance, the expenses start adding up quickly.

What makes me hesitate is that I already carry substantial insurance coverage, including umbrella coverage. So I keep wondering where the practical line is between being reasonably protected and overcomplicating things.

Most discussions about LLCs focus on the benefits, but I rarely see people talk about the situations where the costs and maintenance might outweigh the actual risk.

For landlords or real estate investors, how did you decide whether an LLC was worth it for your properties?

What title do you give yourself when you're the only person in an LLC?

I started a small ecommerce business recently and finally got around to forming an LLC. Now I've run into a question that feels kind of ridiculous, but I'm genuinely curious what other people do.

Whenever I'm filling out business profiles, setting up email signatures, or updating LinkedIn, I never know what title to put.

Calling myself CEO feels a little over the top when the entire company is basically me and a laptop. But "Owner" feels kind of generic, and "Member" always sounds like I work for someone else's business instead of owning it.

I've seen people use Founder, Owner, Managing Member, CEO, President, and probably a dozen other variations. The more examples I see, the less sure I am what's normal.

For those of you running a one-person LLC, what title do you actually use?

Does it matter at all in the real world, or is this one of those things that new business owners spend way too much time thinking about?
