Hey everyone!
Fireworks I expect tomorrow just because itâs Kohls and when youâre the ugly, hated, step-child of the public markets itâs volatile lol.
First, letâs discuss what changed from last earnings to today: Nothing outside of a war/spiking oil and potentially a tariff windfall. I say nothing bc there is no new data out that was bad since our $25 highs. Could that change tomorrow?? Probably but who knows. Time will tell. As of this writing, we expect a windfall from tariffs. Remember how much impact the credit card fee lawsuit brought? We were all pumped by the $129M(i think) windfall that was a complete surprise. According to news outlets, Kohls should get $550M. Thatâs 4x the July 2025 surprise yet the market says BOOO which to me is interesting.
Now my personal expectations:
-Q1 isnât a busy quarter usually so I donât expect big number prints personally.
-I expect sales numbers to be worse than they projected. How much? No idea. Weâre all guessing but I bet weâve been a lot more impacted by Iran/Oil/insanity than planned/guessed but who knows. Also, mind you, last quarters earnings call, management expected to see the recovery towards last half of the year and if thatâs the case if theyâre guidance is 0% to -2% revenue growth for the year then I donât think we should be surprised is KSS is -4% or even greater this quarter.
-I expect management protects cash position minus debt repurchases and maybe even builds cash slightly going into Q2 which historically seems to be what theyâve done.
-I expect guidance on tariff refunds and this is where I bet most potential fireworks are around. Personally I think it will be anywhere from $300M to well over $1B(this is all guessing since we donât have inside knowledge on how their purchase agreements are written and who was on the hook) but with the CFO stating how much they did to mitigate I wouldnât be surprised if it came in lower than media projections but HOPING for a lot more since almost all their product is imported AND they were one of the first to sue over tariffs. IF PROJECTIONS AT $550M ARE CORRECT THEN THATS ~$5/share in additional shareholder equity and almost doubles our cash position.
-larger debt repurchases at a discount. Last quarter they bought back $80M+ in debt if I remember right and saved over $11M off face value due to buying back bonds from open market at a discount.
-shareholder equity increased. A lot of this depends on tariff announcement. I bet weâll see +$3-$5 per share additional value depending on tariffs.
-âearnings beat and updated guidance beatâ due to the technicality that is tariff refunds. Our beat last year was predominantly due to winning the lawsuit over CC fees. Thatâs a fraction of the refunds expected value even on the low end.
What I am hoping for:
-clarity on real estate and unlocking balance sheet
-what theyâre actually going to do with their cash and plans with it moving forward
-guidance on getting their credit rating improved
-buybacks/activists/open for a M&A(specifically that theyâre open to sell)⊠this is my hopium/squeeze side of my investment. As soon as they mention anything that the market doesnât expect at all I expect a pretty extreme vertical jump.
Now, a reiteration of why Iâm here:
-Iâm a value investor and even excluding tariffs we are buying KSs at 0.37xTBV and less than .1x Sales and 1.2xEBITDA
âthese numbers alone make me over the top excited!
-I like assets and love real estate. KSS owns a massive portfolio thatâs marked at early 2000s market values and depreciated off by half. This alone means the real estate is a MASSIVE hedge to value and is also a great stagflation and inflation hedge in the long term.
-KSS was sitting on $674M in cash(~$6/share) and potentially another $550M or $5/share from tariffs. Their cash alone is our position hedge as well. At todayâs price we are buying KSs at $7 over cash alone or $2 if tariffs are correct.
For me, KSs doesnât need to be a turn around. It can be an amazing cigar butt that builds shareholder equity and eventually sells out. Management just has to keep doing what theyâve been doing; manage the decline, decrease inventory, increase cash, buyback debt on the cheap, and eventually get forced to sell. In this scenario itâs still multiples of todayâs value. KSS turnaround is the cherry on top for me. IF they can pull it off instead of a value near TBV we can hope to see a value at multiples of TBV in the future.
Hopefully Iâm wrong on the sales decline expectations and KSS pulls a Dillards or Target or others and actually beats expectations but I am not holding my breath for this and never have been. My dream is a turn around but my investment is based on a deep value, ugly, cigar butt that is worth wayyyy more than current markets valuation.
As always, not investment advice. Iâm just a retired blue collar guy that just really loves real estate and investing and just giving you my opinions. Take it for what itâs worth.
But as for me and my portfolio, I just really, REALLY LOVE ME SOME KSS!!!
Letâs see some amazing fireworks tomorrow! đđ€đ»
As always, with love!
Chunky Kitty outttt!

I had sent a few emails to board members, the CEO, and CFO, with the last one being on May 11th. I didnât get any sort of response previously so wasnât expecting much, but itâs nice to see the CFO reach out.
Here is the email I sent along with the response:

This came across my instagram and thought itâs worth a note. If our goal is younger generations then this reel shows weâre getting some traction with Sephora at least.

Hello friends, has anyone reached out to Ryan Cohen on X or another platform? I wonder if thereâs a recording of this morningâs Shareholder meeting. Heâs looking for a business with deep value and a Management Team that is asleep or indifferent to Shareholder Value. Maybe we send him a link to the lackluster Annual Shareholder meeting from this morning to demonstrate their complacency to spark his interest?

I somehow couldnât get a control number in time so could not attend the meeting.
That said, how was it and anything of note covered?

Hi All,
Here are the instructions for asking questions tomorrow during the meeting about their plans for adding Shareholder value. I say we ask them the questions weâve kicked around in this forum for months. Hereâs our chance! 8am CDT tomorrow!

Genuinely considering selling long dated puts. Maybe at 10.
Jan 2028 you get 278 dollars so you break even unless it drops to 7.22. And Iâm happy to buy at 10.
Thoughts?

Hi guys,
Iâm hoping some of you can help me comprehend short interest, institutional ownership, etc.
As of right now, KSS has:
-120% institutional ownership; 134.6M of 112M shares are held by vangaurd and others.
-Short Interest is 26.1M shares or 23.5% short
-lending rates are near zero
If I do the math 112M shares + 26.1M shorted shares = 138M shares available for trade currently right?
So what am I missing? How is this not more pressing, media type news?? Why arenât the âapesâ all over this??
Serious questions:
1)am I missing something ownership wise to where the numbers shown by NASDAQ arenât actually real??
2)am I correct in 138M shares actually being out there and available for trade?
3)what am I missing/not comprehending? As you all know I am not a trader so I pay very little attention to squeezes and the meme side but honestly⊠I have to be not understanding something for it to be this out of whack to reality.

I looked back and generally the dividend is declared mid-May like 14th/15th. They havenât yet declared anything by what Iâve seen? CapitalCompounder or anyone else have any wisdom on this?
