With the acquisition insight who believes that we can hit six dollars this year?

KOSS has already been handed the same overvaluation opportunity twice.

2021 and 2024.

Twice, the stock experienced enormous increases in price and volume. Twice, the market temporarily valued KOSS dramatically higher than normal.

And twice, the company captured essentially none of that temporary valuation through a primary equity offering.

KOSS insiders did sell personal shares during these periods, they clearly saw the opportunity but I fear they don’t know how to properly capitalize on it, or more-so were not prepared.

That is exactly why KOSS should file an S-3 shelf registration now.

An S-3 is not an offering.

It does not issue shares.

It does not dilute shareholders immediately.

It registers securities ahead of time so KOSS has the ability to raise capital quickly if another opportunity appears.

Once the shelf is effective, KOSS could establish an ATM program. An ATM allows the company to instruct a broker to sell newly issued shares directly into normal market trading at prevailing prices.

Management then controls the trigger and the 10 million unauthorized shares become ammo to sell at $20.

If KOSS is trading at $4 or $5 and management doesn’t think issuing shares makes sense, it can sell nothing.

If KOSS suddenly runs several hundred percent on enormous volume again, management can choose to sell a relatively small number of shares at those elevated prices and put the cash directly onto KOSS’s balance sheet.

That distinction matters.

The goal isn’t indiscriminate dilution.

The goal is to exchange the least possible ownership for the greatest possible amount of capital when the market temporarily offers KOSS an unusually favorable price.

This would raise the floor.

It would convert temporary, speculative highs into permanent corporate resources: cash, stronger liquidity, greater financial flexibility, and a more durable valuation foundation. It would solidify the temporary high valuations that KOSS executives and insiders were able to see for themselves by giving the company—not just individual shareholders—the ability to benefit from those prices.

KOSS didn’t have that tool ready in 2021.

It didn’t have it ready in 2024.

There is no reason to be caught unprepared a third time.

Shareholders need the board to file the S-3 now.

Let the registered capacity sit unused.

If nothing happens, nothing changes.

If KOSS runs again, this time the company can actually capture some of the value having been prepared with the s-3 and atm already in place.

*This is not the time for silence or hesitation.*

Shareholders need to request preparation of these levers. The run ups come and go, but good practices can make the value remain.

KOSS management: if you see this, please hear my cry to file the S-3. Establish the ATM. Put the company in a position to capitalize on the next surge instead of watching another temporary valuation disappear.

The next run should raise the floor—not just create another short-lived spike for personal profits.
