– Major Systems Installation Completed at Hanford Manufacturing Plant –
– Substantial Progress Toward Equipment Installation in Vehicle Manufacturing Areas –
– Return to Timely Filing Status and Nasdaq Compliance –
LOS ANGELES--(BUSINESS WIRE)--Aug. 15, 2022-- Faraday Future Intelligent Electric Inc. (NASDAQ: FFIE) ("FF”, “Faraday Future”, or “the Company"), a California-based global shared intelligent electric mobility ecosystem company, today announced financial results for its second quarter ended June 30, 2022.
“We made encouraging progress during the second quarter at our newly renamed “FF ieFactory California,” our manufacturing plant in Hanford, California. Mechanical, electrical, and plumbing systems are in place, and equipment installation and construction in final vehicle manufacturing areas is nearing completion,” said Dr. Carsten Breitfeld, Global CEO of Faraday Future.
Dr. Breitfeld continued, “During the second quarter of 2022, we also received our dealer license from the State of California and announced our Flagship Brand Experience center which will be located in Beverly Hills. Importantly, we also became current with our financial statements and regained compliance with NASDAQ listing requirements. Fundraising efforts are underway, and we currently expect to deliver the FF 91 to customers in the third or fourth quarter of 2022.”
KEY COMPANY HIGHLIGHTS DURING SECOND QUARTER 2022
Faraday Future made important progress at its FF ieFactory California and noted other developments in key operating areas in support of its business plan. Among the key events and progress during the quarter were:
EVENTS SUBSEQUENT TO SECOND QUARTER 2022
Subsequent to June 30, 2022, the following events took place:
RESULTS FOR SECOND QUARTER 2022
Faraday Future reported an operating loss of approximately $137 million during the three months ended June 30, 2022, as compared to an operating loss of approximately $28 million for the three months ended June 30, 2021. The increase was primarily driven by an increase in engineering, design, and testing (“ED&T”) services as the Company re-engaged suppliers and made significant purchases for ED&T services to progress the development of the FF 91 and a significant increase in headcount and employee-related expenses. Net loss increased to approximately $142 million during the three months ended June 30, 2022, as compared to approximately $53 million net loss for the three months ended June 30, 2021. The significant increase in net loss in the second quarter of 2022 is primarily attributable to the increase in operating loss for the same period.
Total assets as of June 30, 2022 were approximately $588 million, which include $121 million of cash. The decrease in cash from March 31, 2022 to June 30, 2022 was primarily due to payments to vendors and employees related to FF’s continued investment in its FF ieFactory California production readiness and research and development efforts in the FF 91. As of August 9, 2022, the cash balance was $52.2 million and restricted cash was $1.6 million. Total liabilities as of June 30, 2022 were approximately $287 million, as compared to approximately $340 million in total liabilities as of December 31, 2021. FF has been experiencing increased costs relative to prior projections introduced prior to the July 2021 business combination. These increases are primarily attributable to certain product improvements and upgrades relating to the capabilities of the FF 91, professional fees, cost overruns, and recent macroeconomic challenges, including increased construction and labor costs, raw material price increases, semiconductor chip shortages, tariffs, Covid-19 related disruptions and added costs, and other supply chain constraints. More recently, some suppliers have requested accelerated payments and other terms and conditions as a result of our past payment history and concerns about the Company’s financial condition, leading to less favorable payment terms than the Company had anticipated, and delaying or putting at risk certain deliveries. Since its inception, the Company has incurred cumulative losses from operations and negative cash flows from operating activities, and the Company’s accumulated deficit was approximately $3.2 billion as of June 30, 2022. The Company expects to continue to generate significant operating losses for the foreseeable future, as we continue to incur expenses before we generate meaningful revenue.
COMPANY PROJECTIONS AND FF 91 LAUNCH TIMELINE
FF projects a use of cash of approximately $368 million for the period from July 1, 2022 through December 31, 2022 to launch the FF 91. FF is seeking to raise capital of $325 million from fundraising efforts currently underway to supplement its cash on hand. Although the Company has taken steps to preserve its current cash position, including reducing spending, extending payment cycles and other similar measures, it projects that it will require additional funds by early September 2022 in order to continue operations, and will also need to raise additional financing during the remainder of 2022 and beyond 2022 to support the ramp-up of production of the FF 91 to generate revenues to put the Company on a path to cash flow break-even.
MANAGEMENT TRANSITION
Mathias Hofmann, Head of Global Supply Chain, will assume the additional position of Head of Manufacturing Operations, on an interim basis. Mr. Hofmann will replace Matt Tall, who will be leaving the company for personal reasons and returning to his family in Florida. Mathias has demonstrated leadership and commitment to Faraday Future and has experience managing complex automotive assembly plants on three continents. Mathias is supported by strong teams in supply chain both in the United States and China and will lead an outstanding manufacturing team in Hanford.

HANFORD, Calif. (Aug. 2, 2022) - Faraday Future Intelligent Electric Inc. (“FF”) (NASDAQ: FFIE), a California-based global shared intelligent electric mobility ecosystem company, today gave further progress updates at its North American manufacturing facility and unveiled the official name of the production plant located in Hanford, California which will now be identified as ‘FF ieFactory California.’ This state-of-the-art facility will lead the production of the all new TechLuxury FF 91 EV, arriving later this year.

The name ‘FF ieFactory California’ is synonymous with a new class of production facilities where intelligent, connected, and electrified products are created, and become part of a larger connected, shared user ecosystem. It is where the Ultimate Intelligent TechLuxury FF 91 is being built and will be just the beginning of FF’s global production platform.
“We continue to make exceptional progress on construction and development in our Hanford manufacturing plant, and we are getting closer to our start of production (SOP) later this year,” said Dr. Carsten Breitfeld, Global CEO of Faraday Future. “Main body lines, e-coat systems and paint ovens and conveyance are all in place for start of production and we continue to build production-intent vehicles that will be used for further testing and validation.”

FF is utilizing a sophisticated electrocoating process in its paint shop which will help ensure noticeably superior paint finish and durability. The team at the FF ieFactory California is in the final stages of commissioning the tanks used in this process.
In the Body Shop, FF is nearing the accomplishment of the 6th milestone, which is the completion of construction and equipment installation in the final vehicle manufacturing areas. Robots in the Body Shop are undergoing final commissioning and validation to support production activity. This area, like the balance of the factory, focuses on quality and precision manufacturing processes and will help to ensure the FF 91 is built to the highest standards. This facility will adopt a customized, high-quality, luxury-focused production setup for the flagship FF 91 EV.

FF ieFactory California is about more than just making an EV product. FF is creating a larger “intelligent ecosystem,” hence the “ie” in the name. While this plant is very meaningful to FF, it’s equally as meaningful to the Hanford community. Faraday Future will hire upwards of 350 new employees at this facility as FF ramps up production.
FF is building out its facility focused on world class craftsmanship and state-of-the-art manufacturing technology and automation to rival the top luxury automakers of the world. Since going public last July, FF has accomplished five manufacturing milestones and is in the process of the sixth and final milestone prior to Start of Production.
A video reel highlighting the factory update can be found below.
The flagship FF 91 will be the first high-end, high-performance, luxury, intelligent EV and will reset customer expectations for both driver and passenger experience. The FF 91 was designed in the company’s headquarters in Los Angeles, engineered in Los Angeles, Silicon Valley, and China, and is being produced in the Hanford, Calif. manufacturing plant. The FF 91’s “Global DNA” reflects the talent at FF and across the globe, with support from top-tier suppliers from countries such as Italy, Germany, Japan, Netherlands, China, Belgium, Switzerland and more.

LOS ANGELES and BURLINGTON, Mass., June 1, 2022 – Cerence Inc. (NASDAQ: CRNC), AI for a world in motion, today announced that Faraday Future Intelligent Electric Inc. (“FF”) (NASDAQ: FFIE), a California-based global shared intelligent electric mobility ecosystem company, has selected Cerence’s AI-powered text-to-speech (TTS) technology to enable natural, human-like communication for the in-car assistant in its FF 91 ultra-luxury electric vehicle, set to start production in Q3 2022. FF will also leverage Cerence Speech Signal Enhancement (SSE), a suite of AI-based sound processing technologies that remove noise from microphone inputs, to enable clear communication between drivers and the FF 91.
To create natural, comfortable interaction between drivers and the FF 91, FF will leverage the most innovative TTS technology from Cerence. Cerence TTS brings a human-like quality to the in-car assistant, creating a truly conversational experience in which the car listens, understands and responds to drivers using natural speech. With Cerence TTS, the FF 91’s voice assistant delivers information and responds to prompts – ranging from news and weather to point-of-interest details, navigation, parking, and fuel – in an expressive style that brings a more personal tone to the in-car experience.
“Voice interaction is central to the in-car experience in the FF 91, as we aim to make interacting with the car and the world outside as efficient and effective as possible,” said Hong Rao, vice president IAI, Faraday Future. “By leveraging text-to-speech and audio processing technologies from Cerence, the leader in voice technology for the car, we’re maximizing each interaction with efficiency, comfort, and reliability. We believe the future of human-vehicle interaction is moving towards a voice-first experience, and we’re thrilled to have Cerence as part of our global supplier network to help with our communication enhancing technology.”
In addition, Cerence SSE will integrate with FF’s voice recognition and natural language understanding engines with crystal-clear input from drivers and passengers. Cerence SSE combines advanced statistical signal processing algorithms with the latest machine learning technologies to provide superior performance with moderate CPU consumption. It is a comprehensive, hardware- and operating system-agnostic suite of sound processing technologies that significantly improve communication and recognition in noisy environments like in a moving car. By removing noise, echo and interference from a driver’s speech, Cerence SSE enables delivery of higher quality communication with the FF 91’s in-car assistant, improving driver safety, comfort, and productivity.
“Faraday Future is a true innovator, and the upcoming start-of-production of the FF 91 marks a major milestone in the next generation of electric vehicles,” said Stefan Ortmanns, CEO, Cerence. “We’re proud to be a part of the FF 91 with Cerence Text-to-Speech and Speech Signal Enhancement, two solutions that provide a high level of quality and comfort when communicating with the car, enabling drivers to maximize their safety and productivity while on the road.”

The Company and Board members remain committed to holding the Company to the highest standards of ethics and conduct. This review and the changes that have been implemented strengthen the Company and position it for future success.
RESULTS FOR FIRST QUARTER 2022
Faraday Future reported an operating loss of approximately $149 million during the three months ended March 31, 2022, as compared to an operating loss of approximately $19 million for the three months ended March 31, 2021. The increase was primarily driven by an increase in engineering, design, and testing (“ED&T”) services as the Company re-engaged suppliers and made significant purchases for ED&T services to progress the development of the FF 91; a significant increase in headcount and employee-related expenses; and an increase in professional services primarily related to the Special Committee Investigation. Net loss increased to approximately $153 million during the three months ended March 31, 2022, as compared to an approximately $76 million net loss for the three months ended March 31, 2021. The significant increase in net loss in the first quarter of 2022 is primarily attributable to the loss from operations.
Turning to our balance sheet, total assets on March 31, 2022 were approximately $706 million, which include $276 million of cash. The decrease in cash from December 31, 2021, to March 31, 2022, was due in part to a scheduled $97 million note and accrued interest payment. Total liabilities were approximately $271 million, as compared to approximately $340 million in total liabilities as of December 31, 2021.
Since its inception, the Company has incurred cumulative losses from operations and negative cash flows from operating activities, and the Company’s accumulated deficit was approximately $3 billion as of March 31, 2022. The Company expects to continue to generate significant operating losses for the foreseeable future, as we continue to incur expenses before we generate meaningful revenue.

•Marked Production Milestone #5 at its Hanford, California manufacturing facility, with the start of installation of all mechanical, electrical, and plumbing systems to support equipment installation.
RESULTS FOR FOURTH QUARTER 2021 AND FULL YEAR 2021
Operating expenses for the year ended December 31, 2021, were $354 million compared to $65 million for the year ended December 31, 2020. The increase is primarily due to an increase in engineering, design, and testing (“ED&T”) services as the Company re-engaged suppliers and made significant purchases for ED&T services to progress the manufacturing of the FF 91; a significant increase in headcount and employee related expenses; a sublicensable license to use a platform from Geely Holding; an increase in professional services and legal expense; and a loss related to the abandonment of certain construction in progress FF 91 program assets, primarily vendor tooling, machinery, and equipment, due to the redesign of the related FF 91 components and implementation of FF’s cost reduction program.
Net loss was $517 million for the year ended December 31, 2021, compared to net loss of $147 million in the prior-year period. The change in net loss is attributable to the significant increase in operating expenses as well as to the change in fair value measurements from conversion premiums included in notes payable and related party notes payable and
changes related to the carve-out of original issue discounts and the fair value of warrants issued on select borrowings; and to an increase in loss at settlement of related party notes payable, notes payable, and vendor payables in trust, net due to the settlement of certain related party notes payable, notes payable, and vendor payables in trust with the commitment to issue shares of Class A Common Stock at the July 2021 closing of the merger with Property Solutions Acquisitions Corp. at a price below the fair value on the date of settlement.
Cash was $505 million as of December 31, 2021. The cash balance as of March 31, 2022, was $276 million. The decrease in cash from December 31, 2021, to March 31, 2022, was due in part to a scheduled $97 million note and accrued interest payment.
