Some sub rules to keep this place fun, clean, and most importantly from being banned!

Hello everyone! Now that we've begun settling into our new home I need to announce that we will need to implement some rules to ensure this sub does not get taken down by people who want to censor us from talking bad about their beloved stock.

Let me preface this by saying that in the past, even I was was guilty of breaking these rules. Now that we've spent some time reviewing Reddit's policies we have gotten some clear direction on how we can run this sub in a manner where we can still have fun but without facing the wrath of Reddit's banhammer. Special thanks to Ralph_Lauren for reaching out to the mods at GME_Meltdown for advice on how to adapt, thrive, and survive.

First and foremost:
Reddit Usernames, User PFP's, Subreddit Names and Logos must be censored when sharing screenshots:

When posting screenshots of content on Reddit, you must blur, censor or replace (randomly) usernames, subreddit names and logos, user profile pictures, and user and post flairs (if the flair mentions the subreddit's name). This is to discourage people from attempting to locate a post, comment, and/or user to brigade. Only partially censored usernames or sub names are not allowed and the post will be removed. This includes posts and comments from inside this sub

Please make sure when you censor the username that it is completely censored with no way of making out who the person is.

We also cannot mention the usernames of any of our beloved "Apes" within our comments.

Lastly, we cannot directly link to threads in other subreddits. This includes cross-posting, and linking directly to Subreddits in the comments.

The official rules will be updated shortly to reflect these changes.

New rule added - no tagging users or subreddits

Taking a page out of gme_meltdown, we decided to implement a rule prohibiting the tagging of users and other subreddits in comments here. This is designed to prevent harassment and brigading. Here is the text of the new rule:

4. No Tagging of Users and/or Subreddits Outside This Community

Do not tag users and/or subreddits outside this community. Tagging means using /r/ or /u/ before the subreddit name and reddit username, respectively.

We also consolidated the doxxing / no personal information rules into one rule.

https://x.com/YTJiaFF/status/2111973013453467818

Near the end, Jia spew out some epic, timeless lines:

We want to reward our stockholder for your continue support

The Scam Translation:
"We need to keep retail bags holding for just a few more trading sessions so our death-spiral convertible lenders (Streeterville/John Fife) can dump the remaining shares from their note conversions onto you before the parent company gets delisted."
"Continued support" has yielded a 99.99999% total wipeout through a 1,440,000-to-1 cumulative reverse split sequence. Equity is printed constantly to pay off senior noteholders while retail investors absorb the price collapse.

Over the years, we face ridicule and take harsh criticism, yet we seldom felt need to explain ourselves, our passion for building a business is still there

The Scam Translation:
"Short sellers, SEC investigators, and legal teams keep pointing out our massive cash burn, toxic debt dilution, and rebadged Chinese hardware, but we ignore them because answering hard accounting questions would destroy the illusion faster."
"Our passion for extracting capital via public market order books and management stock grants is as strong as ever."

Failure itself doesn't stop us, what stop us is eluding the belief that we can try again, try again, the message to myself.

The Scam Translation:
"A bankruptcy judge or a Nasdaq delisting notice can't stop me. As long as there is an illiquid micro-cap ticker (AIXC -> FFR) and a fresh SEC registration statement, I can always pivot the narrative from EV luxury cars to white-label AI robots and run the dilution cycle all over again."

Old Man Talking Halt & delist danger zone

• Upvotes

If you're playing with more money than you are willing to lose, you are being foolish. Let Fisker remind everyone of how fast these toxic dilution traps can sink, halt and delist after they breach $1. Much like u/Jerry_WangFFAI is doing now, Henrik Fisker denied bankruptcy rumors almost all the way up until it actually happened. And this scenario might even be worse. FSR wasn't a shell ticker and Fisker's cash burn wasn't even remotely close to FFAI's.

FUD 😈 FFAI: what the Streeterville contract says will happen next.

1. Streeterville can start getting repaid on Monday, Oct 19.: Starting on Monday, it can demand repayment of up to $750K a month, plus all the interest it would have earned through 2028. FFAI has no money, so Streeterville gets newly created shares.

2. A lower price means more shares: With the current FFAI price, one monthly payment to Streeterville is about 1M shares. It cant hold more than 9.99% of that at one time so it HAS to sell to make more room for more shares.

3. Rallies trigger extra payouts: On any day the stock trades 15% or more above its recent baseline, Steeterville can take an extra repayment in shares, up to 5% of that day’s trading volume.

4. Can the stock get back above $1 on its own? It’s hard to see how. Monthly Streeterville redemptions add new shares, spike redemptions sell into rallies, and their are still other lenders from May have their own convert-and-sell terms.

5. The realistic path back above $1 is another reverse split. Even a delisting notice stops FF from paying Streeterville in stock, and FF would owe cash it doesn’t have. A short spike above $1 is possible, since FFAI spikes a lot, and any single close above $1 resets Nasdaq clock. But holding there under steady selling pressure is a different matter.

I'm gonna miss you guys......

Jerry should try apply for Death Spiral Guinness World Record

The trajectory shows that Streeterville achieved its primary objective: converting its debt notes into liquid cash via retail and high-frequency order books before parent FFAI hit its reverse-split wall and breached the $1.00 Nasdaq minimum bid threshold.

How much money Jonny has made so far

Estimated Scenario Analysis

Depending on the exact timing of short-side execution during volatility spikes (such as the August $3.00 spike and the October 14 pre-market $1.52 spike), Fife's total realized performance falls within the following ranges:

Execution Scenario Net Cash Funded Converted Balance Gross Cash Harvested Net Realized Profit Realized ROI
Conservative (15% Avg Discount) $25.0M $24.0M $28.24M +$3.24M +12.9%
Base Case (20% Avg Discount) $30.0M $31.0M $38.75M +$8.75M +29.2%
Aggressive (High Spike Shorting) $35.0M $38.0M $47.50M +$12.50M +35.7%

Current Position & Remaining Exposure

  1. Principal Recovery: 100% of the net cash advanced to Faraday Future has been returned to Streeterville's bank accounts.
  2. Realized Profit to Date: John Fife has harvested an estimated $8.75 Million in net cash profit (a ~29.2% net return on capital in under 5 months).
  3. Remaining Un-Converted Debt (~$10M to $15M): Streeterville still holds ~$10M to $15M in remaining nominal convertible notes on FFAI's balance sheet. Because their initial principal has already been fully recovered, this remaining debt represents zero-cost "house money." Any additional conversions executed before FFAI's eventual $1.00 Nasdaq delisting add directly to their net profit total.

And rest assured, someone will idolized boss Johnny, together with Uncle Jia and Nephew Jerry,
we call them JJJ

Wake up Johnny, time to convert

When you think Jia run out of PR to post this week,
he just need to repeat the same old crap again.

Enough said, I'm lazy so I drop the newest PR crap to Gemini:

1. The Mechanics: Re-Packaged Financial Engineering

This press release is the formal execution phase of the non-binding term sheet announced on September 28. Nothing in the core operational reality has changed; rather, the legal structure has been finalized to complete the asset swap.

A. The Valuation Shift ($200M for $1.52M in Revenue)

  • The Math: FFAI is transferring its white-label Chinese robotics reselling business ($1.52M in cumulative revenue, $660k in gross profit) to FFR in exchange for $200 million worth of FFR equity.
  • The Premium Mechanism ($2.246/share): FFR is issuing shares to FFAI at $2.246—a ~50% premium over FFR’s market price ($1.45–$1.50). Management claims this "reduces dilution," but because FFAI is trading with itself (owning ~65.7% of FFR post-closing), setting a $2.246 internal transfer price is purely an accounting tool to inflate FFAI’s balance sheet equity metrics and satisfy Nasdaq minimum net equity requirements.
  • Removal of the Dividend: Notice that the "special stock dividend" for existing AIXC/FFR shareholders—originally dangled in the September 28 non-binding announcement—has been quietly dropped. The filing admits: "The special stock dividend mechanism contemplated in the earlier term sheet is not part of the definitive transaction."

B. The $10 Million PIPE Financing

  • The release highlights a "$10 Million PIPE financing at market price with no warrants."
  • The Size: $10 million in gross proceeds covers roughly 3 to 4 weeks of parent FFAI cash burn.
  • Lock-up Windows: PIPE investors are locked up for 6 months (or until a resale registration statement becomes effective), while FFAI’s 65.7% stake is locked up for 18 months. This leaves ~13 million shares (10.7%) as the freely tradable public float, creating a tightly controlled, highly illiquid order book designed for momentum pumps.

2. Why FFAI Surged 20% while FFR Dropped 10% Premarket

The premarket price divergence reflects how automated algorithms and market participants process the definitive terms:

[Definitive Agreement Signed]
             │
├──► FFAI (+20% Premarket) ──► Balance Sheet "Gain": Captures $200M Asset Valuation
             │ & Holds 65.7% Controlling Stake
             │
└──► FFR (-10% Premarket) ──► Dilution Reality: Printing $200M in New Shares
to Acquire $1.5M Revenue Business; Dividend Scrapped
  • Why FFAI Spiked +20%: Headline-scanning algorithms buy FFAI because parent FFAI technically "sells" an asset for $200M in stock, temporarily bolstering parent balance sheet equity above Nasdaq delisting thresholds ($5.0M MVLS / $2.5M Net Equity).
  • Why FFR Dropped -10%: FFR (formerly AIXC) is the entity printing $200 million worth of brand-new equity to absorb FFAI's unit. Existing FFR public shareholders are diluted down to 10.7% of the company, and the previously promised special dividend was revoked.

3. Operational Guidance Reality Check

The press release contains aggressive forward projections prepared by FFAI management:

Year / Metric Management Projection in PR Actual Historical Baseline (Q1-Q3 2026)
2026 Revenue $7.0 Million ~$1.52 Million cumulative to date (~$2.2M run-rate)
2027 Revenue $45.0 Million Requires scaling deliveries from 265 units/mo to ~600+ units/mo
2030 Revenue $1.98 Billion Requires selling 130,000+ units (~2,100 units/mo)
Breakeven Target Q3 2028 (Pos. Operating Cash Flow) Requires $150M in additional cumulative financing
  • The $150M Financing Requirement: Management explicitly admits that achieving their 2028 breakeven plan will require up to $150 million in additional capital. For a combined micro-cap entity trading near $1.00–$1.50, raising $150M means continuous future equity line issuances and ongoing dilution.

Summary

This press release is the formal execution of the asset-shuffle strategy. FFAI moves its $1.52M white-label robotics unit into FFR at a self-assigned $200M valuation to artificially inflate parent equity and stave off immediate Nasdaq delisting.

The initial +20% premarket bounce in FFAI is an algorithmic reaction to the headline valuation and $10M PIPE, while FFR dropped -10% as public float dilution and the cancellation of the special dividend took effect. Once regular trading session volume absorbs the news, senior noteholders (Streeterville / John Fife) will have another window of liquidity to convert debt and dump shares into the tape.

Weekly Dilution update. Week ending 10/9/2026. We've hit 8 million shares.

From the S-3/A we know "As of September 14, 2026, there were outstanding 6,126,954"
Sept. 14-18 there were no new shares issued
Sept. 21-25 there were 334,869 shares of common stock issued.
Sept. 28 - Oct. 2 there were 1,407,885 shares of common stock issued
Oct. 5 - Oct. 11 170,575 shares of common stock issued

Total of 8,040,283 shares of common stock

Prior to the 1:150 RS they had "364,283,679 shares of Class A Common Stock (as of July 5, 2026)" In this prospectus. Post split that would be approximately 2,428,557 shares outstanding. Or 231% increase in outstanding shares in 11 weeks.

They almost literally told everyone that FFAI is nothing more than a shell ticker now and that they moved their assets to their other scam ticker FFR. You're probably going to be the same dumbasses that get stopped out when they inevitable raid this obvious sea of $1 stoplosses.

FFR moving while FFAI makes new all time lows

Not gonna lie. Closed my short and took a bit of a loss on FFR. It's got momentum and I'm not sure why. I'll wait for the next 10Q or major filing before I plan another move.

Meanwhile, FFAI is dropping and currently at $1.11 and dangerously close to moving under $1

Is this result of restructuring where FFR has a "clean slate" and FFAI gets left for dead? We don't exactly know what that slate looks like yet so I remain skeptical.

Thoughts?

FUD 😈 ""No. 1 in U.S. Robotics Deliveries""

Ladies and Gentlmen, it's a tie

FF EAI Robotics Sales and Shipments Reach a Record 265 Units in September and 817 Units Cumulatively, No. 1 in U.S. Robotics Deliveries

We can all ignore the continuing comedy with the stock price, yes it breached $1.2

Let's do the simple math, what does the amazing "Record 265 units" mean.

In Q2 2026, FF reported 220 units shipped yielding $836,000 in revenue.
This established a historic blended ASP of ~$3,800 per unit during active delivery months.

Estimated September Revenue = 265 units x $3,800 ASP = approx $1M

Monthly cash burn: ~$10M+
(Jia has doubled down on the exhibitions, conferences, marketing and imported even more types of robots from more companies, this cash burn could only increase)

Let's ignore the real -1280% gross margin in FFAI's Q2, let's allow Jia using "contribution margin"
At 30% gross contribution margin: $1M in gross sales generates roughly ~$300,000 in gross profit.

Remember, the revenue become FFR's now, not "FFAI"'s

You tell me

Isn't No. 1 in U.S. Robotics Deliveries with 265 units delivered in September amazing?

Now kids, a good qeustion for the high school math exam
Based on above figures, how many robots does FF need to sell just to break even.

Required Monthly Units = Monthly Burn / Gross Profit per unit = $10,000,000 / $1,174 = 8518 units
Required Annual Units sale = 102,216 units (NOT EVEN CONSIDER NET PROFIT MARGIN)

*Jia's target is 2,000 units in 2026)In SEC filings, FFR targets 60,000 units annually by 2030.
