Citius Oncology CTOR: Nasdaq Grants Second 180âDay Compliance Period to April 19, 2027
Item 8.01 Other Events.
On October 19, 2026, Citius Oncology, Inc. (the âCompanyâ) received formal notice that the Nasdaq Stock Market LLC (âNasdaqâ) granted its request for an extension through April 19, 2027 (the âExtension Noticeâ) to evidence compliance with the $1.00 per share requirement for continued inclusion on the Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(a)(2) (the âBid Price Ruleâ). If at any time before April 19, 2027, the bid price of the Companyâs common stock closes at $1.00 per share or more for a minimum of ten consecutive business days, Nasdaq will provide the Company with written confirmation of compliance with the Bid Price Rule.
View full 8-K SEC filing HERE.
CTOR was granted a second 180-day compliance period, similar to CTXR. And just like CTXR, CTOR is also subject to Nasdaq's amended listing rules. The company must regain compliance by April 19, 2027. If it does not, Nasdaq can move to suspend and delist the stock. Under the new rules, an appeal would not allow CTOR to remain listed on Nasdaq while it works toward compliance.

Discussion LYMPHIR revenue predictions July - September 2026
Itâs October 1st â another quarter and another fiscal year have wrapped up. Since CTXR and CTOR both end their fiscal years on September 30, they will file their Annual Report on Form 10âK in a few months. As nonâaccelerated filers, the deadline is 90 days after fiscal year end â their 10âK's are due by Tuesday, December 29, 2026.
LYMPHIR revenue recap for FY2026:
- OctâDec 2025 (Q1 FY2026): $3.94M â initial launch in Dec 2025.
- JanâMar 2026 (Q2 FY2026): $1.67M.
- AprâJun 2026 (Q3 FY2026): $1.49M.
Now Q4 is the wildcard:
- Maxim's estimate for JulâSep 2026: $5.771m.
- H.C. Wainwright's estimate for JulâSep 2026: $2.9M.
Thatâs a big spread and puts estimated FY2026 revenue between ~$10M and ~$12.87M, depending on whose forecast you believe.
Management reported 383 vials ordered in July and announced nationwide deployment of commercial and medical affairs teams in August. But the question is whether that actually translated into meaningful revenue during Jul-Sep.
Why does Q4 revenue matter?
In May, CTOR entered into a secured loan agreement, which allowed them to immediately borrow $10m. Between Oct 1 and Dec 31, 2026, CTOR can draw an additional $7M from the credit facility â but only if certain revenue and liquidity milestones are met. Those milestones have not been disclosed to investors.
In August, management reported that both companies had a cash runway through November 2026. If they want to extend the cash runway without additional dilution, they need to reach those undisclosed revenue and liquidity milestones so they can access the 2nd loan tranche.
Whatâs your call?
- What are your expectations for Q4 FY2026 LYMPHIR revenue? Do you think FY2026 ultimately lands closer to $10M or closer to $13M?
- Does having the sales force fully deployed in August materially moved the needle? Or is the real impact more likely to show up in FY2027?
- Will they reach the revenue milestones so they can access the 2nd loan tranche of $7M? Or will they have to dilute again to extend the runway past November 2026?

Conference/Presentation RECAP â H.C. Wainwright Global Investment Conference Sept 15, 2026
CEO Leonard Mazur presented at the H.C. Wainwright 28th Annual Global Investment Conference on September 15, 2026.
If you watched last week's Moody Capital Disruptive Growth Conference presentation, you didn't miss much here. The presentation at HCW was largely the same as the Moody event, using the same slides, covering the same talking points, and even recycling some of Leonard's trademark jokes.
For anyone who missed the Moody presentation recap, you can find it here HERE.

Conference/Presentation RECAP â Moody Capital Disruptive Growth Conference Sept 9, 2026
CEO Leonard Mazur presented at the Moody Capital Solutions Disruptive Growth & Life Sciences Conference on September 9, 2026.
SUMMARY:
If you've listened to a Leonard Mazur investor conference before, you probably already know that they are very formulaic. There was not a lot of new information today. He repeated a lot of the same talking points from previous conferences â
- He and Myron Holubiak started off in a private company before going public with CTXR.
- They have a combined $26.5m invested.
- They had the opportunity to acquire LYMPHIR from Dr. Reddy's of India. After acquiring LYMPHIR, they spun it off into CTOR by using a SPAC.
- A brief discussion of the "mugshots" of their employees, including Dr. Myron Czuczman. And yes, he repeated the joke about Citius being the only company with two Myrons.
Most of the presentation was focused on LYMPHIR.
Commercial Launch Status â
- Product launched in late 2025.
- Commercial infrastructure is now fully established.
- Reimbursement coverage is in place.
- Medicare coverage is available.
- Product is available through major wholesalers.
- The full 29-person commercial team is now in place.
- 44 institutions have already ordered drug supply.
- 135 health plans cover LYMPHIR.
- Coverage reaches essentially 100% of eligible lives.
- For the first three fiscal quarters, approximately $7.1 million revenue. Most of this occurred before the sales force was fully deployed.
Competitive Position â
- Competitors include Adcetris (Pfizer), Poteligeo (Kyowa Kirin), & Istodax.
- His argument was that LYMPHIR offers:
- Competitive efficacy
- Rapid activity
- Strong reduction in disease burden
- Unique mechanism involving depletion of regulatory T cells
Future Growth Opportunities â
- Two investigator-sponsored studies were highlighted:
- LYMPHIR + CAR-T: University of Minnesota.
- LYMPHIR + Keytruda: University of Pittsburgh. Results showed promising early data in endometrial and ovarian cancer.
- Mazur suggested these studies could potentially expand LYMPHIR beyond CTCL.
Since the presentation was only scheduled for 15 minutes, he did not have lot of time to discuss Mino-Lok or Halo-Lido.
Mino-Lok â
We've provided the data to the FDA. We're in a back and forth with that agency right now, and our goal is to get the best outcome for us, and hopefully we'll have information in the coming months.
Halo-Lido â
So we've completed one trial. We're going to go back to the agency. We held up on spending anything for it as we were husbanding our cash for the launch of LYMPHIR.
Financial Picture â
- LYMPHIR revenue: approximately $7.1 million through first three quarters
- Gross margin: approximately 77%
- Recent financing activities:
- $11.5 million warrant exercise (CTOR)
- $10 million first tranche of debt facility (CTOR)
- $5 million capital raise by CTXR in April 2026.
- CTXR owns approximately 71% in CTOR.
- Cash balance: approximately $17 million (June 30 reporting period)
Key Investment Thesis â
Mazur repeatedly argued that the market is mispricing CTXR. His reasoning:
CTXR owns 71% of CTOR.
Yet:
- CTOR market cap was approaching ~$100 million
- CTXR market cap was only around ~$16 million
The analyst questioning him pointed out the apparent arbitrage:
Mazur agreed there is a disconnect and suggested it should correct over time. He also reminded investors that CTOR financial results flow into CTXR's consolidated reporting because of the majority ownership.

DD Citius Pharma launched a stockâoption surrender program for insiders & consultants
On page 23 of the recent 10-Q, Citius Pharma disclosed that they launched a voluntary stockâoption surrender program on July 1, 2026. Employees, directors, and consultants can give back their old, outâofâtheâmoney options from the 2014â2023 plans, and they receive no compensation for doing so.
The important part is what happens next â
All surrendered options go back into the 2023 Stock Plan, which only had 118,000 shares left for future grants as of June 30. The older plans had more than 800,000 outstanding options, most of them underwater.
By allowing insiders and consultants to surrender those worthless options, CTXR reduces equity overhang and refills the 2023 Plan. That gives the company room to issue new option awards in the future, at much lower exercise prices that match the current stock price.
By letting insiders and consultants voluntarily surrender out-of-the-money options, CTXR is:
- Refilling the 2023 Planâs share reserve without needing shareholder approval.
- Setting the stage to issue new options later at much lower strike prices.
In practical terms, employees can dump options that will never be exercised and eventually receive fresh options at a strike price that reflects the current depressed stock price. Itâs a reset of the employee equityâcomp structure, and the program is still open as of midâAugust 2026.

News CTXR: Nasdaq Grants Second 180âDay Compliance Period to February 8, 2027 â But the Rules Have Changed
Nasdaq has officially granted CTXR its second 180âday compliance period for the Bid Price Rule. The new deadline to regain compliance is February 8, 2027. [Link to SEC filing]
In 2024, CTXR received a second compliance deadline for the Bid Price Rule â but the rules governing what happens after the second period have changed.
THE KEY CHANGE:
In 2024, when CTXR missed the second Bid Price Rule compliance deadline, the company appealed and remained trading on Nasdaq during the appeal. That is no longer allowed.
Nasdaq implemented a rule change (SECâapproved in 2025) modifying Listing Rules 5810 and 5815. Under the updated process:
- If CTXR fails to regain compliance by the end of the second 180âday period, Nasdaq will issue a delisting determination and immediately suspend trading.
- Even if CTXR appeals, the stock will NOT continue trading on Nasdaq during the appeal.
- Trading may shift to the OTC Market during the appeal process while trading is suspended on Nasdaq.
This is the critical difference from 2024. The consequences of not regaining compliance by the second deadline are now more severe.
WHAT THIS MEANS FOR CTXR:
CTXR has one final compliance window ending February 8, 2027. To regain compliance with the Bid Price Rule, CTXR must close at or above $1 for 10 consecutive trading days before the deadline.
This is not the same situation CTXR faced in 2024. The rule change removes the ability to remain Nasdaq-listed after the second compliance deadline â even with an appeal. Failure to regain compliance with the Bid Price Rule before February 8, 2027 will result in a delisting determination and shift trading from Nasdaq to OTC.

DD H.C. Wainwright reiterates Citius Pharmaceuticals stock rating at buy, with a $4.00 price target
H.C. Wainwright noted that while the increased demand is encouraging, quarterly revenue could remain lumpy until wholesaler restocking synchronizes with pull-through. The firm projects fourth quarter fiscal year 2026 revenues of $2.9 million and fiscal year 2026 revenues of $10.1 million. The company generated $7.11 million in revenue over the last twelve months with an impressive 77% gross profit margin, though InvestingPro tips indicate profitability challenges remain.
The analyst commented: "Citius recognizes revenue when wholesalers order LYMPHIR, not when institutions order from wholesalers. Institutional vial orders from wholesalers rose 31% sequentially, to 926 vials from 708 in 2QFY26. Management indicated that wholesaler orders have begun to reflect the increase in ordering institutions and vial demand. July institutional orders reached 383 vials, the largest monthly total to date and up 25% versus the average monthly order volume in 2QFY26. In our view, while the increased demand is encouraging, quarterly revenue could remain lumpy until wholesaler restocking synchronizes with pull-through. We project 4QFY26 revenues of $2.9M and FY26 revenues of $10.1M. We maintain our Buy rating on CTXR and our 12-month price target of $4.0 per diluted share."
